Turn each technical due diligence finding into a traceable, owned action with a decision, target date, and closure test. A governed remediation register makes it possible to see what will be fixed, what risk is temporarily accepted, what remains uncertain, and whether the agreed work actually succeeded. There is no single universal post-deal standard for this process; the workflow below adapts practices from official corrective-action, vulnerability-management, and assessment guidance.
Build a remediation register from the review findings
Start with the review’s original record, not a rewritten summary. Each register entry should preserve the distinction between what the reviewer observed and what the team infers about its impact. That makes the finding traceable and lets owners reassess the risk without losing the evidence or context behind it.

| Field | What to record | Why it matters |
|---|---|---|
| Finding ID and source | Original finding reference, report name, review date, and link or reference to supporting evidence. | Maintains traceability to the diligence review. |
| Affected scope | Asset, system, business area, or process; include environment or location when relevant. | Shows what is affected and helps identify the right owner. |
| Observation and evidence | The reviewer’s factual observation and the evidence supporting it, kept distinct from inferred impact. | Prevents a vague summary from replacing the basis for the finding. |
| Risk and rationale | Potential impact, exposure, likelihood or other rationale used to prioritize the work. | Explains why the finding has its chosen priority. |
| Disposition | Fix, acknowledge for now, or investigate. | Makes the planned response explicit. Investigation should be temporary, not a way to leave ownership unresolved. |
| Corrective action and success criteria | Specific change required and the conditions that will count as successful completion. | Gives the owner a finish line that can be verified. |
| Accountability and dependencies | One accountable owner, contributors, teams or vendors needed, and dependencies. | Clarifies who drives the work and what could block it. |
| Resources and milestones | People, technology, funding or other resources required; intermediate milestones where needed. | Tests whether the plan is feasible and shows progress before final completion. CMS POA&M guidance uses this kind of corrective-action planning. |
| Target date and status | Due date or dated milestones, current status, and the date status was last reviewed. | Supports follow-up and escalation. |
| Temporary mitigation | Interim control, responsible owner, expiry or review date, and path to full remediation. | Prevents a workaround from silently becoming permanent. |
| Risk acceptance | Decision-maker, rationale, scope, review date, and any conditions. | Records why exposure is being tolerated and when that decision will be reconsidered. |
| Closure evidence and verifier | Evidence supplied, test or inspection performed, verifier, date, and result. | Shows that completion was checked rather than merely reported. |
CMS describes a POA&M as a corrective action plan for tracking system weaknesses and planning their resolution over time. Its handbook is a useful structure for actions, personnel, technology, funding, milestones, and completion dates; its requirements apply in the CMS context, not automatically to private acquisitions. Fix
Set out the corrective action, accountable owner, target date, dependencies, and evidence required for closure. Prioritize exposed systems and issues with potentially large impact. A finding that can be addressed through a common mitigation may be grouped with related findings, but retain each original ID and scope so the work remains auditable.
Acknowledge
Record why the organization is accepting the risk for now, who approved that decision, and when it will be reviewed. For a high risk, link the decision to the organization’s risk register or equivalent governance process. Acknowledgment is a disposition, not proof that the finding has been corrected.

Investigate
Use this when material facts are unresolved. State the question to be answered, who will answer it, what evidence is needed, and the date by which the team will decide whether to fix or acknowledge the issue. Keep investigation temporary so uncertainty does not become an indefinite status.

Set dates, temporary controls, and review points
Every fix needs a target date or a milestone plan. If full remediation cannot happen immediately, record the interim mitigation and its expiry or review date, then track the remaining work to completion. If a risk is accepted, schedule a review rather than leaving the decision open-ended. These dates make the register useful for management decisions as well as technical follow-up.
Run a recurring owner review to check status, missed dates, blockers, dependencies, and changes in risk. Escalate a missed commitment or any item whose risk exceeds the organization’s tolerance. Official sources support assigned responsibilities, target dates, and remediation tracking, but they do not establish one mandatory review cadence for private post-deal diligence; set a cadence appropriate to the risk and deal timetable.

Keep pre-close decisions and post-close ownership visible
Tag each item as requiring action before close, assigned as a post-close commitment, or dependent on integration sequencing. Record who owns it after transition, especially when the current owner, system, or supplier relationship will change. This prevents a finding from falling between the diligence team and the team that inherits the work.

NIST SP 1326 defines due diligence research as “the investigative process of researching all available, pertinent information about a given supplier or product so that informed decisions can be made on new acquisitions or existing systems.” That publication concerns ICT supplier due diligence assessment; it is not a post-acquisition remediation-tracker standard. NIST SP 1326
Close findings only after evidence and verification
Agree on closure criteria when the action is created. At closure, retain evidence that the agreed change was implemented and a suitable test, inspection, or other verification shows that it works within the finding’s relevant scope. The verifier should be identifiable, and the result should be recorded with the closure date. CMS assessment guidance describes remediated findings as closed in assessment reporting; Canadian acquisition guidance also emphasizes a verifiable flaw-remediation process and assessment and testing evidence. Canadian Centre for Cyber Security acquisition guidance
A status change to “done” is not itself closure evidence. If a test fails, scope is incomplete, or the evidence does not support the success criteria, keep the item open, revise the action if necessary, and set a new owner commitment rather than recording an unverified resolution. CMS’s assessment process describes finding ownership, planned action, dates, and remediation status within its own policy context; those specific timelines and rules should not be imported as universal private-deal requirements.
