Decide only after you have unpacked guaranteed cash, variable pay, benefits, equity, taxes, household costs, immigration consequences, role scope and the practical reversibility of the move. A written offer and a city-specific budget are more useful than a single compensation number.
Start with the decision you are actually making
Returning to India is not simply an exchange-rate calculation. You are comparing two employment systems, two tax jurisdictions and two household arrangements, often with different expectations about working hours, benefits, family support and career risk. The same offer can be attractive for one household and untenable for another because of housing, schooling, caregiving, travel or immigration status.

Before negotiating, write down your priorities for the next three to five years. Typical priorities include guaranteed monthly cash, proximity to family, a larger technical mandate, a path to management, preserving US immigration options, or reducing living costs. Rank them; otherwise the largest number in the offer will dominate the decision by default.

- What minimum after-tax cash must your household receive each month?
- How much uncertainty can you accept in bonus and equity?
- Do you need to preserve a US visa, permanent-resident status or future return option?
- Is the role itself better, or is the move mainly about location and family?
- How quickly could you reverse the move if the job or family plan fails?
Get the complete offer in writing
Ask for the proposed appointment letter, compensation schedule, benefits summary and every equity document before treating the offer as real. A recruiter’s verbal description of “total compensation” is not enough. The Government of India’s labour-code factsheet describes written appointment terms covering job details, category, wages and social-security benefits; confirm that the framework applies to your employer, location and employment arrangement.

Documents to request
- Appointment letter showing title, duties, work location, employment type, start date, probation, notice and termination provisions.
- Year-by-year compensation schedule separating fixed pay, target bonus, maximum bonus, sign-on payment, relocation support and allowances.
- Benefits document covering medical insurance, dependants, leave, retirement or provident-fund contributions, gratuity treatment and any exclusions.
- Equity plan, grant notice, vesting schedule, tax-withholding policy and termination rules.
- Any relocation agreement stating repayment triggers, deadlines and whether repayment is gross or net of tax.
- Policies on confidentiality, intellectual property, inventions, non-solicitation, outside work and remote access from another country.
If a material promise is absent from the documents, classify it as unconfirmed and value it at zero until the employer supplies written terms.
Unpack CTC before comparing it with US compensation
Indian “cost to company” (CTC) commonly combines amounts you may never receive as spendable cash. Indian salary-tax guidance discusses allowances, perquisites, retirement benefits and equity-related benefits within salary topics. Use that as a checklist, not as a substitute for calculating your own tax position.
| Offer element | What to verify | How to value it initially |
|---|---|---|
| Fixed base salary | Monthly gross amount, pay dates, currency, permitted deductions and revision cycle. | Use as guaranteed gross cash; calculate after-tax pay separately. |
| Target bonus | Whether it is discretionary, how company and individual goals are weighted, payout month and historical ranges. | Model at zero, target and a downside case; do not treat target as guaranteed. |
| Maximum bonus | Whether the cap is genuinely attainable and whether a board or manager can reduce it. | Do not include in the base case. |
| Sign-on payment | Payment date, tax withholding and repayment if you resign or are terminated. | Spread a one-time payment over the required service period and show the clawback. |
| Relocation assistance | Covered expenses, receipts, moving dates and repayment conditions. | Value only the costs you would otherwise incur; it is not recurring salary. |
| Allowances and perquisites | Whether paid in cash, reimbursed, taxable, capped or conditional on documentation. | Use the realistic after-tax replacement value, not the listed allowance. |
| Employer retirement contribution | Provident-fund or other contribution rate, vesting, withdrawal rules and whether it is inside CTC. | Show separately from monthly cash; account for access and tax rules. |
| Gratuity | Eligibility, service requirement and whether the employer merely estimates a future liability in CTC. | Do not count as current cash. |
| Insurance | Coverage limits, network, exclusions, dependants, co-pay and employer-paid premium. | Value what you would actually buy to replace it, less gaps. |
| Equity | Instrument, issuing entity, grant date, vesting, liquidity, exercise price and withholding. | Keep separate from guaranteed compensation; assign a conservative scenario value. |
Build at least three compensation cases: fixed cash only; fixed cash plus a realistic bonus; and an upside case including equity. This prevents a large but conditional CTC from masking a weak monthly paycheck.

Evaluate RSUs, ESOPs and options as separate assets
Equity is not interchangeable with salary. Its value depends on the instrument, issuing entity, vesting, tax point, liquidity and what happens when employment ends. Indian official guidance identifies employee stock options (ESOPs) as potentially taxable salary perquisites. The exact cross-border result depends on grant, vesting, exercise, sale, residence and tax-year facts.

Questions for public-company RSUs
- How many shares or units are granted, and what is the grant-date value?
- What is the vesting pattern: cliff, monthly, quarterly or performance-based?
- Are shares delivered net of tax withholding, or must you sell shares to fund withholding?
- Are there blackout periods, trading restrictions or employee dealing rules?
- What happens to vested and unvested awards if you resign, are laid off or are dismissed?
- Which legal entity employs you and which entity issues the award?
Model the award using a share-price range rather than the employer’s headline grant value. A falling share price, withholding sale or delayed vesting can materially reduce spendable value.
Questions for private-company options or ESOPs
- Number of options, exercise or strike price and the share class received.
- Vesting schedule, cliff, acceleration and post-termination exercise window.
- Fully diluted ownership context, if the company provides it, and the number of outstanding shares.
- Latest valuation, valuation date and whether it is an internal or independent fair-market assessment.
- How exercise is funded and whether tax may be due before any sale is possible.
- Transfer restrictions, buyback rights, secondary-sale history and a realistic liquidity route.
For an Indian ESOP, official material generally frames the taxable perquisite around fair market value at exercise less amounts recovered from the employee, subject to the governing law and exceptions. Do not infer your own tax date or rate from that general description. Keep the grant notice, exercise confirmation, valuation, withholding statement and eventual sale record.
Compare take-home cash and the household budget
Calculate net cash using the tax rules for the relevant year and your actual status. Then build a budget for the specific Indian city and neighbourhood, not for India as a whole. No authoritative universal US-to-India salary equivalence or city-cost figure establishes that one salary automatically buys the same lifestyle in another country.

| Transport | Car payment, insurance, fuel and public transit. | Vehicle, driver, ride-hailing, transit and parking. | What is the cost and time of the actual daily commute? |
| Health care | Premiums, deductible, co-pay and out-of-pocket spending. | Employer cover, dependants, exclusions, private cover and planned care. | What protection remains if you change jobs? |
| Family costs | Childcare, schooling, elder care and support payments. | School fees, domestic help, caregiving and family support. | Which costs are new, and which merely shift between countries? |
| Travel | Visits to India and local travel. | Visits to the US, family travel and relocation trips. | How many trips are necessary rather than discretionary? |
| Continuing US obligations | Loans, leases, subscriptions and storage. | Same obligations until cancelled, transferred or paid off. | Will overlapping costs last one month or several years? |
Use a spreadsheet with monthly and annual columns. Include one-time relocation expenses, deposits, tax preparation, currency-transfer fees and an emergency reserve. Run a downside case in which the bonus is zero, equity has no liquidity and one adult cannot work for several months.

Test the role, manager and career trajectory
A higher nominal package can still be a poor move if the role has less authority, an unstable reporting line or an unsustainable time-zone burden. Ask the hiring manager for concrete examples rather than broad promises.
Scope and decision rights
- What will you own in the first 90 days and after the first year?
- Which architecture, product or staffing decisions can you make without approval?
- How large is the team, and what skills are missing today?
- Which outcomes determine performance ratings and variable pay?
Manager and working pattern
- Who sets priorities, and how often are goals changed?
- How many recurring meetings occur in US time zones?
- Is attendance required in an office, and how many days per week?
- What happened to the team during the last reorganisation or budget cut?
Durability and portability
- What is the company’s plan for the product and the Indian team?
- Would your skills and achievements remain marketable if this role ended?
- Can the employer transfer you back to the US or another country, and under what conditions?
- How are compensation and title handled after promotion, acquisition or restructuring?
There is no universal career premium or penalty for returning to India. Verify the actual team, manager and progression path through conversations with current or former employees, while recognising that individual experiences are not guarantees.
Check employment terms and downside clauses
Read the appointment letter as a contract, not a summary. Confirm the legal employer, work location, probation, notice period, termination rights, severance if any, leave, intellectual-property assignment and confidentiality obligations. Check whether a restrictive covenant could limit future work and whether the employer can change location, duties or compensation unilaterally.

Understand your US tax status before leaving
A move does not automatically end US tax obligations. IRS guidance states that US citizens and resident aliens abroad generally remain subject to US tax on worldwide income, although exclusions or credits may be available when their eligibility conditions are met. Establish your status for each tax year: US citizen, resident alien or neither.
Foreign earned income exclusion is conditional
The physical-presence route generally requires 330 full days in a foreign country or countries during any period of 12 consecutive months that includes part of the year at issue, along with a foreign tax home and other requirements. IRS guidance states: “You meet the physical presence test if you are physically present in a foreign country or countries 330 full days during any period of 12 consecutive months including some part of the year at issue.”
The bona fide residence route requires an uninterrupted period that includes a full tax year, plus the other eligibility conditions. The IRS cautions: “You do not automatically acquire bona fide resident status merely by living in a foreign country or countries for one year.” A move date, a one-year assignment or a calendar year spent working abroad is therefore not, by itself, proof that an exclusion applies.
Actions before departure
- Identify your citizenship and resident-alien status for the departure year and later years.
- List US wages, bonus, vested equity, option exercises, investment income and retirement accounts.
- Record departure and travel dates; keep passports, tickets and work-location evidence.
- Ask how foreign tax credits, withholding and any exclusion interact with your Indian filing.
- Retain US pay statements, equity records, tax returns and employer relocation documents.
Determine Indian tax residence separately
Indian residence is a separate statutory analysis. The Income Tax Department’s assessment-year 2026–27 guidance describes a general 182-day test in the relevant previous year and a separate 60-day plus 365-days-in-the-four-immediately-preceding-years test, with substitutions and exceptions for certain citizens or persons of Indian origin. The applicable rule depends on your facts.
Best Value
Track every day in India, including partial travel periods, and identify the relevant previous year rather than assuming residence from your joining date. Residence can affect how income, equity and foreign assets are treated. Keep travel records and seek a current determination when the result is close to a threshold.
Use the US–India treaty carefully
The treaty does not make employment income automatically tax-free in one country and does not eliminate every filing obligation. Its employment-income article generally considers where employment is exercised, residence and other treaty provisions. Domestic US and Indian rules must be analysed alongside the treaty, including any relief mechanism and documentation requirements.
Do not rely on a recruiter’s statement that “the treaty prevents double taxation.” Ask a qualified US–India cross-border tax adviser to review your citizenship, residence, workdays, payroll withholding, equity and the transition year when the move spans tax years.
Do not overlook immigration and permanent-resident consequences
Tax residence and immigration status are different. The available facts do not determine what leaving the US means for a particular visa or permanent-resident status. If you are not a US citizen, identify the exact status, required physical presence, employer sponsorship and abandonment rules that apply to you. Obtain qualified immigration advice before resigning, moving dependants or surrendering a US residence.
Score the offer with a weighted decision model
After gathering documents and budgets, score each option using your own priorities. A simple weighted model prevents equity or headline CTC from overwhelming issues that matter more to your household.
| Criterion | Suggested question | Weight example |
|---|---|---|
| Guaranteed net cash | What remains after tax and essential monthly costs? | 25% |
| Variable-pay certainty | What is paid in a realistic downside year? | 10% |
| Equity liquidity and downside | Can you sell, and what can you lose before liquidity? | 10% |
| Benefits and retirement | What protection and long-term value replace your current package? | 10% |
| Role and manager | Will scope, authority and mentorship improve? | 15% |
| Work pattern | Are office and time-zone demands sustainable? | 10% |
| Job security | How exposed is the team to funding or reorganisation? | 10% |
| Reversibility | How easily can you return to the US or find equivalent work? | 10% |
Choose weights that reflect your household rather than copying the example. Score each option from 1 to 5, write the evidence for every score and mark unknowns. An offer with several high scores but two unverified, high-impact unknowns is not ready for a yes.
A practical 30-day evaluation sequence
- Days 1–5: Request the appointment letter, compensation schedule, benefits guide and equity plan. List every missing term.
- Days 6–10: Build fixed-cash, downside and upside compensation cases. Separate recurring cash from one-time payments and employer contributions.
- Days 11–15: Create a city-and-neighbourhood household budget, including overlapping US costs, travel and emergency reserves.
- Days 16–20: Interview the manager about scope, goals, time zones, office expectations, team history and promotion criteria.
- Days 21–24: Record travel dates and review US citizenship or immigration status, Indian day-count residence tests and equity events.
- Days 25–27: Obtain tailored tax and immigration advice where your status, equity or transition-year filing is complex.
- Days 28–30: Negotiate only documented gaps, rerun the downside budget and decide whether the move remains acceptable without bonus or equity.
Common failure modes and the fix
- Comparing CTC with US base salary: remove employer contributions, conditional pay and illiquid equity before comparing cash.
- Counting target bonus as salary: model zero, realistic and target outcomes separately.
- Treating private-company valuation as cash: demand liquidity, exercise and termination details; otherwise assign no guaranteed value.
- Assuming a move ends US filing: determine citizenship or resident-alien status and worldwide-income obligations for each year.
- Assuming one year abroad qualifies for an exclusion: test the 330-day or bona fide-residence route and the tax-home requirement.
- Assuming Indian residence from the joining date: apply the relevant previous-year day counts and exceptions.
- Relying on the treaty as a blanket exemption: analyse employment location, residence, domestic rules and documentation together.
- Ignoring transition costs: budget deposits, moving, tax preparation, travel, overlapping leases and emergency care.
- Leaving immigration until after resignation: confirm the effect of departure before giving up a US role or status.
When the offer is ready for a decision
You have enough information to decide when guaranteed after-tax cash is clear, the household budget works in a downside year, equity terms are documented and conservatively valued, the role and manager have been tested, and your US, Indian tax and immigration questions have an identified answer or a deliberate risk you are willing to accept. If any of those items remains unknowable, negotiate for documents or delay the decision rather than treating uncertainty as compensation.
