Before investing through a tokenized-asset platform, establish what legal claim the token gives you, who holds or owes the underlying asset, what happens if an intermediary fails, and how you can exit. A token’s link to an asset does not by itself give you the same ownership rights, protections, or liquidity as holding that asset directly.
Start with the claim, not the token
A token is a digital record or instrument, but its legal and economic meaning comes from the offering documents and the parties’ obligations—not from its name, ticker, blockchain, or marketing description. A platform might put an asset’s ownership record on a blockchain, hold the asset through a custodian and issue tokens representing an interest, or issue its own instrument whose value is linked to an asset. Those structures can leave the investor with materially different rights and risks.

The SEC divisions of Corporation Finance, Investment Management, and Trading and Markets described these broad categories in their January 28, 2026 statement on tokenized securities. The categories are a starting point for investigation, not a finding that any particular offering fits neatly into one box. Read the actual documents for the specific token and offering.
| Structure | What the arrangement may mean | What to verify |
|---|---|---|
| Issuer-sponsored | The issuer records its security on a blockchain or incorporates distributed-ledger technology into its ownership records. | Whether the issuer recognizes the token holder as an owner or security holder; which record is authoritative; and how transfers, distributions, votes, and corporate actions work. |
| Custodial | A third party holds the underlying security and issues a token representing an ownership interest or security entitlement. | Who owns the asset on the issuer’s records, what legal entitlement the token represents, how assets are segregated, and what claim you have if the custodian or another intermediary fails. |
| Synthetic or linked | A third party issues its own instrument whose value references another asset. The token may not give you a claim against the issuer of that referenced asset. | Who owes you performance, how the value link is maintained, what remedies apply if the issuer defaults, and whether you can claim anything from the underlying asset or its issuer. |
Do not treat “backed by,” “tokenized,” or “ownership” as a substitute for contract language. Find the document that creates the right and identify the legal entity that must honor it. If the materials do not say whether you own the underlying asset, hold an entitlement through a custodian, or have only a claim against the token issuer, do not assume the most favorable interpretation.

Build a document set for the specific offering
Evaluate the particular token and offering you would buy, not just the platform’s general description. Collect the offering documents and issuer disclosures, terms of service, any custody or trust agreement, and the rules governing transfers and redemption. The SEC Investor Advisory Committee’s 2026 recommendation regarding tokenization of equity securities points investors toward the legal arrangement, parties, infrastructure, transferability, and redemption limitations. These are connected questions: the token’s technical record may not be the record that determines legal ownership.
- Identify the issuer and the instrument. Record the exact legal name of the entity issuing the token and the name or description of the asset it references. Check whether the materials describe a security, an entitlement, a debt obligation, or another kind of claim.
- Find the operative terms. Locate the agreement that states what the issuer, platform, custodian, or other party is required to do. A website summary is not a replacement for the governing terms.
- Map the named parties. Note every entity that issues, arranges, brokers, holds, transfers, or services the asset. Record which agreement binds each party and which assets or records it controls.
- Check for conflicts and missing links. Compare the offering materials, terms, and custody documents. If the documents use different names for the token, asset, or responsible entity, or do not explain how the pieces fit together, ask for clarification in writing.
- Save the version you reviewed. Keep copies of the documents and record when you accessed them. Terms and platform arrangements can change; a later version may not describe the rights or restrictions that applied when you invested.
For each answer, distinguish what is expressly promised from what the platform merely describes as a feature. “The platform supports transfers” does not establish that your token is legally transferable, that a buyer is available, or that the issuer will recognize the transfer.
Check the rights attached to the token
Compare the token’s actual rights with the rights an investor might assume from the referenced asset. For example, a token associated with equity does not automatically carry the same voting, dividend, or corporate-action rights as shares held directly. The terms may provide some of these rights, route them through an intermediary, limit them, or omit them.
- Ownership and entitlement: Does the token represent direct ownership, a beneficial interest, a security entitlement, a debt claim, or an obligation of the token issuer? Who is named on the underlying issuer’s register, if there is one?
- Voting: Can you vote directly? Does an intermediary vote on your behalf, and under what instructions or deadlines? Are any votes unavailable?
- Distributions: Are dividends, interest, or other proceeds payable to token holders? Identify the entity responsible for paying them, any deductions or conditions, and how the payment is allocated.
- Corporate actions: Determine what happens in events such as a merger, conversion, tender offer, or other change affecting the referenced asset. Do the documents describe a process, or leave the decision to an intermediary?
- Redemption: Is there a contractual right to exchange the token for cash or the underlying asset? Identify who must redeem it, when, through what process, and subject to which conditions.
- Transfers and disputes: Check who may hold or receive the token, which law and dispute process apply, and whether a transfer changes the legal holder or only the blockchain address associated with the token.
- Insolvency treatment: Find out what claim you would have if an issuer, custodian, platform operator, or other party became insolvent. Do not infer priority or asset segregation from the words “backed” or “held in custody.”
Ask which record controls if the blockchain and an issuer’s or intermediary’s records disagree. IOSCO’s 2025 report on financial asset tokenization identifies ambiguity about the authoritative ownership record as an investor-protection concern. If the documents do not establish which record governs and how an error is corrected, you cannot confidently determine how a disputed transfer or balance would be resolved.

Trace custody and failure scenarios
Make a simple chain from you to the asset. It may include the token issuer, platform operator, broker or dealer, custodian, wallet provider, and a special-purpose vehicle. Not every offering uses every type of entity, and one company may perform more than one role. The purpose of the map is to identify where the asset is held, who owes you a duty, and what contract gives you a claim.
| Party or role | Question to answer | Evidence to look for |
|---|---|---|
| Token issuer | What does this entity promise to the holder, and is its promise a claim on the underlying asset or only on the issuer? | Offering terms identifying the issuer, instrument, obligations, and remedies. |
| Platform operator | Does it operate a marketplace, maintain records, arrange transfers, or control access? What happens if it stops operating? | Terms of service and operational or transfer procedures that describe its role and limits. |
| Broker or dealer | What regulated or contractual role does it perform in this offering, and for which entity? | Offering and intermediary disclosures relevant to the specific transaction and jurisdiction. |
| Custodian or trust | Which assets does it hold, for whose benefit, and how are they treated if it fails? | Custody or trust agreement, asset-identification and segregation terms, and insolvency provisions. |
| Wallet provider or key holder | Who can authorize a transfer, and how can access be restored if credentials are lost? | Wallet and recovery terms, including any administrative controls or dependencies. |
| Special-purpose vehicle | What asset does it hold, what liabilities rank ahead of investors, and how does the token connect to its obligations? | Constituent and offering documents explaining ownership, liabilities, and investor claims. |
Then test the chain against failure scenarios rather than stopping at the normal operating path. Ask what would happen if a custodian became insolvent, the platform lost access to its systems, the issuer stopped servicing the token, or an intermediary could no longer process transfers. For each scenario, identify who controls the underlying asset, whether holders can make a direct claim, and what process would preserve or recover records and access.
The SEC staff statement dated January 28, 2026 warns that holders of tokens issued by third parties may face counterparty risks that holders of the underlying security directly do not face. That is the practical reason to identify every intermediary: a token can add a separate entity’s performance and insolvency risk even when the referenced asset itself remains intact.

Verify the offering’s legal and regulatory position
Do not infer legal compliance from an app listing, a public blockchain, a platform’s marketing, or an assertion that the asset is “on-chain.” Determine the legal classification of the specific asset, the offering pathway, the disclosures provided, and the status of each relevant intermediary for your jurisdiction and investor eligibility.

In the United States, SEC Commissioner Hester M. Peirce stated on July 9, 2025, “Tokenized securities are still securities.” This is a commissioner’s statement, not a complete description of every offering or every jurisdiction. The SEC staff’s January 28, 2026 statement discusses tokenized securities, while the Investor.gov tokenized-securities page references a March 17, 2026 interpretive release and expressly says the page reflects staff views and has no legal force or effect. Read the underlying offering terms and applicable law; an educational page is not a substitute for legal advice.
For a U.S. offering, questions to resolve include what the instrument is, what disclosures accompany it, which offering rules are being relied on, who is permitted to invest, and what role any broker, dealer, trading venue, or other intermediary plays. For investors elsewhere, check the rules and regulatory registers relevant to that country or region; U.S. materials do not establish the status of an offering outside the United States. If the platform will not identify the issuer, offering documents, or relevant intermediaries, treat that lack of information as unresolved diligence—not as evidence of compliance.
Separate a technical transfer from an exit
A token may be technically transferable without being easy to sell, accepted by a particular venue, or redeemable with its issuer. A blockchain transaction establishes that a transaction was recorded; it does not establish that a buyer is available, that the recipient is eligible, or that the transfer satisfies the offering’s legal requirements.

- Who can receive it? Check whitelisting, investor eligibility, identity checks, geographic limits, and any other transfer conditions.
- Where can it be sold? Identify the venues that actually support this offering and whether access is available to you. A general claim that a token can trade does not establish access to a functioning market.
- Can you redeem, or only resell? The issuer’s redemption obligation, if any, is different from a hope of finding another buyer. Check redemption windows, gates, conditions, settlement steps, and any right to suspend or delay processing.
- What does exit cost or depend on? Find disclosed fees and the entities, systems, or settlement processes needed to complete a sale or redemption. If terms do not state an amount or timeline, do not fill the gap with an estimate.
- What happens during a pause or failure? Look for provisions covering paused transfers, unavailable platforms, and disrupted service. Establish how an investor can communicate a claim or initiate recovery if normal access is lost.
Do not treat a quoted price or the ability to send a token between addresses as proof of liquidity. Liquidity depends on whether you can make a permitted transaction with a willing counterparty under the applicable rules and settlement process. No platform-specific fees, yields, trading volumes, or liquidity metrics are established by the official materials cited here; obtain offering-specific evidence rather than applying market-wide assumptions.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Examine the technology and its operators
Technology controls matter because the token’s operation may depend on code, administrative permissions, wallets, bridges, and the platform’s own systems. They supplement—not replace—legal, custody, and exit diligence. The SEC investor bulletin recommends asking whether code has been published and whether an independent cybersecurity audit exists. A published contract or audit is a question to examine, not a guarantee that the system is safe.
- Code and audit scope: Ask which contracts were reviewed, by whom, when, and whether the deployed code matches the reviewed version. Identify exclusions and whether the audit covered the full system or only a component.
- Upgrade and pause authority: Find out who holds administrative keys, whether code can be changed, whether transfers can be paused, and under what procedures those powers may be used.
- Bridges and integrations: Identify any bridge or external system required to move, represent, or settle the token. Ask what happens to transfers and claims if that dependency is unavailable or compromised.
- Wallet access and recovery: Determine who controls the private keys and what recovery options exist after lost credentials or a device. Investor.gov’s crypto-assets material explains that wallets store private keys; that does not mean every investor needs a particular wallet or that a wallet itself establishes ownership of an asset.
- Incidents and reversals: Ask how incidents are reported, who investigates them, and whether transactions can be reversed or corrected. Establish who has authority to act and how affected holders are notified.
IOSCO’s 2025 report and November 11, 2025 release characterize financial-asset tokenization as nascent and identify risks that tokenization may introduce or amplify, including interoperability challenges. Consider what the particular offering relies on rather than treating use of a blockchain as an automatic improvement in resilience or transparency.
Compare platforms using the same test
If you are evaluating more than one platform, compare offerings with the same asset type and jurisdiction. Otherwise, a difference in investor eligibility, law, or structure can make a platform-to-platform comparison misleading. Fill the table from documents for each specific offering; where a fact is missing, mark it “not stated” and identify the document or source you checked.
Best Value
| Comparison axis | Record for each offering | Decision question |
|---|---|---|
| Legal claim | Direct ownership, entitlement, debt claim, or synthetic exposure; entity obligated to the holder. | Can you identify a clear legal claim and the party that must honor it? |
| Holder rights | Voting, income, corporate actions, redemption, transfer, and dispute process. | Do the rights match the rights you need, rather than those implied by the referenced asset? |
| Custody and counterparties | Every entity in the chain, asset segregation, custodian identity, and insolvency treatment. | Can you explain who holds the asset and what you could claim if one party fails? |
| Regulatory position | Offering documents, issuer and intermediary roles, investor eligibility, and jurisdiction. | Is the specific offering’s legal basis documented for you and your location? |
| Exit mechanics | Transfer restrictions, venue access, redemption terms, settlement dependencies, fees, and liquidity evidence. | Is there an exit route you can use, and are its conditions clear? |
| Technology and operations | Audit scope, upgrade keys, pause powers, incident response, bridge dependencies, and recovery procedures. | Are controls and failure procedures documented well enough to understand operational exposure? |
Do not collapse the comparison into a single score unless you have decided which risks matter most to you. A platform with clearer technology documentation does not thereby offer better holder rights; a token with convenient transfers does not thereby provide redemption. Treat an unanswered high-impact question as a reason to pause or seek clarification, not as a neutral score.
Use a decision gate before committing money
Before proceeding, make sure you can explain the investment in plain language: what you acquire, who owes you what, how the underlying asset is held, and what event lets you turn the position into cash or another asset. If you cannot trace those points from the documents, the central risks remain unresolved.
- Proceed to further review only when you have a defined claim, can identify the relevant parties and documents, and understand the conditions on rights and exit.
- Request written clarification when a material term is ambiguous, such as which ownership record controls or whether a token can be redeemed rather than only transferred.
- Pause if the platform does not disclose the issuer or custody chain, if documents conflict, or if a claimed right cannot be tied to an enforceable obligation.
- Reassess when terms change because issuer, custody, transfer, regulatory, and technology arrangements can change over time.
This checklist is general information, not an individualized investment recommendation or legal opinion. The cited regulatory material is primarily U.S.-focused, and it does not establish that any particular platform is safe, compliant, liquid, or suitable. Assess the exact offering, current documents, jurisdiction, and your own circumstances before investing.
