Start with the company’s latest SEC registration statement and, once available, its final prospectus—not a promotional summary or a headline valuation. Evaluate how the fintech earns money, whether its financial results support its growth story, what the offering price implies about the company’s value, how much ownership may be diluted, and which risks could undermine the business. SEC effectiveness is not an endorsement of the investment.
This is a general framework for US IPOs, not a recommendation about a particular company or investor. IPO terms and disclosures are specific to the issuer and can change as the offering proceeds.

1. Find the latest filing and confirm what has changed
Use the registration statement and final prospectus
Look up the issuer in the SEC’s EDGAR filing system and read the newest available registration statement, typically Form S-1, including amendments. An early filing may not contain final terms, and disclosures can change during SEC review. After the registration statement becomes effective, the final prospectus is typically filed as Form 424B3 or 424B4 and includes final offering-price information. The SEC Office of Investor Education and Advocacy’s investor bulletin, updated October 14, 2022, recommends checking the latest filing.
The prospectus is where to verify the company’s account of its business, financial condition, management, offer terms, intended use of proceeds, and material risks. Read the relevant sections directly rather than treating a media summary, company presentation, or analyst commentary as a substitute.

Effectiveness is not an investment-quality seal
The SEC reviews registration statements for compliance with disclosure requirements. Its declaration of effectiveness does not mean the SEC approves the IPO’s investment merits or guarantees that the disclosure is complete or accurate; responsibility for the registration statement rests with the company and those involved in preparing it. Treat effectiveness as a procedural milestone, not a reason to buy.
2. Work out how the fintech makes money
Translate the business model into plain language
Identify the product, who pays for it, and what activity generates revenue. “Fintech” covers businesses with very different economics. Payment processing, lending, banking technology, and brokerage services can depend on different customers, counterparties, funding sources, and regulatory permissions. Do not assume one model’s risks or margins apply to another.
Use the prospectus’s Business section, Management’s Discussion and Analysis (MD&A), financial statements, and risk factors to check how the issuer describes its operations. Ask what must remain true for a customer to keep using the product and for that use to produce revenue.

Test whether growth is becoming durable performance
Read historical revenue and expenses alongside cash flows, the balance sheet, and the notes to the financial statements. Then compare the company’s growth narrative with the results it reports. Revenue growth alone does not establish that the business can fund its operations or generate cash.
If the issuer highlights users, transaction or payment volume, loan originations, assets, or adjusted performance measures, check the definition, time period, and any reconciliation the company provides. Ask whether the measure connects to revenue or cash generation, and whether it is consistent across periods. A large activity metric is not automatically evidence of attractive economics.
3. Read the risks against the actual business
Turn risk factors into questions to investigate
Start with the prospectus’s Risk Factors section, then connect each material disclosure to the company’s business model. Depending on what the issuer actually discloses, useful questions may include:

- Does the business rely on continued access to funding or liquidity, and what could make that access more costly or less available?
- Are a small number of customers, merchants, financial-institution partners, or technology providers important to operations or revenue?
- Does the company rely on regulatory permissions or compliance capabilities that could affect its ability to offer a product?
- What does the filing say about cybersecurity, fraud, credit losses, or the controls used to manage those risks?
- Are there disclosed legal proceedings or other operational dependencies that could materially affect the business?
These are prompts, not claims that every fintech faces each risk. The issuer’s current filing is the source for which risks apply and how the company describes their potential effects. Generic wording is not proof that a risk is unimportant.

Review management backgrounds and governance disclosures, the auditor’s opinion, accounting notes, and any discussion of internal controls or reporting limitations. Look for information that helps you judge how results are produced and overseen, not just who leads the company. The SEC’s prospectus guidance identifies management, audited financial statements and notes, and the auditor’s opinion as matters investors should consider.
4. Reconstruct the offering economics
Separate company proceeds from shareholder sales
In “Use of Proceeds,” determine how much of the offering’s proceeds will go to the company and how the issuer says it intends to use that cash. Then check whether existing shareholders are also selling shares. An offering can raise money for the business, provide liquidity to existing holders, or do both; the prospectus establishes the terms for that IPO.

Check share count and potential dilution
Read the offering terms and capitalization disclosures together. Note the number and type of shares offered, shares outstanding after the offering, and disclosed options, warrants, convertible securities, or other potential sources of additional shares. Consider the per-share valuation in light of that ownership picture as well as the company’s financial and operating performance. The detailed calculations depend on the particular prospectus.
Understand what the IPO price does—and does not—tell you
Underwriters typically gather indications of interest and recommend an offering price; the issuer ultimately determines it. That price is a negotiated offering term, not independent proof that the shares are worth that amount. If you compare IPO candidates, use consistent financial or operating measures and account for differences in their business models and accounting; a single multiple may not make unlike companies comparable.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Clear out junk files and repair common Windows errors3Fix the driver behind crashes, sound loss and screen glitches5. Examine the underwriting and the likely trading supply
Read the underwriting disclosures
Check the “Underwriting” or “Plan of Distribution” section for the syndicate, offering terms, and disclosed conflicts. The SEC has warned that brokers and dealers participating in an emerging-growth-company offering may face a conflict between balanced research and their investment-banking relationship with the issuer. Do not treat a report from a participating bank as a substitute for the filings or independent analysis.
Best Value
Distinguish an IPO allocation from buying after trading begins
A retail investor may be able to request an allocation through a participating underwriter, but access is not assured. The SEC’s October 14, 2022 investor bulletin notes that IPO shares are often allocated to institutional and high-net-worth clients and that many individual investors buy in the public market after trading begins.
Buying at the IPO price can mean getting shares at the offering price if an allocation is available, but an allocation is not guaranteed. Waiting means buying only after public trading starts, when the market price may be above or below the IPO price. Limited initial supply can contribute to sharp price movements, so neither route establishes that the stock is fairly valued or reduces investment risk.
Check restrictions and lock-up dates
Review the issuer’s disclosures about restricted shares, lock-ups, underwriter policies, and other limits on resale. These arrangements can constrain the initial public float. When a lock-up expires, additional shares may become saleable and create market overhang, but expiration does not guarantee that holders will sell. Read the disclosed terms and dates rather than assuming a standard schedule.

6. Compare IPOs on evidence, not labels
If you are evaluating more than one offering, compare like with like using information from each issuer’s current prospectus. The SEC’s prospectus guidance points to these disclosure categories, but it does not supply peer data or establish one metric that makes different fintech businesses directly comparable.
- Business and revenue: product, customer, revenue mix, and the activities that drive continued use.
- Performance: growth, margins, cash generation, and the definitions and periods behind operating metrics.
- Valuation: offering price and share count considered against consistent financial or operating measures.
- Offering structure: cash proceeds to the issuer, shares sold by existing holders, and fully diluted share count.
- Risks and oversight: disclosed regulatory, funding, partner, litigation, operational, and reporting-control issues relevant to each model.
- Trading conditions: underwriting relationships, expected tradable supply, and the issuer’s lock-up terms.
7. Write down what would change your mind
Before investing, record your thesis, the assumptions it depends on, and the filing evidence that would weaken or disprove it. Set a valuation you consider reasonable under more than one scenario rather than relying only on the offering price or the company’s growth narrative.
Tailor downside cases to the disclosures. Depending on the issuer, consider slower customer or transaction growth, higher funding costs, credit losses, loss of a key partner, or additional dilution. Compare those possibilities with the company’s cash needs and profitability, and note which filing evidence would show that an assumption is no longer holding.
