Judge an Ethereum treasury strategy by whether it can meet the company’s obligations through market stress—not by how much ETH it plans to buy or the yield it advertises. Check the purpose of the holdings, cash and operating reserves, liquidity of staked or deployed assets, custody and counterparty controls, funding, and financial-statement treatment. Then compare the company’s stated policy with what its latest filings say it has actually done.
Start with the company’s purpose and mandate
A company should explain why it holds ETH and how the holdings fit its business. ETH may serve as a reserve asset, a long-term investment, a source of staking or other yield, or some combination. Those purposes are not interchangeable: funds needed for payroll or near-term obligations should not be assessed as though they were unconstrained investment capital.

Look for a written policy that distinguishes operating needs from investment aims, identifies who approves changes, and describes when the company would reduce or unwind its exposure. Treat targets and forecasts as management statements, not evidence that the policy is prudent or that it has succeeded.
Test whether liquid reserves can cover obligations
Read the reserve policy alongside the company’s liabilities and operating costs. Relevant details include cash and other immediately available assets, the assumed operating runway, how the company sets its reserve floor, and how it plans to raise cash if ETH falls or cannot be sold promptly.

The Ethereum Foundation offers one example of a reserve-sizing method, not a universal benchmark. Its June 4, 2025 policy defines annual operating expense as a share of current treasury (A) and the desired operating buffer in years (B); A × B determines target fiat-denominated reserves and informs ETH sales. The policy’s then-current targets were A = 15% and B = 2.5 years. Those figures are the Foundation’s choices for its own treasury, not recommended targets for companies generally. Read the Ethereum Foundation Treasury Policy.
Also examine the policy for a process, rather than just a reserve number: who reviews assumptions, how often they are revisited, and what conditions prompt ETH sales or a change in the reserve. The Foundation says it periodically reassesses its assumptions and may sell ETH to restore its operating buffer.
Separate liquid ETH from staked or deployed exposure
“Holding ETH” can describe assets with very different access and risk profiles. Classify the position by what the company actually owns or has claims on, rather than grouping everything under a single ETH balance.

- Unencumbered ETH: Direct holdings may be more readily available than deployed assets, but remain exposed to ETH price movements and custody risks.
- Native staking: Staked ETH can involve validator-operation requirements, slashing exposure, and limits or delays on access. Check what the filing says about those conditions.
- Liquid-staking tokens: These represent claims associated with staking arrangements; their liquidity, valuation and accounting may differ from direct ETH. Review any disclosed redemption or de-peg risks.
- Lending and DeFi: Deployed assets add protocol, smart-contract, counterparty and liquidity risks, including possible loss of principal. Identify where assets are placed and what safeguards or exposure limits the company describes.
For each category, look for the amount or proportion deployed, what remains unencumbered, how quickly assets could be accessed, and what could prevent withdrawal. If disclosures do not provide enough detail to answer those questions, the exposure is harder to assess; do not assume that a stated yield makes it liquid or safe.

The Ethereum Foundation says it uses solo staking and supplies wETH to established lending protocols, with reassessment of security, liquidity and de-peg risks. It also says it may reallocate among protocols. This is an example of the Foundation’s own approach, not a template for corporate treasuries.
Examine governance, custody and operating controls
A credible policy should say how the company controls access to assets and manages the risks created by staking or deployment. Look for concrete descriptions of:
- Custodians, key management and authorization controls;
- Board or committee oversight, monitoring and approval limits;
- Counterparty and smart-contract assessment, including concentration limits;
- Validator operations, performance monitoring and slashing exposure;
- Available unencumbered liquidity and conditions for rebalancing or unwinding.
One SEC-filed annual report describes evaluating staking-related mechanisms for security, liquidity, counterparty and regulatory profiles, alongside exposure sizing, custody, validator operations, client diversity and monitoring. These are disclosed priorities and plans; a filing alone does not verify that controls operated as intended or eliminated risk. Read the SEC-filed annual report.

Determine whether ETH purchases are funded with operating cash, equity, equity-linked debt or other financing. Each source changes the consequences of a downturn: equity issuance can dilute existing shareholders, while debt creates repayment obligations. A strategy that depends on continued access to capital markets may be vulnerable if financing becomes more expensive or unavailable when ETH prices are falling.

Compare the financing plan with the company’s operating reserve and liabilities. Ask whether it can meet obligations without selling ETH at an unfavorable time, and whether the disclosed plan changes if it cannot raise additional capital. Filings identify financing access as a factor in some treasury strategies, but they do not establish how another company would fare under a particular market scenario.
Read the accounting notes, not just the headline balance
Find the company’s stated accounting policy for ETH, staking rewards, incentive tokens and liquid-staking tokens. Note the measurement basis, when gains and losses enter income, how valuations are determined, and where management judgment is involved. Similar economic exposure does not guarantee identical accounting treatment.
For example, ETHZilla’s 2025 Form 10-Q says the company recorded ETH and certain incentive tokens at fair value and recognized fair-value changes in income. It describes a different approach for its liquid-staking tokens and notes judgment and diversity in industry practice. That is a company-specific disclosure, not a rule for all issuers or all staking arrangements. Read ETHZilla’s 2025 Form 10-Q.

Risks should be explicit and connected to the company’s actual exposures. An annual report filed in 2026 disclosed that ETH traded below $1,472 and above $4,821 per ETH on Coinbase during calendar year 2025. That is the filer’s historical range and exchange reference, not a current quote or forecast. The same filing discusses ETH and staking-token concentration, financing dependence, a strategy not tested across an extended period or varied market conditions, slashing, possible loss of deployed principal and uncertainty around custodian insolvency. Read the SEC-filed annual report.
Use these disclosures to frame stress questions, not to assign unsupported probabilities: what happens if ETH falls sharply while operating expenses continue; if staked assets cannot be accessed when cash is needed; if a counterparty or protocol fails; or if capital markets close? The filings identify risks, but do not establish the likelihood or financial impact of those scenarios for another company.
Compare companies on the same dimensions
When comparing two or more companies, use a consistent set of questions rather than ranking them by ETH balance or announced yield alone.
| Dimension | What to examine |
|---|---|
| Purpose | Whether ETH is a reserve, long-term exposure, yield strategy or a combination, and how that mandate relates to operating needs. |
| Reserve adequacy | Available cash, liability matching, operating assumptions, reserve horizon and the process for selling ETH to meet obligations. |
| Exposure and liquidity | Direct ETH versus staked assets or liquid-staking tokens, amounts deployed, disclosed access constraints and unencumbered assets. |
| Risk governance | Custody and key controls, counterparty and contract review, validator operations, concentration limits, monitoring and board oversight. |
| Funding | Use of operating cash, equity or debt; dilution and repayment obligations; dependence on future financing. |
| Accounting and disclosure | Measurement, gains and losses, treatment of rewards and liquid-staking tokens, valuation inputs and judgment. |
| Implementation | What filings show has happened, compared with announced intentions, targets and forward-looking expectations. |
These dimensions help expose trade-offs; they are not a validated scoring system. The available disclosures do not provide standardized cross-company performance data that proves one treasury approach is superior.
