Document a startup financing as one connected record: the authority that approved it, the executed instrument, each investor’s allocation, the updated ownership ledger, the intended use of cash, and a controlled set of files for diligence. A signed term sheet or a spreadsheet alone is not enough. The record must let a director, auditor, investor, or lawyer trace every ownership figure back to an approval, contract, and payment.
The workflow below is a practical control system, not a universal legal checklist. The cited securities guidance is U.S.-specific, while the governance and data-room guidance from GOV.UK is UK material (and its term-sheet guide is written for the space sector). Apply the company’s governing law, charter or articles, bylaws or operating agreement, and negotiated investor rights with qualified local counsel.

GOV.UK’s diligence checklist calls for a cap table, previous funding agreements, board minutes, and a use-of-funds statement. It also advises explaining unusual numbers and variances rather than allowing different documents to contradict one another. See the Data Room Essentials & Documents Checklist.
1. Confirm who has authority before promising an allocation
Start with the company’s constitutional and contractual documents, not with investor emails. Check the charter or articles, bylaws or operating agreement, existing shareholder or investor agreements, board composition, delegation limits, and any side letters. Make a decision map showing which approval is needed for each action:
- issuing shares, units, options, or other securities;
- creating or changing a class or its rights;
- borrowing, granting security, or making a material asset sale;
- amending constitutional documents;
- waiving pre-emption, participation, information, or consent rights; and
- entering a related-party or unusually large commitment.
Some financing terms reserve these matters for investors as well as the board. The GOV.UK term-sheet guide describes board structure, decision-making arrangements, and investor consents as terms that shape oversight after an investment; it is expressly non-exhaustive and sector-focused. Read it alongside your own documents at Track 2: Term Sheet Key Points and Guardrails.
Record the authority check itself: document name, clause or section, person who performed the check, date, and conclusion. If authority is uncertain, pause the allocation rather than trying to cure an invalid issuance after money has moved.
2. Create an accurate decision trail
Use board minutes or a written consent in the form permitted by local law and the company’s governing documents. The record should distinguish discussion from approval. A proposal that was debated but deferred must not be written as if it passed.
What the minutes or consent should contain
- Date, meeting type or consent method, notice or waiver of notice, and confirmation of quorum or required signatures.
- Names and roles of participants, recusals, abstentions, and the votes or signatures that establish approval.
- The financing decision: instrument, class, maximum or exact amount, principal terms, closing conditions, and authority to sign.
- The allocation schedule or a precise reference to the final schedule, including how oversubscription, pro-rata rights, or a later close will be handled.
- The business rationale at a useful level, such as runway, a stated milestone, or refinancing an identified obligation.
- Any required shareholder or investor consent and evidence that it was obtained.
- Authority for named officers to execute documents, receive funds, issue certificates or book-entry interests, and update the ownership ledger.
- A list of attached or incorporated final documents and the effective date.
Board minutes are official governance records, but no single format applies in every jurisdiction. Have the company secretary or counsel verify that electronic signatures, written consents, notice periods, and record-retention practices comply with the applicable law.

3. Record each investor allocation against the signed instrument
Maintain a transaction schedule that can be reconciled line by line to the executed agreement and bank evidence. A practical field set is a control design, not a regulator-prescribed universal template.
| Field | What to capture | Why it matters |
|---|---|---|
| Investor identity | Exact legal name, entity type, registration or account identifier where appropriate, address, and signatory authority | Prevents a fund, special-purpose vehicle, or individual from being confused with a trading name |
| Instrument and class | Common or preferred stock, LLC membership interest, option, restricted stock, convertible note, SAFE, or debt; class and series | Rights and conversion mechanics differ materially by instrument |
| Economic terms | Amount committed, amount received, currency, price per share or unit, valuation or discount/cap terms, interest and maturity for debt | Supports the calculation and explains differences between investors |
| Ownership result | Shares or units issued, percentage on the stated capitalization basis, or conversion formula and trigger | Connects the contract to the cap table without guessing at a future conversion |
| Rights and conditions | Voting, liquidation preference, dividends, information or participation rights, vesting, milestones, closing conditions, and side letters | Captures obligations that a simple ownership percentage hides |
| Dates and evidence | Approval date, execution date, closing or funding date, payment reference, certificate or ledger entry, and amendment history | Creates a chronological audit trail |
| Approval link | Minute or consent identifier, required investor-consent reference, and the person authorized to sign | Shows that the allocation was properly approved |
The SEC explains that common and preferred stock can have different rights, an LLC uses membership interests, options are rights to buy shares subject to their terms, and a SAFE generally promises a future ownership interest after specified triggers. Its overview is at Common Startup Securities.
Match the instrument to the ownership statement
- Priced equity: record the class, number of shares or units, price, and post-closing ownership basis. State whether the percentage is fully diluted, issued and outstanding, or another defined basis.
- LLC interests: record units or percentage interests and the operating-agreement provisions governing voting, distributions, and transfers.
- Options or restricted stock: record grant date, number, exercise price or purchase price, vesting, expiration, and the plan approval. An option is not issued stock until its terms say it is exercised and the ledger is updated.
- Convertible note: record principal, interest, maturity, qualified-financing trigger, conversion price or discount, cap, and repayment or extension provisions. Do not show a fixed share count until the contract determines it.
- SAFE: record the purchase amount, valuation cap or discount if present, trigger events, and the conversion calculation. The SEC describes a SAFE as an agreement in which the company promises a future ownership interest if events such as a future equity financing or acquisition occur.
Attach side letters and amendments to the same investor record. A side letter that changes information rights or a most-favored-nation provision can be as important to diligence as the headline security.
4. Reconcile the cap table, ledger, and cash after closing
Do not treat a cap table as a one-time fundraising slide. After each closing, perform a three-way reconciliation:
- Compare the signed allocation schedule with the instrument register and certificates or electronic ledger entries.
- Compare the amount each investor committed with the amount actually received in the company bank account. Record currency, fees, withholding, partial funding, refunds, and cancelled commitments.
- Recalculate ownership using the defined basis. Include new shares or units, option-pool changes, conversions, repurchases, forfeitures, and any warrants or other rights that the chosen basis includes.
- Have a second person independently check formulas, totals, class rights, and rounding. Save the checker’s name and date.
- Lock a dated closing version and enter a change-log line for every later correction, conversion, transfer, or issuance.
The SEC notes that an investor’s ownership is often shown as a percentage or a number of shares or units on a capitalization table. That percentage is meaningful only when the denominator is defined. Label whether calculations are issued-and-outstanding, fully diluted, or another contractual basis, and preserve the supporting schedule.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Fix the driver behind crashes, sound loss and screen glitches3Clear out junk files and repair common Windows errorsFor a note or SAFE, show both the current legal position (the instrument outstanding) and a clearly labelled illustrative conversion scenario if management uses one for planning. Never present a scenario as an issued share count.

5. Tie the allocation to a use-of-funds plan
Keep a use-of-funds statement with the financing file. Break the intended proceeds into operating categories or milestones, identify timing assumptions, and identify any amount reserved for contingencies or transaction costs. Link the categories to the budget used in the approval materials.
Track actuals without rewriting history
- Report actual cash use in management or board packs using the same categories as the approved plan.
- Explain material variance, timing changes, and reallocation between categories; retain the original plan alongside the updated forecast.
- Reconcile totals to the accounting ledger and bank accounts, including amounts not yet drawn or held in a restricted account.
- Document a fresh approval when a financing agreement, consent, or board resolution limits use of proceeds.
- Resolve mismatches among financial statements, board minutes, forecasts, and the data-room copy before an investor sees them.
GOV.UK’s checklist specifically calls for a use-of-funds statement and context notes for unusual figures or variances. A consistent explanation is more credible than forcing every forecast to match an outdated plan.
6. Prepare a controlled data room for diligence
Organize the room by round and document type so a reviewer can navigate from approval to ownership to cash. A useful index is:
The Tool Desk
Outbyte Driver Updater FREEFix the driver behind crashes, sound loss and screen glitchesFind Drivers →Outbyte PC Repair FREEClear out junk files and repair common Windows errorsFree Scan →- Round overview and document index.

- Current and historical cap tables, ownership ledger, option-pool schedule, and conversion calculations.
- Bank evidence or closing statement showing funds received, with sensitive account details redacted where appropriate.
- Use-of-funds plan, budgets, forecasts, management accounts, and variance explanations.
- Material financial, tax, intellectual-property, employment, and regulatory records requested for the specific diligence.
Use secure data-room software with version control and detailed access logs, as recommended by GOV.UK. Set permissions by investor tier or diligence role, require an NDA before exposing confidential material, and remove access when a process ends. Keep a log of who uploaded, replaced, downloaded, or shared a file. A simple cloud folder can work for a small, trusted review only if it provides equivalent permission, version, and audit controls; otherwise use dedicated data-room tooling.
Publish a “current as of” date on the index. When a document changes, upload the new version, preserve the old version, and note the reason. Never circulate a cap table from an earlier closing while describing it as current.
Instrument, approval, ownership, and sharing choices
There is no universally correct financing record. Compare choices on the dimensions that change the company’s obligations:

| Decision | Questions to answer | Record consequence |
|---|---|---|
| Instrument and rights | Is the funding equity, debt, a SAFE, a convertible note, an option, or an LLC interest? What rights and triggers apply? | Store the executed instrument and calculate ownership according to its actual mechanics |
| Approval path | Is board approval enough, or are shareholders or existing investors entitled to consent? | Link each consent and quorum or signature evidence to the closing |
| Ownership impact | Are shares or units issued now, or can conversion, an option pool, or a future exercise dilute holders? | Maintain current ownership and clearly labelled scenarios |
| Jurisdiction and exemption | Which law governs the offer, and what registration or exemption requirements apply? | Retain offering records, notices, investor representations, and verification evidence required by counsel |
| Review workflow | Will a few known parties review a folder, or will multiple investor tiers need monitored access? | Choose permissions, version history, NDA gates, and download logs that fit the risk |
U.S. securities boundaries: a round name is not a compliance strategy
In the United States, an offering generally must be registered or fit an applicable exemption when registration is not used. “Seed,” “bridge,” and “Series A” are market labels; they do not determine the legal exemption. Keep the counsel-approved exemption analysis and offering records with the decision trail.

For Regulation D Rule 506 offerings, the SEC distinguishes the investor standards for Rules 506(b) and 506(c). Under 506(b), the issuer uses a reasonable-belief standard for accredited-investor status and may not generally solicit; under 506(c), general solicitation is permitted only when the issuer takes reasonable steps to verify that purchasers are accredited investors. A checkbox alone is insufficient. The SEC’s explanation is at Assessing Accredited Investors under Regulation D. These rules do not cover every U.S. financing, and they do not apply automatically outside the United States.
Store the version of questionnaires, verification documents, notices, legends, and filing receipts that counsel says are required. Limit access to sensitive personal and financial evidence and record when it was reviewed and by whom.
UK and cross-border context
The GOV.UK materials are practical investor-readiness guidance for the UK, not a substitute for company-law or financial-promotion advice. The term-sheet guide is framed around space-sector investment and labels itself non-exhaustive. Preference rights, board seats, option-pool conventions, and reserved matters are examples of negotiated terms, not mandatory provisions for every startup.
For a cross-border round, identify the governing law and forum in the instrument, then ask counsel to map corporate approvals, securities or financial-promotion restrictions, tax reporting, beneficial-ownership records, data protection, and electronic-signature rules in every relevant jurisdiction. Keep separate evidence where one investor’s jurisdiction requires a consent or disclosure that another investor does not.
Common failures and how to repair them
The cap table does not match signed contracts
Freeze further issuances, list every discrepancy, and reconcile from executed documents and payment evidence. Correct the ledger with a dated change entry; do not silently edit an old closing file.
Best Value
A board minute says “approved” when the meeting only discussed the proposal
Ask the authorized body to adopt a corrective resolution that accurately records what happened, with legal advice on whether a fresh approval or ratification is needed. Preserve the original minute and the correction.
Commitments exceed cash received
Separate committed, signed, funded, and cancelled amounts. Show partial closings and conditions, and avoid counting unfunded commitments as cash or issued ownership.
A SAFE or note is shown as current shares
Replace the share count with the outstanding instrument and its conversion terms. If a planning model shows a possible outcome, label assumptions, trigger, and date prominently.

Choose an approved baseline, document each reforecast and variance, and make the data-room copy agree with the board-approved explanation. Investigate whether accounting, timing, or currency treatment caused the mismatch.
Reviewers can download everything
Move sensitive files into a controlled room, apply role-based permissions, require an NDA where appropriate, enable logs and versioning, and revoke access for withdrawn or unsuccessful parties.
A closing checklist for the finance lead
- Governing documents and reserved matters reviewed.
- Required board, shareholder, and investor approvals identified and completed.
- Minutes or consents accurately distinguish discussion, approval, quorum, and recusals.
- Every investor’s legal identity, instrument, class, economics, rights, conditions, and dates recorded.
- Signed agreements, amendments, side letters, and payment evidence attached.
- Cap table or ownership ledger reconciled, independently checked, dated, and versioned.
- Commitments, funds received, refunds, and outstanding instruments separated.
- Use-of-funds plan tied to the approved budget and variance reporting.
- Applicable jurisdiction and offering requirements reviewed by qualified counsel.
- Data-room index, permissions, NDA status, version history, and access logs complete.
A reliable allocation record is therefore a chain of evidence, not a single form: authority leads to an executed instrument, the instrument leads to a reconciled ownership entry and cash receipt, and those records lead to a controlled explanation of how the money is being used. Maintaining that chain after the closing is what makes the financing defensible in later fundraising, audits, board decisions, and diligence.
