1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problemsTo compare an e-commerce company with listed competitors, first match businesses by how they make money, then calculate enterprise value and valuation multiples on the same date and financial basis. Compare the resulting peer median and range alongside growth, margins, cash generation, geography, and risk. A sector multiple is a reference point—not a valuation answer by itself.
Start by defining the company and the valuation question
“E-commerce” describes a channel, not one business model. A marketplace that earns commissions and service fees, a retailer that buys and resells inventory, a hybrid, and a commerce software provider can report very different revenues and margins even when all sell online.

Before selecting competitors, specify the target’s business model, the valuation date, currency, consolidated business scope, and whether you need enterprise value (EV) or equity value. These choices determine which peers and financial denominators are relevant.
Which listed companies count as comparable competitors?
Build a broad candidate list, then screen it against the target’s economics rather than its “e-commerce” label. Compare the following dimensions and record why each selected company belongs in the set:
#1 Best Overall
- Business model: marketplace commissions and services, first-party retail, dropshipping, subscription or software-enabled commerce, or a hybrid.
- Revenue definition and mix: gross product sales, net marketplace fees, advertising, seller services, subscriptions, and any segment or geographic mix that affects comparability.
- Geography and scale: markets served, revenue, enterprise value, customer base, transaction volume, and fulfillment footprint.
- Growth and durability: historical and forward growth, repeat purchasing, active-customer trends, retention, and dependence on a particular sales channel.
- Profitability and capital needs: gross and operating margins, EBITDA, free cash flow, working capital, inventory exposure, and capital expenditure.
- Risk and concentration: suppliers, platforms, large customers, product categories, regulation, currency, and competitive pressures.
Geography and revenue concentration can materially affect an e-commerce valuation. A valuation report in an HKEX-listed filing dated October 3, 2024, states: “The geographic location and revenue concentration of an e-commerce company can significantly impact the valuation.” Its screening rules—among them Asia business location, US$100 million to US$1 billion market capitalization, more than 90% of revenue in the target industry, and inventory turnover below 8—were specific to that valuation, not universal thresholds. Use the example as a reminder to state and justify your own criteria, not as a template to copy. Read the HKEX-hosted valuation report.
Flag diversified companies when their filings do not provide enough segment detail to isolate the relevant business. If a company differs materially in business model or geography, show it separately or explain why it remains useful rather than letting it silently skew the peer statistics.
Read filings before calculating multiples
Use the latest annual and interim reports to understand how each company earns and reports revenue. Record revenue-recognition policies, segment definitions, fiscal year ends, one-off items, and the company’s definition of non-GAAP measures such as adjusted EBITDA. Do not assume similarly named metrics are calculated alike.

For instance, Etsy’s FY2025 filing separates marketplace revenue from optional seller-services revenue. Its 2025 marketplace gross merchandise sales (GMS) were $10.5 billion, down 4% year over year, and active marketplace buyers were 86.5 million, down 3.4%. Those figures can help describe Etsy’s operating context; they are not valuation rules for the sector. See Etsy’s FY2025 Form 10-K.
Calculate enterprise value consistently
EV represents the value of the operating business available to all capital providers, not just common shareholders. The HKEX-hosted report defines it as ordinary equity value plus preferred equity and debt, less cash and cash equivalents. For a fair peer comparison, calculate each company on the same basis and valuation date.
- Set the market date and currency. Use equity values and balance-sheet data appropriate to the same valuation date, and convert values consistently if the peer set spans currencies.
- Start with equity value. Use the company’s market capitalization on that date for the equity component.
- Adjust for capital claims. Add debt and preferred equity; subtract cash and cash equivalents. Address leases, minority interests, and material non-operating assets consistently, and disclose the treatment.
- Choose matching financial periods. Label each denominator as last-twelve-month (LTM), next-twelve-month (NTM), or a specified fiscal year. Do not mix periods without clearly identifying the difference.
- Document the calculation. Give the date, currency, data source, period, and any adjustments for each company so another reader can reproduce the comparison.
Choose the multiple that fits the business
Use more than one multiple where it adds useful perspective, but keep the definition and period consistent across the target and peers. A ratio is only as comparable as its denominator.
| Multiple | When it can help | What to watch |
|---|---|---|
| EV/revenue (EV/sales) | Can provide a reference for a rapidly growing or loss-making business when revenue models are sufficiently similar. | It ignores margins and profitability. Marketplace fees and a retailer’s gross product sales are not equivalent revenue bases. |
| EV/gross profit | Can add context when gross margins or revenue models differ substantially. | State how gross profit is defined; cost classification and accounting treatment can affect the result. |
| EV/EBITDA | Often more interpretable for profitable operating businesses and less directly affected by financing structure than an equity earnings multiple. | Define adjusted EBITDA consistently and reconcile adjustments. A negative EBITDA denominator makes the multiple unhelpful. |
| P/E | Can be useful when net income is positive and peer accounting, tax, and capital structures are reasonably comparable. | It compares equity value with net income, so financing, taxes, and accounting differences can overwhelm operating comparability. |
Revenue-based ratios require particular care when comparing marketplaces with online retailers. Marketplaces may recognize commissions or take-rate-based fees, while first-party retailers generally recognize sales of goods. Gross merchandise value (GMV) is a measure of activity, not automatically revenue. Amaze Holdings’ FY2025 Form 10-K defines GMV as order value facilitated through its platform and states, “GMV does not represent revenue earned by us.” Its filing reports $9.429 million GMV and $1.967 million revenue for 2025; both amounts and the definition are specific to that company and filing. See Amaze Holdings’ FY2025 Form 10-K.
Do not treat EV/GMV and EV/revenue as interchangeable multiples. Issuers may also define GMV differently, so check the company’s filing before using it. If the target reports LTM figures while peers use NTM estimates, label the mismatch and explain why it is appropriate—or recalculate to a common period.
Normalize the peer set and show its spread
Before ranking companies, reconcile adjusted EBITDA with reported figures and identify exceptional items. Keep analyst forecasts separate from reported results, and mark forecast-based multiples clearly. Treat negative or near-zero denominators as not meaningful rather than presenting a distorted ratio.
Rank #4
Report the peer count, median, and range; inspect outliers rather than hiding them in a mean. Exclude a company only for a stated reason, such as a materially different business mix or an unusable denominator. A median is a reference for the chosen sample, not proof that the target should trade at that multiple.

Once the ratios are comparable, explain the differences that may justify a premium or discount. Consider growth and its durability, gross and operating margins, profitability and cash generation, repeat purchasing, customer acquisition, marketplace activity, concentration, inventory and working-capital needs, scale, and competitive position. A higher revenue multiple may reflect stronger growth expectations, but it does not establish that the company is worth more without considering margins, risk, and the quality of that growth.

Use sector benchmarks as dated context, not a rule
Two 2026 e-commerce benchmarks illustrate why a sector figure should not be treated as a universal answer:
| Source and date | Reported benchmark | How to interpret it |
|---|---|---|
| Multiples Online Shopping Index; data as of October 5, 2026 | 1.9x median EV/NTM revenue and 11% median NTM/LTM revenue growth across 100 tracked listed online-shopping and e-commerce companies. | The index identifies FactSet and Morningstar as underlying financial-data sources. Its displayed Amazon, Tencent, and Alibaba metrics are index outputs, not a matched peer set for every target. |
| Windsor Drake Research, “E-Commerce Valuations: Q3 2026”; published August 21, 2026, with company data retrieved August 19–21, 2026 | 2.12x median EV/revenue, with a 0.27x–13.81x range, across 21 listed constituents. | The report says the figures are its own computations from S&P Global Market Intelligence data. Its sample and method differ from the index above. |
The two figures use different populations, dates, and conventions—one is explicitly EV/NTM revenue and the other is EV/revenue. They are contextual snapshots, not interchangeable standards. Share prices and estimates change, so refresh the data for the valuation date you are analyzing.
Turn the peer comparison into an implied value
After deciding which peers and multiples are defensible, apply a justified peer range to the target’s matching financial denominator to estimate enterprise value. Convert that EV to equity value using the target’s own balance sheet and the same treatment of cash, debt, and other claims used in the comparison. Where the assignment permits, cross-check the result against a standalone cash-flow valuation or another suitable method.
