How to Assess Settlement Risk in Tokenized Securities Transactions

Assess tokenized securities settlement by testing legal finality, actual DvP linkage, remaining credit and liquidity exposures, token-to-asset integrity, and operational dependencies.

Assess settlement risk by establishing which record legally determines ownership, when each transfer becomes final, whether delivery and payment are genuinely linked, and what credit, liquidity, interoperability, and operational exposures remain if settlement fails. A ledger entry alone does not establish legal finality or prove that a token holder has the rights or assets the transaction assumes.

Start by identifying the security, ownership record, and finality point

Before assessing technology, establish what is being transferred and which legal and system records govern it. The SEC’s January 28, 2026 statement describes a tokenized security as a security represented by a crypto asset, with ownership recorded in whole or in part on or through crypto networks. It distinguishes issuer-sponsored arrangements from third-party tokenization; that U.S.-specific statement does not settle how another jurisdiction will treat a particular transaction. Read the SEC statement.

Determine what the token holder owns

Identify the security, the issuer, the token issuer if different, and the legal relationship between the token and the security. Establish whether holding or transferring the token itself changes the recognized ownership record, or whether a separate register, custodian, intermediary, or contractual claim controls. Review the governing documents and applicable system rules rather than inferring legal rights from a token’s label or technical design.

Pin down when settlement is legally final

Under the CPMI/BIS framing, settlement finality is the legally defined point at which an asset transfer or discharge of an obligation is irrevocable and unconditional, including in the event of a participant’s insolvency. A transaction’s technical confirmation, block inclusion, or smart-contract execution should not be assumed to be that point. Identify the governing law, relevant system rules, and the event that makes each transfer final. The CPMI/BIS report on tokenisation provides the analytical framework; enforceability and insolvency consequences depend on the specific arrangement and jurisdiction.

Trace the settlement sequence and test delivery versus payment

Map the full path from trade execution to confirmation: matching, funding, asset availability, delivery, payment, and final records. For each stage, name the responsible participant and platform, the condition that allows the next stage, and what happens if a required asset or payment is unavailable.

Test whether both legs are actually linked

Delivery versus payment (DvP) is designed to mitigate principal risk by linking transfer of the security to transfer of payment so neither leg completes without the other. The CPMI/BIS report describes DvP in securities settlement systems; the Bank of England/BIS discussion of future settlement also addresses how tokenized arrangements interact with existing infrastructures. CPMI/BIS on DvP; Bank of England/BIS on the future of securities settlement.

Do not treat a system as DvP merely because both legs use digital assets or execute quickly. Determine whether payment and delivery are conditional on one another in the actual rules and contracts, whether the linkage covers the complete transaction, and whether the legs settle on the same platform or require coordination across platforms. As BIS Economic Adviser and Head of Research Hyun Song Shin put it in a February 9, 2024 speech: “Delivery versus payment (DvP), where the transfer of the asset is a precondition for payment and vice versa, is the canonical use case, but more elaborate use cases can be envisaged.” Read the speech.

Measure credit and liquidity exposure through failure scenarios

Tokenization changes settlement arrangements; it does not remove the underlying credit and liquidity trade-offs. Assess who is exposed, to whom, for how long, and what resources are required if settlement is delayed or fails. A faster or technically atomic process does not, by itself, eliminate legal, credit, liquidity, or operational exposure. The CPMI/BIS and Bank of England/BIS analyses discuss these risks in the context of tokenized and future securities settlement. CPMI/BIS; Bank of England/BIS.

  • Credit exposure: Identify any interval during which one party has delivered value without receiving the corresponding asset or payment, and identify exposures to settlement participants and settlement-asset issuers.
  • Liquidity needs: Determine what cash or eligible settlement assets must be available, when they must be available, and whether a delay or failed settlement creates additional funding needs.
  • Failure and replacement: Establish who bears the cost and responsibility for a missed settlement, how a trade is cancelled or completed later, and how the parties handle the cost of replacing it.

Use the actual transaction sequence and contractual allocation of loss to answer these questions. A claim that settlement is “instant” is not a substitute for identifying the exposure window and the fallback process.

Verify the token-to-security link and the settlement asset

Establish the rights represented by the token and what record or asset supports those rights. The CPMI/BIS report identifies potential credit risk where a settlement token or tokenized claim does not correspond reliably to its underlying asset—for example, if underlying assets are missing or only partly available, or if redemption is constrained. See the CPMI/BIS discussion of tokenisation risks.

  • What security, entitlement, or contractual claim does the token holder have?
  • What underlying asset or authoritative ownership record supports the claim, and who maintains it?
  • How is the asset’s availability established, and under what conditions can the token be redeemed or transferred?
  • What happens if the token record and underlying ownership record diverge, or if the underlying asset is unavailable?
  • What is the settlement asset, who issues it, and what obligations or credit exposure attach to it?

Answer these points from governing documents, system rules, and participant disclosures. A technical ability to transfer a token does not by itself establish that the associated security is available or that the holder can redeem or enforce the claimed rights.

Assess interoperability, operations, and governance

Settlement may involve tokenized platforms alongside account-based systems, separate ownership records, or different platforms for the security and cash legs. The Bank of England/BIS analysis highlights interoperability as a material consideration in future securities settlement; the CPMI/BIS report also treats operational and other risks as dependent on the arrangement. Bank of England/BIS; CPMI/BIS.

Document how the systems exchange identity information, reconcile records, communicate confirmations, and handle transfers between platforms. Identify the system operator and participant responsibilities, decision-making and change-control processes, and the procedures for outages, errors, recovery, and disputed records. Distributed technology alone does not establish resilience; evaluate the actual controls, dependencies, and recovery arrangements.

Use a consistent diligence matrix across arrangements

When evaluating more than one settlement arrangement, apply the same questions to each and record the supporting documents. The dimensions below are a risk-assessment framework, not a ranking of platforms or a conclusion about any particular provider.

Risk area What to establish Evidence to examine
Legal finality Governing law, authoritative ownership record, and the event that makes delivery and payment irrevocable and unconditional. Governing documents, applicable system rules, and legal analysis for relevant jurisdictions.
DvP linkage Whether both legs are conditional on each other, whether linkage covers the full transaction, and how cross-platform legs are coordinated. Settlement sequence, platform rules, contracts, and failure procedures.
Credit and liquidity Exposure duration, counterparties and settlement-asset issuer, funding needs, and allocation of delay or failure costs. Transaction flow, settlement-asset terms, participant obligations, and documented fallback processes.
Token and underlying asset Rights represented, supporting asset or record, availability and redemption, and treatment of discrepancies. Token terms, security and ownership records, custody arrangements, and redemption provisions.
Interoperability How tokenized and account-based systems exchange records and coordinate asset and payment legs. Interfaces, reconciliation and confirmation procedures, and cross-platform operating rules.
Governance and resilience Operator accountability, system changes, incident handling, recovery, and participant responsibilities. Governance documents, operating procedures, continuity and recovery arrangements, and participant disclosures.

For each answer, distinguish documented protections from assumptions and unresolved dependencies. The BIS materials provide analytical guidance rather than legal advice or certification of a specific system. Transaction-level conclusions require review of the relevant contracts, rules, technology, participants, and local law.
