How Startup Founders Can Prepare for an Acquisition or IPO

Founders can prepare for either a sale or public offering by strengthening financial reporting, ownership records, governance, and clarity about company objectives—then planning for the distinct demands of each route.

Prepare the company to withstand scrutiny before choosing an exit: keep its financial reporting and ownership records reliable, strengthen governance, and decide what the company and its owners actually need from a transaction. An acquisition and an IPO then require different work. This guide draws on U.S. Securities and Exchange Commission guidance, primarily published in 2024; it is general information, not legal, investment, accounting, tax, or transaction advice.

Start with readiness that helps either path

Acquisition and IPO preparation are not last-minute projects. Both paths are easier to evaluate when the company can explain its finances, ownership, operations, and decision-making clearly and support that explanation with dependable records. The SEC’s IPO-readiness guidance recommends evaluating accounting controls, reporting and recordkeeping systems, governance, and management controls before becoming public. Those practices also give founders a stronger basis for assessing a potential sale, though the SEC materials do not establish a universal acquisition-diligence checklist.

Readiness cannot guarantee that a transaction will happen, what it will be worth, or whether it will succeed. It gives founders better information for deciding whether a route fits, responding to scrutiny, and understanding the consequences for the company and its owners.

Get the company’s account of itself straight

Founders should be able to describe the business consistently: what it does, how it is performing, what its plans require, and what its owners hope to accomplish. This is not just a pitch exercise. The numbers, ownership records, and governance practices need to support the narrative. If they do not, the gap itself is a preparation issue to investigate with the appropriate advisers.

Clarify the outcome you are seeking

Write down whether the priority is capital to support further growth, liquidity for existing holders, a strategic home for the product, or another objective. The SEC advises companies to weigh the benefits and challenges of public-company status against long-term strategic objectives, assess market conditions and customer interest, and remain flexible about timing. An IPO is one possible route, not a default measure of startup success.

How an acquisition differs from going public

An acquisition is negotiated around a buyer, the scope of what is being transferred, the form of consideration, and any agreed arrangements after closing. An IPO is an offering process followed by public disclosure and reporting obligations; public-market alternatives also include a SPAC merger and a direct listing. The right comparison is not simply a headline sale price against a proposed offering valuation. Founders need to consider what each route means for the company, its shareholders, and its leaders.

Decision point Acquisition IPO or another public-market route
Transaction outcome Negotiated transfer of some or all existing equity. Consideration may be cash, stock, or a combination. A public offering or another public-market transaction; liquidity and capital depend on the route and its terms.
Company’s future The buyer may integrate the startup. Key leaders or employees may stay for a period if agreed. The company takes on public disclosure, reporting, governance, and applicable listing requirements.
Preparation emphasis Reliable company, financial, and ownership records; clarity about which equity is included and any post-close arrangements. Reporting controls, governance, audited financial reporting, disclosure, leadership, advisers, and listing readiness.
Time and cost Deal-dependent; the cited SEC pages give no universal estimate. The SEC says preparation can take several months or longer and advises considering short-term cash needs and continuing compliance costs.
Core question Are the buyer, consideration, integration plan, and negotiated roles acceptable? Do the company’s objectives justify the preparation and ongoing public-company obligations?

This is a high-level comparison of the issues described in SEC guidance, not a recommendation for a particular company. The SEC’s overview of exit strategies and liquidity describes acquisition consideration and public-market routes; its IPO guidance and reporting overview explain preparation and post-offering responsibilities.

Make ownership and corporate records dependable

Start with the capitalization table, often called a cap table. The SEC glossary describes it as a record identifying equity holders and related information, such as the security class, number of shares or units, and purchase or disposition details. Compare the table with the underlying company records and resolve discrepancies rather than relying on a spreadsheet that may not reflect the actual ownership history. See the SEC’s glossary definition of a capitalization table.

Organize the company’s corporate and equity records so that the people advising on a transaction can understand what exists and how it changed. The cited SEC guidance supports dependable recordkeeping generally; it does not prescribe a complete list of documents every startup must produce for a buyer or registration statement. Requirements depend on the company and the transaction. Ask legal and accounting advisers to identify gaps relevant to the specific route rather than assuming a generic checklist will fit.

Build accounting and reporting that can withstand scrutiny

Assess whether the accounting controls and systems used to produce company information are reliable and timely. Founders need to know who is responsible for financial reporting, how information is assembled, and whether management can explain the figures consistently. This is especially important if the company is considering public disclosure: a registration statement is a formal disclosure document, not an expanded pitch deck.

The SEC says a Form S-1 prospectus describes the company’s operations, financial condition, results, risk factors, and management, and includes audited financial statements. Regulation S-K addresses nonfinancial disclosure requirements; Regulation S-X addresses the form and content of financial statements. Their application depends on the company and filing. The SEC’s registration statement guidance was published June 21, 2024, and last reviewed November 12, 2024.

For IPO planning, discuss the financial statement and disclosure work with qualified securities counsel and accounting professionals early enough to understand what it entails. Do not assume that every company needs a particular number of audited years based on general guidance alone; the relevant requirements depend on the filing and circumstances.

Prepare leadership, governance, and advisers

Going public changes the demands placed on company leadership and oversight. The SEC recommends evaluating governance and management controls and identifies qualified leadership, experienced directors, a strong audit team, and advisers such as underwriters, attorneys, and accountants as elements to consider. These are recommendations in the agency’s readiness guidance, not a universally required board design or a one-size-fits-all roster.

For an acquisition, capable leadership is also important while founders assess a proposal and plan for the company’s future under a buyer. Determine who will make decisions during negotiations and who can explain the business and its records. The SEC’s cited acquisition guidance notes that key leaders or employees may remain for a period after closing by agreement; it does not prescribe roles or duration.

Match advice to the decision. IPO preparation may involve securities counsel, underwriters, accountants, and other advisers; an acquisition can require legal, tax, accounting, and transaction advice suited to the proposed deal. Founders should involve qualified professionals for company-specific decisions instead of treating general SEC materials as a substitute.

Understand the IPO process and obligations after the offering

The SEC states that going public is a journey that can take “several months or longer.” This is the agency’s qualitative estimate in guidance dated June 12, 2024, not a measured average, a promise, or a universal timeline. The same guidance advises founders to consider short-term cash needs during the process and the continuing costs of public-company compliance. It does not provide a universal budget or audit-cost estimate.

Preparation does not end at listing. Depending on the company’s obligations, public-company reporting can include annual Form 10-K and quarterly Form 10-Q reports, as well as Form 8-K current reports for specified events. The SEC describes CEO and CFO certifications of certain annual and quarterly information. Public disclosures are available through EDGAR, and the company or individuals may have additional obligations based on their roles and ownership.

Use the SEC’s Exchange Act reporting and registration guidance to understand the reporting framework. Before pursuing a public route, assess whether the company has the people, systems, controls, and resources to meet applicable obligations on an ongoing basis—not just to complete an offering.

Evaluate what an acquisition would mean for owners and employees

In a potential sale, clarify whether the proposal covers some or all existing equity and whether the consideration is cash, stock, or both. Those details determine how the transaction affects existing holders; a headline valuation by itself does not describe what each holder receives or when. The SEC’s exit-strategy guidance describes these consideration forms but does not establish a standard deal structure or outcome.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Consider post-close arrangements separately from the transaction’s headline value. If founders, key leaders, or employees may continue with the buyer, understand the proposed role and period of continued involvement as negotiated. Integration can affect how the company operates after closing, so founders should make sure the plan is clear enough to evaluate alongside the economics.

For public-market routes, understand how holders may obtain liquidity and where shares are expected to trade under the chosen route. Some holders’ shares may be subject to lockup periods depending on the route and offering terms. Do not assume that an offering means every holder can sell immediately or on the same terms.

Consider a SPAC merger on its own terms

A SPAC business combination is a distinct transaction structure, not simply an ordinary IPO under another name. If the company considers one, examine the interests and potential conflicts among sponsors, directors, officers, affiliates, and public shareholders. SEC staff guidance emphasizes disclosure of potential conflicts and compensation-related matters. The staff’s SPAC disclosure guidance is relevant to understanding those issues; it does not establish that this route suits a particular startup.

A practical preparation sequence

  1. Define the desired outcome. Record what the company and its owners need from a transaction, then assess whether a sale, an IPO, or another public-market route can meet those objectives.
  2. Reconcile ownership information. Review the cap table against underlying ownership records and resolve inconsistencies with appropriate advisers.
  3. Assess reporting systems. Examine accounting controls, the reliability of company reporting, and recordkeeping. If an IPO is plausible, ask accounting professionals and securities counsel what audited statements and disclosure work the specific filing may require.
  4. Review governance and leadership capacity. Identify where oversight, management controls, or leadership experience may need strengthening for the route under consideration.
  5. Model the consequences for holders and leaders. In an acquisition, examine the equity included, consideration mix, integration plan, and negotiated continued roles. For a public route, examine the route to liquidity, likely trading venue, and any applicable lockup terms.
  6. Budget for the full IPO lifecycle if applicable. Account for both the preparation period and ongoing public-company compliance; do not treat listing day as the end of the work.
  7. Revisit timing as conditions change. The SEC recommends considering market conditions and customer interest and remaining flexible. A readiness plan can help the company choose when and whether to pursue a route, rather than forcing a transaction on a preset schedule.

Questions founders should resolve before choosing

  • What company and shareholder objectives should the transaction serve?
  • Can the company support its financial and ownership information with dependable records?
  • For a possible IPO, does the company understand the registration statement, audited financial reporting, governance, listing considerations, and continuing reporting work that may apply?
  • For a possible acquisition, does the company understand what equity is included, how consideration is structured, and what post-close roles or integration terms are being negotiated?
  • Do the company’s resources and leadership capacity fit the preparation and obligations of the route?
  • Have qualified legal, securities, accounting, tax, and transaction advisers assessed the company’s specific circumstances?

SEC materials cited here are U.S.-focused general guidance; legal and listing requirements differ in other jurisdictions and may change. An adviser should confirm which rules and obligations apply to a particular company, offering, or deal.
