They are related measures, but a funding-round headline, the price of preferred shares, the fair value of employee common stock, and a public share quote are not interchangeable.
What a private-company valuation actually measures
A private company has no continuously quoted exchange price for its shares. Its valuation is therefore an estimate or negotiated transaction figure, not a single universal price. To understand what a number means, identify four things: its purpose, its date, the capitalization basis used, and the security being valued.

- Purpose: fundraising, employee equity and tax, financial reporting, or a sale can call for different measurements.
- Date: the estimate reflects information and expectations available on a particular date.
- Capitalization basis: a financing valuation depends on the share count and other capitalization assumptions used in the deal.
- Security: preferred and common shares can carry different rights and therefore have different values.
For privately traded stock, the IRS says a valuation should apply a reasonable method reasonably, based on the facts and circumstances on the valuation date. The amount paid in a transaction is one factor, not automatically the answer. IRS Internal Revenue Bulletin 2024-20
How companies estimate private-company value
There is no single formula that fits every company or every purpose. An analysis may consider a recent financing or secondary transaction, comparable companies or transactions, projected cash flows, and possible future outcomes. The method chosen should suit the instrument being valued and the question being asked.

Transactions and financing rounds
A recent share sale can provide useful evidence, especially if it involved the same class of shares and comparable terms. But a financing price reflects a negotiated transaction between particular parties; it does not establish that every share could be sold at that price.
A post-money valuation commonly means the negotiated round share price multiplied by a specified share count after the financing. The result depends on the capitalization basis in the deal. A pre-money figure instead describes the agreed value before the new investment. Neither headline should be treated as cash that existing shareholders could necessarily realize by selling all their shares.

Comparables, forecasts, and scenarios
Valuation work may compare a company with similar businesses or transactions, assess forecast performance and cash flows, or model different outcomes such as continued private operation, an acquisition, or an IPO. Forecasts and scenarios require judgment because future performance, timing, and liquidity are uncertain.

One issuer’s pre-IPO filing describes a hybrid probability-weighted approach that considers multiple outcomes, the rights attached to different share classes, and discounting. It also lists inputs such as development progress, strategy, industry conditions, cash, historical and projected performance, the lack of an active market, and the likelihood of an IPO or sale. That filing illustrates one company’s process; it is not a universal recipe. SEC-filed annual report, “Determination of the Fair Value of Common Stock”

Why a 409A valuation can be below the latest funding valuation
“409A valuation” is commonly used in the United States for an analysis of a private company’s common stock related to setting employee stock-option exercise prices under U.S. tax rules. It is not the company’s overall headline equity valuation, the preferred-stock price from its latest financing, or an offer to buy every share.
In a funding round, investors often buy preferred shares. Those shares may have protections or payment rights that common shares do not. Because a common share can have fewer rights and may be harder to sell, its estimated fair market value can be lower than the preferred price from a recent financing. The difference is not necessarily evidence that either figure is wrong: the figures may value different securities for different purposes and dates.

How share-class rights affect value
Preferred stock can include rights such as liquidation preferences, anti-dilution protection, dividends, or limited voting rights. The SEC notes that preferred stock is usually sold at a premium to common stock based on the company’s valuation at the time of sale. SEC Small Business Glossary
Liquidation preferences matter because preferred holders may be entitled to receive money before common holders in certain outcomes. In one issuer’s described option-pricing method, common stock receives value only after funds available at a liquidity event exceed preferred-stock liquidation preferences. The same filing describes a scenario-based method that accounts for different outcomes and rights. These are examples of how rights can affect allocations, not a rule that every company must use one specific method. SEC-filed annual report, “Determination of the Fair Value of Common Stock”
More broadly, SEC staff guidance says a valuation method should meet the fair-value objective, rely on established financial-economic principles, and reflect material features of the instrument. A model may be unsuitable if it cannot account for a feature that materially affects the award being measured. SEC Staff Accounting Bulletin No. 120

Public shares trade in an established market, so investors can observe current quoted prices. Those quotes can move continually as company-specific news and wider market events change expectations; they are not guarantees that every shareholder can sell at that exact price. Investor.gov explains that public-company stocks are generally SEC-registered and that most public companies file quarterly and annual reports. Investor.gov: Stocks – FAQs
The SEC defines public float using shares held by non-affiliates multiplied by the market price per share. That observable price is different in kind from a private estimate based on selected transactions, forecasts, and assumptions. SEC Small Business Glossary
A practical way to compare two valuation figures
Before comparing numbers, check whether they answer the same question. Use this checklist:
- Purpose: Is the figure for fundraising, employee equity or tax, accounting, or a sale?
- Date: Were both figures determined using information from the same period?
- Security and rights: Does one figure refer to preferred shares and the other to common shares or options?
- Capitalization basis: What share count and assumptions underlie a financing headline?
- Evidence and method: Is the number based on a transaction, comparables, forecasts, or scenario allocation?
- Liquidity: Are the shares freely tradable, or are there restrictions and no active market?
- Type of number: Is it an estimate, a negotiated deal price, or a live public-market quote?
If those features differ, the figures may not be directly comparable. “What is the company worth?” is incomplete without asking what is being valued, for what purpose, and as of when.
