How Oracle’s Force-Majeure Notice Changes the AI Data Center Thesis

Oracle’s force-majeure notice over Project Jupiter spotlights power delivery and delay risk, but it does not establish that the New Mexico campus is late, cancelled or entitled to deferred rent.

Oracle’s force-majeure notice over New Mexico’s Project Jupiter is a warning about power delivery, construction execution and who pays when an AI data center runs late—not proof that Oracle is cancelling the project or that it has already missed its schedule. The notice may preserve Oracle’s ability to assert contractual rights, but the reported possibility of delayed rent depends on the parties agreeing that a qualifying event occurred. For investors, the key question is whether planned capacity can be powered and delivered on time, and who carries the cost if it cannot.

What Oracle’s notice does—and does not—mean

On September 24, 2026, Bloomberg reported that Oracle sent a force-majeure notice to STACK Infrastructure, a Blue Owl unit developing Project Jupiter in New Mexico. Bloomberg’s sources described the notice as an effort to preserve Oracle’s position if the site failed to meet a reported 2028 target to come online, not as an attempt to leave as the campus’s main tenant.

Bloomberg reported that if Oracle and STACK agree a force-majeure event tied to power commitments occurred, Oracle could receive a three-year delay on rent after rent begins. The same account said Oracle would still pay other costs in the interim and owe rent for the full lease term once payments start. The underlying lease is private, and the reported rent outcome is conditional—not an established concession or an agreed interpretation of the contract.

Oracle vice president Michael Egbert told Axios that the campus “remains on our planned schedule” and that notices of this kind are commonly used to preserve contractual rights in large developments. Blue Owl said the notice did not change the project’s financial commitments. Those statements are relevant, but neither resolves whether the parties will agree that the contract’s force-majeure conditions have been met.

So far, the notice is not evidence by itself that Oracle has defaulted, exited, or secured a rent deferral. Bloomberg also reported that the notice did not constitute an event of default under the project’s financing agreement.

The schedule has two different milestones in the public record

Oracle’s official portfolio page says customer delivery for Doña Ana County begins in the first half of 2027. Bloomberg’s account describes 2028 as the planned date for the site to come online. The available accounts do not explain whether these refer to different phases or milestones, so the dates should not be treated as interchangeable or combined into a single schedule.

This distinction matters: a project can have staged construction, power commissioning and customer delivery. “Online,” “energized” and “ready for customer delivery” do not necessarily describe the same point in a campus’s development. The public dates alone do not establish that a delay has occurred.

Why power is the critical path

Project Jupiter is designed for 2.45 gigawatts, according to Bloomberg and TechCrunch. TechCrunch reported that the campus is intended to use Bloom Energy gas-powered fuel cells, with gas supplied through an Energy Transfer pipeline. It reported that the pipeline had been delayed nearly six months, to February 1, 2027, after regulators repeatedly denied permits. A separate air-quality permit for the fuel-cell system was pending, with a November 23, 2026 decision deadline reported for New Mexico’s environment department. Those are reported dependencies and deadlines; the available reporting does not establish the outcomes of either process.

The business risk runs through a connected chain:

  1. Pipeline and permits: Can the fuel supply and fuel-cell system clear their regulatory and construction steps?
  2. Power commissioning: Can the planned power system be installed, tested and made available when the campus needs it?
  3. Data-center energization: Can the buildings and computing equipment operate at the required scale?
  4. Customer delivery and revenue: When can customers actually receive usable capacity?
  5. Financing and carrying costs: Who pays for construction, debt service and other costs while the site is not yet delivering?

A chip order or completed building does not, on its own, create billable compute. Force-majeure language matters because lease, construction, energy-supply and financing contracts can allocate the consequences of a delay differently. The reporting raises questions about those interactions; it does not establish a legal ruling on the validity or effect of Oracle’s notice.

Project figures need to be read by date and status

Large gigawatt and investment figures describe different scopes and stages. Announced plans are not equivalent to energized capacity, and company estimates are not independently verified outcomes.

Figure What it describes Qualification
2.45 GW Project Jupiter’s designed capacity, reported by Bloomberg in 2026. Designed capacity, not a report of power already delivered. Bloomberg compared the load with electricity use for roughly 1.8 million homes at a given moment; that is an equivalence, not a household energy forecast.
$18 billion A construction loan for the campus, reportedly provided by about 20 banks, according to Bloomberg in 2026. Reported financing scale; Bloomberg said the force-majeure notice was not an event of default under the financing agreement.
Below 90 cents on the dollar A reported trading level for project debt, attributed by Bloomberg in 2026 to a person with knowledge. A time-sensitive, anonymously sourced datapoint from that reporting—not a current market quote.
4.5 GW Additional Stargate capacity in the Oracle–OpenAI agreement announced by OpenAI in July 2025. Announced additional capacity, not capacity shown as delivered in that announcement.
Over $300 billion over five years OpenAI’s July 2025 characterization of the value of its Oracle partnership. Company-described partnership value, not recognized revenue or Project Jupiter financing.
Over 100,000 jobs OpenAI’s 2025 estimate associated with building, developing and operating the additional 4.5 GW. Company estimate spanning direct operations, short-term construction and indirect manufacturing and local-service roles; not an audited realized job count.
Nearly 7 GW; over $400 billion over three years OpenAI’s September 2025 description of five new sites plus Abilene and projects with CoreWeave. Announced planned capacity and investment scope, not delivered capacity or spending already completed.
75% of Abilene’s total capacity Oracle’s official page said this had been delivered as of September 2026, with the remainder expected in subsequent quarters. Company-reported status. The same page said Doña Ana County customer delivery would begin in the first half of 2027.

OpenAI’s July 2025 announcement said the added 4.5 GW would bring Stargate capacity under development with Abilene to more than 5 GW and involve more than two million chips. Its September 2025 announcement later described nearly 7 GW of planned capacity across announced sites and other projects. Those are different dated snapshots and scopes, not necessarily conflicting totals. The September announcement also included the Doña Ana County site among three sites associated with more than 5.5 GW of potential capacity and expected customer delivery beginning in the first half of 2027.

Execution can also change site by site. The Associated Press reported on March 27, 2026 that OpenAI had dropped a further Abilene expansion while Microsoft and Crusoe were proceeding with adjacent buildings and on-site power. That illustrates that proposed customers and project plans can shift; it does not show that Project Jupiter has been cancelled or that demand for AI infrastructure has disappeared.

What this changes in the AI data-center thesis

Power access is a delivery gate

For a data center, capacity on a plan is not the same as capacity that can be energized and delivered. Permits, fuel availability, grid or on-site power arrangements and commissioning can determine when a campus becomes useful to customers. Jupiter puts those dependencies in focus because its reported power path includes both a gas pipeline and a pending air-quality permit.

Contract terms decide who absorbs delay

A notice can preserve a party’s claim without deciding whether the claim is valid. In Jupiter’s case, the possible rent deferral is conditional, while Oracle and Blue Owl have publicly said the project remains on schedule or that financial commitments are unchanged. The private contract and any agreement between the parties will determine more than the label attached to the notice.

Financing risk can rise before a default

A delay can increase carrying costs or put pressure on a project’s financing even if the tenant does not terminate. Bloomberg’s reporting on the loan and debt trading level makes the financing layer relevant, but the reported notice itself was not a financing-agreement default. Investors should distinguish market concern about execution from a contractual default event.

One site does not settle the whole buildout

Stargate is a multi-site program, and reported status differs by location. OpenAI’s headline investment and capacity figures are announced plans or company characterizations; Oracle’s September 2026 update separately reported that part of Abilene’s capacity had already been delivered. A disruption or milestone at one campus should not be applied automatically to every project in the program.

Customer concentration and substitution are project-specific

The Abilene reporting shows that customer plans can shift and another developer or customer may proceed nearby. It does not establish that capacity, power arrangements or economics can be transferred easily from one project to another. Replacement demand is a possibility to investigate, not a guaranteed backstop.

What to watch next

For Jupiter, the most informative updates will be concrete milestones rather than another headline gigawatt figure:

  • Whether the reported pipeline delay and the fuel-cell air-quality permit are resolved, and whether that changes the power-commissioning path.
  • Whether Oracle’s first-half 2027 customer-delivery milestone and Bloomberg’s reported 2028 online target are clarified as separate phases.
  • Whether Oracle and STACK agree that a qualifying force-majeure event occurred, and whether any resulting rent treatment is disclosed.
  • Whether construction, power commissioning and customer delivery progress together, rather than only one of those milestones.
  • Whether financing terms, carrying costs or customer arrangements change as the project advances.

For comparisons across AI data-center projects, track planned versus energized and delivered capacity; the source and availability of power; permit and community constraints; what “customer delivery” means and when it is expected; customer concentration and replacement options; how contracts allocate delay-related rent; and leverage, debt service and interim carrying costs. Headline capacity obscures these differences.
