How IPO Allocations Work for Individual Investors

IPO access for individuals depends on the issuer, underwriters and participating brokers. Learn how allocations work and what to consider if you buy after listing.

IPO shares are allocated by the issuing company and its underwriters—not handed out automatically to everyone who places an order. Individual investors may be able to request shares through a participating broker, but access and allotments are limited, and no broker can guarantee an allocation. If you do not receive shares, you can usually try to buy once public trading begins, at the market price rather than the IPO offering price.

Who decides which investors receive IPO shares?

The company going public and its underwriters set the offering’s distribution. The U.S. Securities and Exchange Commission (SEC) says it does not regulate the business decision of how IPO shares are allocated; the issuer and underwriters have wide latitude in making that decision. SEC guidance on IPO allocations explains that the offering’s shares are distributed through this process before public trading begins.

Most IPOs, except the smallest, use an underwriting syndicate: a group of broker-dealers involved in distributing the shares. Only a limited number of firms are invited to join, and syndicate members do not necessarily receive equal amounts to offer their customers. A broker that is not participating in a particular offering may not be able to request shares for clients at all.

Underwriters may focus on institutional investors and wealthy clients, especially when demand is high. If more investors want shares than are available, an individual customer may receive only a small allocation or none. The size of a broker’s share allotment and its decision about which eligible customers to approach both affect the outcome.

How can an individual investor request IPO shares?

Check whether your broker participates

Start by asking your broker whether it is participating in the specific IPO. Participation is not the same as a promise that every customer can request shares: each firm sets its own eligibility rules and may restrict access to certain clients.

Confirm the firm’s eligibility requirements

A broker may assess whether an IPO is suitable for you based on your financial situation, investment objectives, existing holdings and risk tolerance. It may also limit offers according to account balance, trading activity or access to premium services. Requirements differ by firm and offering, so check the broker’s current terms rather than assuming that an account alone qualifies.

Follow the broker’s request process

Ask how the firm handles indications of interest or orders, what deadline applies, and whether you need to respond to an invitation. An indication of interest is not an allocation. The firm may receive fewer shares than customers request and may make no allocation to you.

The SEC’s IPO eligibility guidance states: “No brokerage firm can guarantee you will be able to purchase shares in an initial public offering (IPO).” It also notes that firms often describe their participation restrictions on their websites.

Direct allocation versus buying after trading starts

These are distinct ways to buy shares. An ordinary order placed before a company’s stock begins trading does not let an investor simply obtain shares at the IPO price; access to that price depends on receiving an allocation through the offering.

Factor Direct IPO allocation Purchase after public trading begins
Access Requires a broker involved in the offering and satisfaction of its eligibility rules. Generally available through a broker that can trade the stock once public trading begins.
Price The IPO offering price, if shares are allocated to you. The live market price when your order executes; it may be above or below the offering price.
Likelihood for an individual Not assured; access and allotments can be limited. A more common route for individual investors, but an order still depends on market availability and execution.
Timing Shares are allocated as part of the offering before public trading starts. You can place an order after the stock begins trading publicly.
Price and supply risks An allocation does not prevent the share price from falling after trading begins. Early trading can be volatile; limited supply and temporary underwriter support may affect the price.

For an after-listing purchase, consider the order type and the price you are willing to pay. A market order can execute at the available market price, which may move quickly in early trading. A limit order sets a maximum purchase price but may not execute if the stock does not trade at or below it.

Why might you not receive IPO shares?

  • Your broker is not in the syndicate. Firms that are not participating may have no allocation to distribute to customers.
  • Your account does not meet the firm’s criteria. Suitability reviews, account balances, trading activity or service tiers can affect eligibility.
  • Demand exceeds the broker’s allotment. Even eligible customers can be turned down when requests outnumber the shares the firm received.
  • The offering’s distribution favors other investors. Underwriters may prioritize institutional or wealthy clients, and allocation decisions are not governed by an SEC formula.
  • You have a history of quickly reselling IPO shares. Some firms discourage “flipping”—reselling soon after trading begins—by restricting access to future IPOs or imposing temporary participation limits.

Ask your broker whether you were ineligible, whether the firm received a limited allotment, or whether its allocation policy affected your request. A rejected request does not necessarily mean you did anything wrong; availability and firm rules vary from one offering to another.

What to check before deciding whether to buy

Read the latest prospectus

The company’s prospectus, usually included in its registration statement on Form S-1, describes the offering terms, business, financial condition, management and risks. Find the registration statement and amendments through SEC EDGAR, and check the latest version because terms can change during registration. The SEC’s IPO investor bulletin explains what to look for in the filing.

Find out whether existing shareholders are selling

Check the prospectus cover and selling-shareholder sections for shares being sold by existing owners. Proceeds from those shares go to the selling shareholders, not to the company. That is different from newly issued shares sold by the company to raise money.

Consider when more shares could become available

Founders, early investors and employees may hold restricted shares or be subject to lock-up agreements. The SEC says 180 days is a typical lock-up period, not a rule that applies to every IPO. When a lock-up expires, more shares may become eligible for sale, but an expiry does not mean every holder will sell.

Account for early trading uncertainty

Limited shares available to trade can affect the price soon after listing. Underwriters may also provide temporary price support, but that support can end; the stock can fall below its offering price. An IPO allocation therefore does not guarantee a gain, and buying after listing does not remove the risk of a sharp price move.

If you do not get an allocation

You can wait until the stock begins public trading and decide whether to place an order through your broker. At that point, you are buying at a market price, not claiming an IPO allocation or an entitlement to the offering price. Compare the current price with the information in the prospectus, consider the volatility and possible changes in available supply, and avoid treating a first-day price increase as evidence that the stock is fairly valued.

If you prefer not to buy during early trading, you can also wait and reassess later. There is no requirement to participate in an IPO, and missing the offering-price allocation does not obligate you to buy at a higher price once trading starts.
