Neither route guarantees better returns, and neither is a simple substitute for the other. The practical differences are what you own, when you can exit, how you assess risk, and who controls custody.
What you own in each route
“Crypto investment” can describe several legally and economically different holdings. Before comparing costs or potential upside, identify which one is actually being offered.

Crypto venture capital fund interest
A crypto VC investor usually owns an interest in a fund or managed vehicle. The fund invests in companies or projects, and the investor’s exposure depends on its portfolio, investment decisions, and governing documents. Investments may be in equity, project ownership, or—in some funds—tokens if a project launches one. A fund interest does not automatically give the investor a project’s token or direct ownership of a portfolio company.

A direct buyer acquires a particular token, typically through a service provider or another transaction route, and holds it through self-custody or a third-party custodian. The holding’s value and possible uses depend on that token and the market for it. A token does not automatically represent company equity, a claim on a company’s assets, or a right to project profits. Check the offering materials and token terms to establish what rights, if any, it carries.

Spot bitcoin or ether exchange-traded product
A spot bitcoin or ether exchange-traded product (ETP) is a separate route: the investor holds shares or units in a product that holds the crypto asset, rather than the underlying token in a personal wallet or a VC fund interest. The SEC says these products can provide exposure without the investor personally managing a wallet and keys. They have product-specific risks and are structured as commodity trusts, not ETFs registered under the Investment Company Act. See the SEC’s investor bulletin on spot bitcoin and ether ETPs.
How the routes compare
| Question | Crypto venture capital | Buying tokens directly |
|---|---|---|
| Main exposure | Underlying companies and projects, plus fund portfolio decisions and terms. | The price and characteristics of the selected token; rights and market structure vary by token. |
| Liquidity and exit | Fund terms govern exits and any fund-level liquidity event. Cambridge Associates describes crypto VC funds as typically illiquid, with long lockups of 3–10 years; that is a broad characterization, not a universal term. | Some tokens may trade around the clock, but actual liquidity is token- and market-specific. A market can become illiquid or disappear. |
| Diversification | A fund may spread investment across projects, sectors, or stages, depending on its mandate and portfolio. Its documents determine how much diversification it actually offers. | The investor chooses which tokens to hold and bears the concentration risk of those choices. Adding tokens changes exposure but does not eliminate risk. |
| Research focus | Assess teams, technology, business models, market fit, and the fund’s approach to engaging with teams. | Assess token fundamentals, network activity, staking where relevant, and market sentiment. These are considerations, not a dependable formula for valuation. |
| Access | Cambridge Associates characterizes access as limited to qualified investors and notes that top funds typically require large investments. Eligibility, minimums, location, and terms are fund-specific, not universal thresholds. | Direct access may be available to retail and institutional investors, subject to the provider, asset, location, and applicable legal restrictions. |
| Costs and reporting | Fund and managed-vehicle fees and expenses apply; reporting may be limited. Review the offering and governing documents. | Exchange or custody fees may apply. Public blockchain activity may be visible, but visibility does not establish who is behind a token or what economic rights it provides. |
The liquidity description and comparison of investment focus draw on Cambridge Associates’ November 2025 comparison. Actual fund documents and conditions in each token market matter more than category-level generalizations.

How to evaluate liquidity and exit options
Liquidity is not just a question of whether something has a quoted price. It is whether you can sell or redeem your holding, when you can do so, and on what terms.
For a fund interest
Read the fund documents for the lockup, withdrawal or redemption rights, transfer limits, and any conditions attached to a fund-level liquidity event. The Cambridge Associates estimate of 3–10 years describes typical crypto VC lockups in its November 2025 report; it does not establish the term for any particular fund. Do not assume you can sell a fund interest as easily as a listed token.
For a token
A token may be listed and trade frequently, but that does not guarantee a buyer will be available at a reasonable price when you want to sell. The SEC warns that crypto markets can become illiquid or disappear, and that platforms may suspend withdrawals. Check the asset’s actual trading and withdrawal arrangements rather than treating continuous trading hours as a promise of a usable exit.
What diligence looks like
The two routes require different kinds of homework. Neither has a universally reliable shortcut to judging value.

Before investing in a crypto VC fund
- Read the fund’s mandate and portfolio disclosures to see what it can invest in and how concentrated it may be.
- Check fees, expenses, valuation methods, conflicts of interest, reporting practices, and withdrawal or transfer restrictions in the offering and governing documents.
- Confirm eligibility, minimum investment, geography, and the actual lockup and exit provisions for that fund.
- Assess the underlying teams, technology, business models, and market fit, while recognizing that progress at portfolio companies does not by itself determine when or how investors can receive proceeds.
Before buying a token
- Read the offering disclosures and token terms to establish what the token does and what rights it conveys, if any.
- Consider token fundamentals, network activity, market structure, and—where relevant—staking arrangements, without mistaking any one indicator for a reliable valuation method.
- Check where the token can be bought, sold, and withdrawn, and whether the provider supports it in your location.
- Decide how you will hold it and understand the associated key-control and provider risks before transferring funds.
Custody: who controls access to direct holdings?
A crypto wallet does not store the crypto asset itself; it manages the private keys that control access to it. The SEC’s Office of Investor Education and Assistance explains this in its Crypto Asset Custody Basics for Retail Investors.

Self-custody
With self-custody, you control the private keys and are responsible for securing them. Losing a key can mean permanent loss of access. A hot wallet is connected to the internet and convenient for transactions, but exposed to cyberthreats. A cold wallet is typically an offline physical device and is generally less exposed to online threats, but it can be lost, damaged, or stolen. A hardware wallet is an optional self-custody tool, not a requirement for direct investment or a way to remove market, project, or legal risk.

Third-party custody
When a provider holds the keys, you rely on that provider’s security and operations, and may face provider or insolvency risks. The SEC advises investors to examine a provider’s background, supported assets, custody practices, use of customer assets, insurance terms, and fees. “Custody” does not by itself establish that assets are protected in every failure scenario.

This legal overview is U.S.-specific. The SEC’s April 2026 explainer says federal securities laws cover securities, including crypto assets when they are securities. It also says that a crypto asset that is not itself a security may be offered and sold subject to an investment contract. The SEC describes the Howey analysis in terms of an investment of money in a common enterprise with a reasonable expectation of profits derived from the essential managerial efforts of others. Whether a particular token or offering meets the relevant legal test depends on its facts and circumstances; the word “token” alone does not settle the question. See the SEC’s April 2026 statement on crypto assets and securities laws.
The SEC also warns about volatility and illiquidity, platform or issuer failure, withdrawal suspensions, unclear ownership or control, legal restrictions, and fraud. An unregistered offering may not provide information that registration would require, though some offerings may rely on exemptions. Check the offering’s registration status and disclosures; a platform’s branding is not evidence of regulatory protection. The SEC’s investor alert on virtual currency investments discusses these risks. SEC investor education and staff materials do not replace legal advice or review of the specific offering documents.
Which route fits the decision you are making?
Use the holding and its documents—not the broad label “crypto”—to decide what you are willing to own and what constraints you can accept.
- A fund interest means relying on a manager and accepting the fund’s portfolio choices, fees, reporting, eligibility rules, and exit terms.
- A direct token purchase means choosing the asset yourself, assessing its specific market and rights, and deciding how it will be held.
- A spot bitcoin or ether ETP offers exposure through a product’s shares or units, with its own structure and risks; it is neither direct token custody nor VC.
No market-wide evidence here establishes that crypto VC has higher realized returns than direct-token investing, or vice versa. Compare the actual fund, token, or ETP documents and the risks you would bear rather than assuming one category has a general return advantage.
