When a CEO is accused of misconduct, the board should first ensure that someone independent can assess the allegation, preserve relevant evidence, protect the reporting channel, and determine who has authority to oversee the inquiry. The audit committee may be the right body—especially when accounting, internal controls, auditing, or financial reporting are involved—but U.S. rules do not automatically assign every CEO-conduct complaint to it. The response depends on the company’s status, governing documents, policies, applicable law, and the facts. This article focuses on U.S. public-company governance; it is general information, not legal advice.
Start by identifying who can oversee the allegation independently
The first question is not whether the allegation is true. It is whether the people who normally control the company’s investigation process can assess it fairly. The audit committee chair should promptly consider whether the CEO, other executives, regular company counsel, or potential witnesses could influence the inquiry or control important information.

Review the committee charter, whistleblower policy, and investigation protocols to determine which board body has authority. Depending on the allegation and conflicts, oversight may belong with the audit committee, another independent director or committee, or a special committee. The available SEC rules establish audit committee authority within its remit; they do not prescribe one structure for every allegation involving a CEO.
For listed-company audit committees, SEC rules provide authority to engage independent counsel and other advisers as necessary to carry out the committee’s duties, with appropriate funding. The SEC’s rule text explains that independent advisers can help a committee evaluate conflicts and legal or disclosure obligations without relying solely on management’s perspective. See the SEC’s final rule on listed-company audit committees.

When outside advisers may be important
Independent counsel or investigators may be appropriate when the CEO is implicated, company counsel’s independence could reasonably be questioned, the facts are complex, or the committee needs expertise it does not have. The choice should match the issue: counsel can advise on legal duties and privilege, while qualified investigators can gather and assess evidence. The SEC and DOJ materials support independent authority and sound investigations, but do not require outside counsel in every case or set a universal investigative structure.
Independence is practical as well as formal. The committee should be able to set the scope, receive findings directly, obtain information, and decide what to recommend to the board. If management remains responsible for parts of the process, define limits that prevent the subject of the allegation or their close associates from directing the work.
Determine whether the audit committee’s specific mandate applies
Public-company audit committee duties have an important boundary. Listed-company audit committees must establish procedures for receiving, retaining, and treating complaints about accounting, internal accounting controls, or auditing. They must also provide a way for employees to submit concerns about questionable accounting or auditing confidentially and anonymously. The SEC describes these requirements in its listed-company audit committee standards and final rule.

That specific complaint procedure should not be described as a universal statutory channel for every kind of misconduct. An allegation about personal conduct, harassment, or another matter unrelated to accounting or auditing may still require attention under company policies, other laws, the committee charter, or the facts. The board should route it to the body authorized and equipped to oversee it, while checking whether it also raises a financial-reporting, control, or compliance issue.
For a particular issuer, confirm the applicable exchange requirements and governing documents rather than assuming that a general description settles the question. The SEC’s 2003 rulemaking is foundational, but the issuer’s status and current rules matter to how requirements apply.

Define the allegation and set a workable scope
Before investigators begin interviews, the oversight body should establish what needs to be determined. A vague instruction to “look into the CEO” can miss relevant records, expand without control, or fail to answer the board’s actual questions. Define the alleged conduct, relevant period and locations, potential witnesses, affected records, and possible connections to the company’s accounts, controls, audit, disclosures, compliance program, or other obligations.
Scope should be specific enough to guide work but flexible enough to follow evidence. If an accounting complaint reveals a broader control failure or management involvement, the inquiry may need to expand. Independent counsel can help map legal duties, reporting issues, and privilege considerations. Privilege is not automatic merely because lawyers participate, so counsel should advise on the particular facts and how investigative work is structured.
Write down the scope, reporting line, expected milestones, and conditions that require escalation. Those decisions help the committee evaluate whether the investigation is answering the right questions without prescribing a predetermined outcome.
Preserve relevant information and protect the reporting channel
Work with counsel and appropriate custodians to identify and preserve potentially relevant documents, communications, and electronic records. Determine which systems, devices, business units, and record owners may hold evidence, and ensure that ordinary deletion or alteration does not undermine the inquiry. The specific preservation steps depend on the matter; the SEC and DOJ sources cited here do not establish a universal retention protocol or a CEO-investigation checklist.
Protect the complainant’s confidentiality to the extent consistent with a fair and adequate investigation. Limit unnecessary disclosure of identity, explain that confidentiality cannot always be guaranteed, and keep the reporting channel available for follow-up. The company should also guard against retaliation and monitor for adverse treatment of the complainant or witnesses.

The Justice Department’s Evaluation of Corporate Compliance Programs, updated September 2024, identifies trusted reporting mechanisms, protection from retaliation, appropriate routing, timely and thorough investigations, and follow-up as relevant features of an effective compliance program. DOJ describes confidential reporting mechanisms as probative of whether governance mechanisms can detect and prevent misconduct; that is an enforcement-assessment consideration, not a guarantee of a particular outcome.
Commission a fair, timely investigation
The investigation should test the allegation, not merely collect statements that support one side. Depending on the matter, investigators may review records, interview the complainant and witnesses, seek the CEO’s response, compare accounts against contemporaneous evidence, and identify gaps or contradictions. Maintain a clear distinction among substantiated facts, disputed accounts, and unresolved questions.
- Agree on the mandate. The independent oversight body approves the written scope, reporting line, investigator access, milestones, and escalation criteria.
- Gather and assess records. Investigators identify relevant sources, preserve material, and compare documents and communications against the allegation.
- Interview relevant people. Speak with witnesses in a way that permits evidence to be tested, while managing confidentiality and retaliation risks.
- Evaluate the evidence. Assess corroboration, inconsistencies, missing information, and any explanation offered by the CEO or others.
- Report findings and limits. Present what is established, what is not established, what remains uncertain, and any control or compliance issues that emerged.
DOJ’s guidance evaluates whether complaints are routed appropriately, investigations are timely and thorough, and follow-up and discipline occur where appropriate. It does not impose a fixed number of days or a universal investigative method. Set timing expectations that reflect the risk and complexity, update the committee on material delays, and avoid allowing an open-ended process to become a substitute for a decision.
Choose an oversight and investigation structure that fits
No single design is correct for every allegation. The relevant choices turn on conflicts, the audit committee’s remit, expertise, access to evidence, confidentiality, and whether findings can be reported credibly to independent directors. The SEC and DOJ materials support independence and investigation quality but do not prescribe a universal structure.
| Approach | When it may fit | Key question | What the sources establish |
|---|---|---|---|
| Audit committee-led inquiry | The allegation concerns accounting, internal controls, auditing, or financial reporting, or the committee’s charter otherwise gives it a relevant role. | Can the committee oversee the matter independently and access the necessary evidence? | SEC rules establish specific complaint procedures and adviser authority for listed-company audit committees; they do not assign every CEO allegation to the committee. |
| Special committee or other independent board-led inquiry | The allegation is outside the audit committee’s core remit, involves multiple board responsibilities, or calls for a distinct independent group. | Do the governing documents and applicable law support this body’s authority? | The cited sources do not prescribe when a special committee must be formed. |
| Internal investigators | The investigators have relevant expertise and can work without interference from implicated executives. | Can they report findings directly to independent oversight and protect the process from conflicts? | DOJ evaluates investigation quality and appropriate routing, but does not require internal or external investigators. |
| Independent outside counsel or investigators | Management conflicts, specialized expertise, or the need for a credible independent assessment make outside support useful. | What authority, access, funding, and reporting line will preserve independence? | SEC rules give audit committees authority to engage advisers as necessary for their duties; they do not require outside counsel in every case. |
Cost, speed, and privilege consequences cannot be set from a general rule: they depend on the issuer, facts, and engagement. The committee should have counsel address those points in the specific matter rather than treating a particular structure as automatically faster, cheaper, or privileged.

Keep the board and independent auditor appropriately informed
The audit committee should maintain a useful line of communication with the full board or other independent directors, consistent with the charter and counsel’s advice. Share information needed for the board to discharge its responsibilities, including significant developments, risks, and decisions. In its 2020 statement on audit committee oversight, the SEC encouraged candid communication between audit committees, management, and independent auditors, and attention to identified reporting issues and their resolution.
If the allegation touches financial statements, controls, or the audit, keep the independent auditor appropriately engaged. The committee should understand identified audit matters and how they are being addressed. Communications should not be used to steer the auditor away from a legitimate issue or to make the auditor a substitute investigator for the board.
Section 10A of the Securities Exchange Act contains a specific escalation rule, not a general requirement to report every allegation directly to the board. Under 15 U.S.C. § 78j-1, if an auditor detects and informs the audit committee of an illegal act, concludes that it materially affects the financial statements, and finds that senior management and the board have not caused timely and appropriate remediation, the auditor must report its conclusions directly to the board as soon as practicable when the failure is reasonably expected to warrant a departure from a standard report or resignation. Each condition matters; the rule should not be broadened beyond that circumstance.
Decide on remediation, disclosure, and accountability
Once the evidence is evaluated, the committee should bring findings and recommendations to the board or other authorized decision-maker. Possible responses may include strengthening controls, changing processes, discipline, management changes, or other corrective action. The response should reflect what the inquiry actually established, the company’s obligations, and the seriousness and scope of any control or compliance failure—not the existence of an allegation alone.

DOJ’s Principles of Federal Prosecution of Business Organizations and corporate enforcement policies, updated July 21, 2026, identify factors such as compliance effectiveness, management involvement, voluntary disclosure, cooperation, and remediation in prosecutorial assessment. Remediation can include improving controls, disciplining or terminating wrongdoers, or replacing responsible management. These are prosecutorial considerations; they do not promise a declination, reduced penalty, or universal disclosure obligation.
Document the decisions and preserve a credible record
Maintain a record of the committee’s authority, conflict assessment, decisions about oversight and advisers, investigation scope, significant evidence and findings, remediation, and the rationale for material actions. Documentation lets directors demonstrate that they considered the matter deliberately and acted on evidence. Counsel should advise what belongs in minutes, investigative reports, or other records and how privilege and record-retention obligations apply; there is no universal template in the sources cited here.
The committee’s role is corporate oversight and response, not deciding criminal guilt. Its record should show how the company addressed the allegation and any substantiated control or compliance failures without presenting an unresolved claim as a finding.

SEC audit committee requirements operate within their statutory and listing-rule scope. The anonymous and confidential employee channel described by the SEC is specifically tied to questionable accounting or auditing concerns. For other CEO allegations, consult the company’s policies, charter, applicable law, and current exchange requirements.
Time-sensitive enforcement guidance can change. DOJ’s compliance-program evaluation cited here was updated in September 2024, and its corporate enforcement policies were updated July 21, 2026. A company making a current decision about self-disclosure, cooperation, or enforcement credit should check the policy then in force and obtain legal advice.
