Anthropic’s structure allows it to seek outside investment while giving its Long-Term Benefit Trust (LTBT) growing authority over board appointments. Its Public Benefit Corporation status also lets directors consider the company’s stated public-benefit purpose alongside stockholder financial interests. Anthropic has announced large funding rounds under this arrangement, but those rounds do not prove the structure caused them.
Who has a role in Anthropic’s governance?
Anthropic combines three mechanisms: its Public Benefit Corporation (PBC) status, the LTBT’s Class T stock and board-election powers, and a board seat elected by Series C and later investors. These describe different parts of governance; they do not, by themselves, reveal the complete ownership or voting position of every investor.

Public Benefit Corporation status
Anthropic describes its corporate purpose as “the responsible development and maintenance of advanced AI for the long-term benefit of humanity.” The company says PBC status gives directors legal latitude to consider that purpose and the long- and short-term effects of decisions alongside stockholders’ financial interests. Anthropic also cautions that PBC status alone does not make directors directly accountable to other stakeholders. This is room to weigh public benefit, not a guarantee that any particular decision will prioritize it.

Anthropic describes the LTBT as an independent body of financially disinterested trustees. At the close of Series C, the company says it amended its charter to create Class T stock, held exclusively by the Trust. Under the terms Anthropic announced in September 2023, the Trust’s authority to elect and remove directors phases in according to time- and funding-based milestones. The announcement said the Trust would elect a board majority within four years; the precise effect at any given time depends on those milestones and current governing documents. The Trust also receives notice of certain actions that could significantly alter the company or its business.

Investor representation and safeguards
Anthropic says it created a board seat elected by Series C and later investors so that investors have direct board representation. It also describes protective provisions under which sufficiently large stockholder supermajorities can amend the Trust’s powers without trustee consent. The required supermajorities increase as the Trust’s authority phases in. The arrangement therefore gives investors a governance role while establishing a separate Trust role; it is not accurately described as either investor control without a check or investor exclusion from governance.
How the structure can shape decisions
The PBC purpose gives directors a basis to weigh public benefit and externalities when making decisions. Separately, the Trust’s phased authority changes who can elect and remove an increasing share of directors. Together, these mechanisms are intended to make it harder for short-term pressure to determine choices when leaders believe safety or long-term societal effects matter.

That is the design’s intended effect, not proof of how it performs in practice. Anthropic called the Trust “an experiment” in its 2023 announcement and described the structure as a hypothesis to observe and adjust. The arrangement does not establish that the company will always choose a particular course on safety, commercial strategy, or any other issue.

Can investors overrule the Long-Term Benefit Trust?
Anthropic’s published description does not support a simple yes-or-no answer about what investors can do in every circumstance. It says the Trust holds Class T stock and receives phased-in director-election and removal authority, while Series C and later investors elect a board director. It also says sufficiently large stockholder supermajorities can amend Trust powers without trustee consent, with higher thresholds as the Trust’s authority phases in.

The company’s public materials do not provide a complete current cap table or a full map of each share class’s present voting rights. They therefore do not establish the exact current balance of votes, whether a particular investor or group could meet an amendment threshold, or how every possible board dispute would be resolved. The disclosed mechanisms show both Trust oversight and investor participation, but not enough to calculate a definitive current control outcome.

These are figures Anthropic reported in its respective financing announcements. A post-money valuation is not the amount of cash raised. The figures show that the company announced large rounds under this structure; they do not disclose the full distribution of ownership or each investor’s current voting rights, and they cannot show what fundraising would have looked like under a different governance arrangement.

Anthropic’s company page, as of the information available at publication, lists Dario Amodei, Daniela Amodei, Yasmin Razavi, Reed Hastings, Chris Liddell, and Vas Narasimhan on its board. It lists Neil Buddy Shah, Richard Fontaine, and Dr. Ben Bernanke as LTBT trustees. Membership can change, so this is a dated company-published roster rather than a permanent account of board or Trust composition.
