Free Zone vs Mainland in the UAE: A Decision Framework for First-Time Founders

Choosing a UAE free zone or mainland licence depends on your activity, emirate, customers and operating needs. Compare permissions, facilities, staffing and tax before committing.

For a first-time founder in the UAE, neither a free-zone company nor a mainland company is automatically the better choice. Start with the exact activity and emirate, then check where you will sell, what premises and staff you need, and how the relevant licensing and tax rules apply. Get written confirmation from the licensing authority before paying for a setup package or lease.

What “mainland” and “free zone” mean for your decision

This is a choice about licensing, regulation and how the business will operate—not simply a choice between two prices. Mainland and free-zone routes have different requirements, and individual emirates, activities and zones can change the answer. The UAE Government’s national-level guidance, reviewed on 3 October 2026, does not establish a universal winner or a reliable apples-to-apples setup-cost figure.

A free zone is not one standard package: each authority sets its own eligible activities, entity options, facilities and procedures. As the UAE Government puts it in its “Starting a business in a free zone” guidance, “All free zones might not register all types of companies.”

Compare the routes against your operating plan

Decision area Mainland route Free-zone route What to confirm
Activity and licence Select an activity and matching legal form and licence; additional regulator approvals may apply. UAE Government mainland guidance lists more than 2,000 business activities. The chosen zone must register the intended activity and entity form. A separate sector regulator may also have requirements. Written acceptance of the exact activity, ownership structure and legal form from the relevant authority or authorities.
Customers and delivery Consider this route closely if direct business in the UAE mainland is central to the plan. Mainland access is regulated. Free-zone and international operations or re-export may suit eligible businesses, but the licence does not itself remove local-market restrictions. Whether each contemplated sale, service, tender or goods movement is permitted under the licence and applicable rules.
Premises and facilities A physical address must meet the emirate’s and municipality’s requirements. A zone may offer offices, flexible workspace, specialist facilities or warehousing; offerings differ. The required footprint and which facilities are actually included in the quoted package.
Employees and visas Recruitment and labour requirements depend on the relevant local authority. Visa quotas and procedures vary by authority and package; some financial free zones have distinct employment frameworks. Current quota, work-permit route, fees and employment regime for the specific entity.
Tax Corporate tax treatment depends on the federal regime and the company’s facts. Free-zone incentives are conditional; the free-zone label alone does not create an exemption. Current Federal Tax Authority rules and whether the company and income meet the applicable requirements.
Total cost Quote depends on activity, legal form, premises, approvals and emirate. Quote depends on zone, licence, facilities, visas and renewals. Written quotes for the same operating assumptions and period, with inclusions and renewals itemised.

The more-than-2,000 activity figure comes from UAE Government mainland setup guidance; activity classifications and availability can change, so check the current catalogue. The comparison is a starting point, not confirmation that a particular founder qualifies for either route.

Use this decision sequence before committing

  1. Define the licensed activity and emirate. Describe what the business will actually do, then ask the relevant mainland department and any candidate free-zone authority whether it accepts that activity, legal form and ownership structure. Identify any additional regulator approval before choosing a package. The mainland setup process includes activity selection, legal form, licence and trade-name steps, initial approval, possible further approvals and a compliant location. Initial approval alone does not authorize the business to operate.
  2. Map where customers are and how you will serve them. Separate UAE mainland customers from free-zone, international and re-export activity. If direct mainland sales or operations are essential, scrutinize the mainland licensing route first. For a free-zone business, confirm the lawful route for each local sale or service. The UAE Government describes use of a mainland distributor or a mainland branch/company among the routes for local sales; check the current rule for your activity and emirate rather than assuming one route applies to every business.
  3. Check goods movement separately from the licence. If the company imports, stores or sells goods, ask how customs treatment changes when goods move from a free zone into the mainland, and which licensing or distribution arrangements apply. Service businesses should instead confirm that the proposed delivery and contracting model is permitted.
  4. Match facilities to the actual work. Compare what the business needs—such as an address, office, workspace, specialist facility or warehouse—with what the mainland rules require and what each candidate zone includes. A zone’s sector-specific infrastructure may matter for media, technology or port-based logistics, but do not infer that all zones offer the same facilities or package terms.
  5. Model staffing, visas and renewals. Ask the authority for current visa capacity and procedures for the proposed package, and check the applicable work-permit and employment regime. Include permits and renewal costs alongside premises and licence renewals, not just the initial setup quote.
  6. Calculate tax from company-specific facts. The UAE Government’s corporate-tax page, updated in 2026 and relaying Ministry of Finance rates, describes standard rates of 0% on taxable income up to AED 375,000 and 9% above AED 375,000. These figures do not by themselves determine a company’s tax position: free-zone incentives depend on meeting requirements, and other current provisions may matter. Confirm the treatment of the actual entity and income with current official guidance or a qualified adviser.
  7. Request comparable written quotes. Ask the relevant mainland department and each candidate zone for a quote based on the same activity, premises assumptions, visa needs and comparison period. Have the quote spell out what is included, which approvals or facilities cost extra, and the renewal charges. The reviewed government sources do not identify a generally cheaper route or provide an authoritative like-for-like startup-cost comparison.

How the framework points to a route

A mainland licence merits closer examination when local operations are central

If the business depends on serving UAE mainland customers directly, operating there, or bidding for local work, make mainland permissions an early check rather than an afterthought. Verify the activity, licence, premises and any additional approvals for the emirate. A free-zone business may have routes for mainland sales, but the relevant licensing and goods-movement conditions need to be confirmed for its specific model.

A free zone merits closer examination when its rules and facilities fit the model

A zone may be a practical fit if it accepts the activity and entity form, provides facilities the business needs, and its rules support the intended customer and delivery pattern. Compare specific authorities: eligibility, workspace, warehousing, immigration processing and administrative support are not uniform. Do not choose a zone on the assumption that every free-zone company receives the same benefits or unrestricted mainland access.

Pause if the answer depends on an unverified assumption

  • The authority has not confirmed the precise activity or ownership structure.
  • The business plan assumes direct mainland sales without an approved licensing or distribution route.
  • The quote leaves out premises, approvals, staff permits or renewals needed to operate.
  • The financial model treats free-zone status as automatic corporate-tax exemption.

Resolve these points with the relevant authority or a qualified UAE adviser before signing a lease or paying for a package. Emirate procedures, activity permissions, zone packages, visa quotas and tax eligibility can change; national-level guidance cannot settle an individual company’s licensing outcome, current costs, bank-account eligibility or tax position.
