A vesting schedule, liquidity plan or exchange-listing claim is not a guarantee. Learn what presale documents to verify and how to assess token releases and trading conditions.

A crypto presale’s vesting calendar, liquidity plan or promised exchange listing is not proof that you will be able to sell tokens—or that they are safe investments. Before relying on any claim, check the sale terms, token allocations, release controls, venue announcements and issuer disclosures. The U.S. sources discussed here are investor-education materials and staff guidance, not a determination about any particular token or a substitute for legal advice.

What is token vesting?

Vesting is a schedule or restriction governing when allocated tokens may be released or transferred. A lockup is a restriction on transfer for some period or until a specified condition is met. Projects may use these terms differently, so read the definitions in the actual sale documents, tokenomics materials and any relevant contract rather than assuming a label has a standard meaning.

For each allocation, identify:

  • Who receives it and what percentage or number of tokens it covers.
  • When the schedule starts and whether there is a cliff before the first release.
  • How often tokens are released, how much is released each time and when the schedule ends.
  • Whether the tokens are subject to a separate transfer restriction.
  • Who controls the schedule or can change it, including any administrator or upgrade authority.

The SEC Division of Corporation Finance’s April 10, 2025 staff statement, Offerings and Registrations of Securities in the Crypto Asset Markets, lists token supply, allocations, vesting and lockups, and authority over supply rules among disclosure topics in the context of securities offerings. These are useful subjects to check, not a universal mandatory checklist for every presale.

When do presale tokens unlock?

Tokens unlock on the dates or events specified by the governing terms. An unlock means some amount may become transferable under those terms; it does not mean holders will sell, and the date alone does not predict a price move.

Build a calendar for each disclosed allocation. Record its recipient category, amount or percentage, start date, cliff, release cadence and final release date. Then compare those releases with the project’s stated initial circulating supply and other planned additions to circulating supply. If there is an on-chain vesting contract, check whether its address and terms match the project’s documents. If an administrator can alter the schedule, note who holds that power and whether you can verify it. If the contract, administrator or amendment rules cannot be independently confirmed, treat them as unverified rather than assuming the published schedule is enforceable.

Newly transferable supply and concentrated insider allocations can be relevant market factors, but their effect depends on actual holder decisions and market conditions. The SEC’s 2025 staff disclosure examples identify supply, allocation and vesting information as subjects investors may need to evaluate; they do not establish a typical price impact for an unlock.

Will the token be listed on an exchange?

A project’s statement that a token “will list” is a claim about future trading support, not a guarantee. Look for confirmation published by the named venue itself, and check whether it identifies the token, trading pair and expected timing. A project post, influencer statement or screenshot is not equivalent to a venue announcement.

Also distinguish what kind of venue is involved. A platform that calls itself an exchange is not necessarily a regulated national securities exchange or an alternative trading system. Investor.gov’s January 14, 2020 alert about initial exchange offerings (IEOs) warns that a platform may imply registration or vetting inaccurately. That alert concerns IEOs; apply its warning to a presale only where the arrangement is comparable, not as a conclusion about every venue or sale.

Even a genuine listing announcement cannot establish how long trading will continue or whether buyers and sellers will be available at a reasonable price. The SEC’s March 23, 2023 investor alert, Exercise Caution with Crypto Asset Securities, warns that crypto markets can be volatile and illiquid, that a market may disappear, and that an asset may stop trading.

Can I sell tokens after they unlock?

Not necessarily. An unlock may remove a vesting restriction, but a sale still depends on such things as whether transfers are technically enabled, whether a market supports the token, and whether there are willing buyers at a price you accept. A published calendar does not guarantee that those conditions will exist.

Before counting on an exit, check the token’s transfer rules and any applicable restrictions in the sale documents. Once trading begins, verify the actual venue and review trading activity, the spread between buy and sell prices, and order-book depth where that information is available. Small reported trades or a visible listing do not establish that a larger holding can be sold without substantial price impact.

Do not treat an unlock date, a market-maker arrangement or a claimed listing as a promise of liquidity. The SEC’s 2023 investor alert describes the risks of illiquid crypto markets, but the official sources cited here do not establish a universal level of volume, depth or spread that makes a token “liquid.”

How do I check whether a presale has liquidity?

Before trading starts, distinguish a proposed liquidity plan from an observable market. Ask what support is actually documented, who is responsible for it, and whether the documents specify any limits or duration. The SEC’s 2025 staff statement identifies market-maker or liquidity arrangements, as well as valuation and liquidity risks, as potential disclosure topics. A disclosed arrangement is something to assess, not assurance of durable trading depth.

After trading begins, check the venue’s own market data rather than relying only on promotional claims. Look at:

  • Activity: Are trades occurring over time, or is the claim based on a brief snapshot?
  • Practical access: Can you transfer tokens to the venue and withdraw them under its rules?

These checks describe conditions at a particular time; they cannot guarantee future liquidity. Crypto assets can remain illiquid or cease trading, and the sources cited here set no universal threshold for adequate liquidity.

What presale documents and claims should I verify?

Start with primary documents from the issuer: the sale terms, token supply and allocation table, white paper or technical documentation, and any applicable offering disclosures. Record when each was published or updated and the geographic eligibility terms. Compare them with one another and with the project’s public claims.

Use this checklist to identify gaps or inconsistencies:

  • Supply and allocations: Reconcile total supply and initial circulating supply with sale, team, founder and treasury allocations. Look for planned minting or burning and identify who can change supply rules.
  • Release controls: Match each disclosed vesting stream to its terms and, where applicable, a verifiable contract or administrative control.
  • Use of proceeds and backing: Check what the issuer says funds will support and substantiate claims about reserves, insurance or asset backing with evidence beyond promotional material.
  • Issuer and conflicts: Identify the entity behind the sale, its role, relevant conflicts and the legal disclosures applicable to the offer.
  • Technical review: If an audit is claimed, find the auditor, the code or contracts reviewed, the audit date and the scope. An audit describes work performed on a defined scope; it is not a guarantee against defects, later changes or misuse.
  • Utility and milestones: Compare the stated token utility and planned milestones with functionality already delivered. A roadmap is not evidence that future work will be completed.

Investor.gov’s March 23, 2023 alert notes that unregistered crypto offerings may lack important information, such as audited financial statements. In an April 17, 2026 enforcement release concerning Bitcoin Latinum and a SAFT, the SEC described allegations of false statements about insurance, asset backing, trust and use of proceeds in a securities offering valued at $16 million. Those are allegations in a specific case, not a finding about every SAFT or evidence of a general presale fraud rate.

Does a presale count as a securities offering?

The “presale” label does not answer that question. The SEC’s July 25, 2017 Investor Bulletin: Initial Coin Offerings says that whether a token or offering is a security depends on the facts and circumstances. That is historical investor guidance, not a complete statement of current law or a classification of any particular presale.

As of October 4, 2026, the SEC Division of Corporation Finance’s crypto-asset FAQs, issued September 25 and updated September 28, 2026, expressly describe staff views that have no legal force or effect and do not create obligations. They discuss how some promotional communications may relate to promised managerial efforts, depending on the facts and circumstances. They are not Commission rules or definitive legal advice. The SEC’s investor materials are U.S.-focused; classification and legal requirements can depend on the project, transaction and jurisdiction. A named project or investor requires a fact-specific legal assessment.

What are the warning signs in a presale?

Be especially cautious when promotional claims cannot be reconciled with primary documents or independently checked. The SEC’s 2017 ICO bulletin says, “There is no such thing as guaranteed high investment returns.” Promises of high returns with little or no risk are warning signs, not credible guarantees.

Other reasons to pause include missing or inconsistent supply and vesting information, unclear authority to mint tokens or change release rules, an unverified exchange-listing claim, and unsupported statements about insurance, reserves or backing. Investor.gov’s 2023 alert states: “The only money you should put at risk with any speculative investment is money you can afford to lose entirely.”

The cited official sources do not provide a reliable representative rate for presale failures, unlock-driven price declines, surviving liquidity or promised listings that actually occur. One enforcement case cannot establish how common misconduct is, and no such percentage should be inferred from it.

How should I compare two crypto presales?

Compare evidence rather than promotional scores. If a project does not disclose a value or control clearly enough to verify, mark it as unknown; do not fill the gap with an estimate.

What to compare Evidence to look for
Total and initial circulating supply Published supply figures and the timing or conditions for tokens entering circulation.
Allocation and concentration Amounts or percentages assigned to sale participants, team, founders, treasury and other categories.
Unlock timing Release amounts, cliffs, start dates, cadence and end dates for each disclosed allocation.
Control of supply and vesting Who can mint, burn, upgrade relevant contracts or amend release rules, and how that authority can be verified.
Liquidity arrangements Documented market-maker or liquidity plans, including who is responsible and what the documents say about their scope.
Listing claims A named venue’s own confirmation, distinguished from the promoter’s assertion.
Issuer and offering terms Issuer identity, sale terms, geographic eligibility and the quality and consistency of disclosures.
Audit Named auditor, review date, code or contract scope and whether the reviewed version matches what is deployed.
Utility and milestones Stated use and roadmap compared with functionality delivered to date.

The SEC’s disclosure examples support checking several of these dimensions, but do not provide scoring weights or rank projects. A comparison can reveal missing information; it cannot establish that either presale is safe or that an investment is suitable.
