For U.S. investors seeking bitcoin or ether price exposure, a spot crypto exchange-traded product (ETP) offers shares bought through a securities brokerage, while direct ownership means acquiring the crypto asset itself. The ETP route avoids managing crypto keys personally but adds product fees and share-market risks; direct ownership can enable control and transfers, but brings key, platform, and custody responsibilities. Neither route removes the risk that the underlying asset can lose value.
First, distinguish spot ETPs from futures products
“Crypto ETF” is often used informally, but it does not describe every product’s structure. A futures ETP holds futures contracts; a spot ETP holds the crypto asset itself. In the U.S. SEC materials covering spot bitcoin and ether products, those spot products are exchange-traded commodity trusts, not ETFs registered under the Investment Company Act of 1940.

A spot ETP gives shareholders exposure through shares in a product designed to track the asset’s price. Shareholders own those shares, not bitcoin or ether in a personal wallet. The share price can differ from the underlying crypto price, and you should not assume that owning shares gives you direct on-chain control or the right to use or transfer the coins. Check the specific product’s prospectus and disclosures for its structure and holder rights.

| Question | Spot ETP shares | Direct ownership |
|---|---|---|
| What do you hold? | Shares in an exchange-traded product, typically a trust structure for the U.S. spot bitcoin and ether products covered by SEC materials. | The crypto asset, held by you in a wallet or by a third-party custodian. |
| How do you access it? | Through a securities brokerage and share market, subject to market hours and share-market pricing. | Through a crypto platform, wallet, or network; availability and terms depend on the provider and asset. |
| Ongoing product fee | A sponsor fee and operating expenses generally apply. Check the current prospectus. | No ETP sponsor fee, but platform or custody charges may apply. |
| Other transaction costs | Brokerage commission, bid-ask spread, and any premium or discount of the share price to net asset value (NAV). | Buy/sell charges and, where applicable, network or transfer fees. |
| Who controls the keys? | The ETP’s service providers hold the underlying crypto; the shareholder does not personally control its keys. | You control the keys with self-custody, or a provider controls them with third-party custody. |
| Can you transfer or use the asset directly? | A share is not itself a crypto asset. Review the product terms; do not assume direct transfer or use rights. | Direct control can enable transfers or use, subject to the asset, network, wallet, and platform constraints. |
| Distinct risks to consider | Product and service-provider performance, custody, tracking, liquidity, and share pricing. | Key loss or theft with self-custody, or custodian/platform failure with third-party custody, as well as network and transfer risks. |

Costs of a spot ETP
Check the current sponsor fee and operating expenses in the product’s prospectus. Spot products generally charge a sponsor fee that direct holders do not pay. Because a trust generally does not generate income to cover its expenses, fees are typically paid from trust assets, which can reduce the amount of crypto represented by each share over time.

Also account for any brokerage commission, the bid-ask spread, and whether shares trade at a premium or discount to NAV. The spread is a trading cost; a premium or discount means the market price is above or below the product’s NAV. These costs can vary with the product and trading conditions.
Costs of direct ownership
Review the crypto venue’s purchase and sale charges, plus any network or transfer costs. If a third-party custodian holds the asset, check for asset-based, transaction, transfer, setup, or closing fees. Fees differ by provider and arrangement.

There is no universal answer to which route costs less. The result depends on the product, broker or crypto venue, custody choice, transaction size, and holding period. Verify current fee schedules and any fee waivers rather than relying on an advertised fee alone.

Self-custody: you manage the keys
A private key authorizes transactions. If you self-custody, securing that key is your responsibility; losing it can permanently prevent access to the crypto. A seed phrase may be used to restore a wallet, so it also needs secure protection.

A hot wallet is connected to the internet and can be convenient for transactions, but is exposed to cyberthreats. A cold wallet is typically a physical device kept offline and is generally less exposed to cyberthreats, but the device can still be lost, damaged, or stolen. Physical devices typically cost money, and wallet transactions may involve fees. A hardware wallet is an optional self-custody tool, not a requirement for owning ETP shares and not protection against price losses.
Third-party custody: a provider manages the keys
An exchange or dedicated custodian can manage the keys for you, reducing the need to perform key operations yourself. In return, you depend on that provider. A hack, shutdown, or bankruptcy may make assets inaccessible. Before relying on a custodian, investigate its custody practices, any insurance and its limits or conditions, whether assets may be commingled or rehypothecated, and the full fee schedule.

ETP custody: product documents matter
With an ETP, the product’s service providers—not individual shareholders—manage the underlying crypto custody. Public disclosure requirements do not mean the SEC has endorsed a particular product or custody arrangement. Review the prospectus and periodic reports for information about the custodian, insurance, valuation, and other service providers.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Scan for outdated or missing drivers - takes under a minute3Clear out junk files and repair common Windows errorsRisks that apply to both—and risks that differ
Both routes retain crypto price risk
Bitcoin and ether are highly speculative and volatile. Either route can lose value if the underlying asset’s price falls. Neither a brokerage account nor a wallet guarantees protection from that loss.

Additional considerations for ETP shareholders
An ETP adds risks tied to the product and its providers. These can include custody or service-provider problems, price-tracking deviations, limited liquidity, and a share price that trades at a premium or discount to NAV. SEC disclosure materials also identify potential valuation, technology, cybersecurity, legal, regulatory, and tax risks for crypto ETPs. The specific risks and shareholder rights depend on the product’s documents.
Additional considerations for direct holders
Self-custody puts key security and recovery on you; third-party custody makes you dependent on the provider. Crypto trading platforms may not have the same oversight as SEC-registered securities intermediaries. SEC investor materials also warn of enhanced potential for fraud and manipulation in underlying spot markets.
Choose based on what you need to hold and control
- Consider a spot ETP if you want price exposure through securities-market infrastructure and do not need to control or use the underlying crypto directly. Compare the product’s fees, share-market costs, disclosures, and rights.
- Consider direct ownership if you need the ability to control, transfer, or use the asset itself and are prepared to manage keys or assess a custodian. Include platform, custody, and transfer costs in the comparison.
- For either route, decide how much volatility and potential loss you can tolerate. SEC registration or exchange listing is not an endorsement of bitcoin, a product, or a specific custody arrangement.
The comparison here is limited to U.S. SEC investor materials on spot bitcoin and ether products; rules and product availability differ by country and may change. Tax treatment can also depend on jurisdiction, account type, and product, so these routes should not be assumed to have identical tax consequences.
