CFTC Seeks Public Input on Crypto Rules as Spot-Market Authority Gap Remains

The CFTC is seeking comments on possible rules for certain retail crypto transactions and a crypto-focused registered venue category. Its ANPRM is not final, and the SEC’s separate offering proposal remains pending.

The CFTC has opened a rulemaking process on certain retail crypto transactions and a possible crypto-focused category of registered exchange. It has not adopted final rules, and CFTC Chairman Michael S. Selig says the agency cannot require ordinary spot crypto trading to move onto CFTC-registered platforms without Congress acting. The CFTC’s October 2026 action is separate from the SEC’s pending proposal for certain crypto-related investment offerings.

What did the CFTC propose for crypto?

On October 5, 2026, the Commodity Futures Trading Commission (CFTC) issued an advanced notice of proposed rulemaking, or ANPRM, seeking public comment on possible rules for certain retail commodity transactions involving crypto assets under section 2(c)(2)(D) of the Commodity Exchange Act. An ANPRM is an early-stage request for input: the agency is asking questions to inform potential future action, not putting a completed rule into effect.

The notice seeks input on abusive practices and the compliance context for crypto transactions. It also asks about potentially creating a purpose-built subcategory of designated contract market registration called a “crypto asset market.” A designated contract market is a CFTC-regulated venue; the notice explores whether a category tailored to crypto markets could be appropriate.

The CFTC announcement says comments are due within 60 days after publication of the notice in the Federal Register. The announcement does not itself state that publication date, so it does not establish a calendar deadline.

How is the CFTC action different from the SEC proposal?

The two agencies are addressing different laws, conduct and procedural stages. The SEC’s proposal concerns certain investment contracts involving crypto assets and their offerings. The CFTC’s ANPRM seeks input on certain retail commodity transactions and a possible category of CFTC-registered venue. Neither action is a final rule.

Question SEC: Regulation Crypto Assets CFTC: October ANPRM
Legal focus Securities law and certain investment contracts involving crypto assets Commodity Exchange Act section 2(c)(2)(D) and certain retail commodity transactions involving crypto assets
What it addresses Proposed exemptions for certain offerings, including disclosure obligations and a conditional safe harbor Possible transaction rules, abusive practices, compliance context and a possible “crypto asset market” category of designated contract market registration
Procedural status as of October 7, 2026 Proposed rule, issued August 18 and published August 21, 2026 ANPRM seeking public comment, issued October 5, 2026
Comment timing October 20, 2026 deadline listed by the SEC Within 60 days after Federal Register publication; the CFTC announcement does not state the publication date

The SEC proposal would create two possible exemptions for certain investment contracts involving crypto assets: one covering up to $5 million across a four-year period, and another covering up to $75 million during each 12-month period. Both are proposed, not available as enacted exemptions. The proposal includes disclosure obligations and a conditional safe harbor; the exact conditions should be assessed in the SEC’s proposal rather than inferred from the threshold amounts.

Can the CFTC make spot crypto exchanges register?

Not under the authority described by CFTC Chairman Michael S. Selig. Speaking about the contemplated rules, Selig said, “We don’t have the authority to impose such a requirement without congressional action.” He distinguished the proposed work from a requirement that ordinary spot-trading venues register with the CFTC. That is the chairman’s description of the agency’s authority, not a court ruling.

Accordingly, the proposed “crypto asset market” category should not be read as a mandate for every spot crypto exchange to register or move its trading. The ANPRM asks about a possible CFTC-registered venue framework; it does not itself establish one or resolve what Congress might authorize.

What crypto rules are already in effect?

A separate joint SEC–CFTC interpretation became effective March 23, 2026. It explains how federal securities laws apply to certain types of crypto assets and transactions, with related CFTC guidance under the Commodity Exchange Act. Its subjects include token categories, airdrops, mining, staking and wrapping.

That effective interpretation is distinct from both later actions: the SEC’s proposed offering exemptions and the CFTC’s October ANPRM. The agencies had also jointly requested comment in June 2026 on clearer jurisdictional lines for innovative products involving both agencies and possible alternative compliance. Comments on that request were due August 24; the request was not a resolution of the spot-market authority question.

What happens next?

  • SEC proposal: The SEC lists October 20, 2026, as the deadline for comments on Regulation Crypto Assets. Any exemptions remain proposed unless and until the SEC adopts a final rule.
  • CFTC ANPRM: The comment period runs for 60 days after Federal Register publication. The October 5 announcement does not give the publication date or an exact calendar deadline. The CFTC may use comments to shape potential future rulemaking.
  • Spot-market legislation: Selig says Congress would need to act for the CFTC to require crypto assets to trade on CFTC-registered platforms. The two current agency actions do not, by themselves, close that gap.
