Building an Evidence-Driven Deal Intelligence Agent with Persistent AI Memory

A practical architecture for deal agents that retain useful context across transactions while preserving evidence, provenance, access boundaries, and auditability.
Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Build deal intelligence memory as durable, scoped, evidence-linked state outside the model’s context window—not as a longer prompt or a transcript archive. Store source records separately from compact memories, retrieve only what a deal question needs, and require consequential answers to point back to evidence with its date, scope, and uncertainty.

What persistent memory should do in a deal agent

A deal agent needs to carry useful context across conversations and transactions without turning an earlier summary into an unquestioned fact. Its persistent memory should help it recall durable facts, decisions, events, and workflows; its evidence layer should preserve the underlying records that support those memories.

AWS guidance describes storing agent state, history, decisions, and outcomes outside the model, then retrieving relevant memories at runtime. This is distinct from in-session context: the model’s context window is a temporary working view, not the authoritative record. A July 2026 Internet-Draft on persistent agentic memory makes the same distinction, but it is a draft—not an adopted IETF standard or published RFC.

For deal work, that distinction matters when facts change, sources disagree, access permissions differ across transactions, or a future user needs to understand why an earlier recommendation was made.

A four-layer architecture for auditable deal intelligence

1. Evidence and source records

Keep original documents and records addressable: diligence materials, filings, CRM events, market research, and other inputs. Preserve source identity, date, version, permissions, and a stable reference to the relevant passage or record. A memory summary can help retrieval, but it should not become the only surviving record of a material claim.

2. Durable memory records

Store concise, reusable facts and events with a clear subject and scope. Useful memory types include semantic facts such as a company’s operating footprint, episodic records such as a management meeting or diligence decision, and procedural knowledge such as a repeatable resolution workflow. Attach provenance and lifecycle information so a memory can be evaluated, updated, expired, or deleted.

3. Retrieval and reasoning

For each question, retrieve candidate memories and source evidence using appropriate combinations of metadata filters, lexical search, semantic search, and—when the question requires relationship traversal—a graph. Retrieval should respect deal, entity, user, and permission boundaries before results reach the model.

4. Answer and audit

Return material assertions with citations to evidence actually retrieved. Distinguish observed facts from inferences and recommendations. Record the relevant retrieval and decision trail, and abstain or ask for clarification when the available evidence does not support a reliable answer.

Choose the simplest memory shape that answers the questions

Microsoft’s memory guidance distinguishes semantic, episodic, and procedural memory. These are useful design categories, not a requirement to deploy three separate databases. Pick a storage shape based on the questions the agent must answer and the controls the product must enforce.

Memory or retrieval option Best fit Trade-offs
Structured semantic records Compact, durable facts about an entity, deal, or user that need reliable filtering and updating. Clear fields and scopes improve control, but extraction and conflict resolution still need rules and review.
Timestamped episodic records Events, conversations, decisions, and outcomes that users may need to recall by topic, entity, or time. Searchable records support fuzzy recall, but summaries must retain links to original evidence and event dates.
Procedural records Workflows and resolution patterns that recur across deals or diligence tasks. Reusable process knowledge can help specialists, but it should not be mistaken for evidence about a particular target.
Vector search Semantic recall when a question uses different wording from the stored passage. Useful for fuzzy matching, but similarity alone does not establish that two records refer to the same entity, deal, or time period.
Knowledge graph Questions requiring explicit relationships or multi-hop traversal among companies, people, assets, and transactions. It represents relationships directly, but adds schema rigidity, data upkeep, and implementation complexity.
Hybrid retrieval Questions where semantic recall, exact terms, explicit relationships, and metadata scope all matter. Can combine strengths of vectors, lexical search, graphs, and filters, while requiring more components to evaluate and maintain.

Microsoft describes hybrid designs that use vectors for recall, graphs for relationships, and metadata filters to scope and rank results. Start with structured records and search methods that answer the actual product questions; add a graph only when relationship traversal is a real requirement.

Decide how memory enters the model context

Retrieval policy affects relevance, token use, and the chance of mixing unrelated deal context. Microsoft describes three practical patterns:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Always-injected context: Put a small curated profile or current deal summary into each relevant interaction. This can improve continuity, but consumes tokens and can blend contexts if scope is weak.
  • On-demand retrieval: Search for memory only when a question calls for it. This limits unnecessary context, but depends on the agent recognizing when retrieval is needed.
  • Curated-plus-search hybrid: Inject a compact, scoped profile and search episodic history or source material as needed. This balances continuity with focused retrieval, at the cost of maintaining both the curated layer and search flow.

Whichever pattern is chosen, apply authorization and deal scope before context is assembled. A relevant memory from another transaction is still the wrong memory if the current user is not allowed to see it.

Give every memory a lifecycle and provenance

Do not promote every conversation detail into permanent memory. Microsoft’s long-term-memory guidance recommends retaining durable facts, decisions, recurring entities, and outcomes; excluding credentials; and avoiding duplication of transactional records that already belong in a system of record. It also identifies extraction, consolidation, reinforcement, decay, versioning, and effective deletion as lifecycle responsibilities.

A practical memory record can include:

  • A stable memory ID and the subject it describes.
  • Scope, such as a specific deal, entity, team, or user.
  • Memory type: semantic, episodic, or procedural.
  • Compact content plus source session, document, or system record.
  • Source type, source date, and a stable evidence reference.
  • Confidence and importance, with a clear distinction between source certainty and model judgment.
  • Created, observed, updated, and effective dates where relevant.
  • Version, sensitivity, access policy, and expiry when appropriate.

These fields support ranking and governance, but they do not replace source review. If a fact changes, preserve the new version and its effective date rather than silently rewriting history. If a user requests deletion, remove or render inaccessible the memory and its derived copies according to the product’s retention policy, while accounting for what the system of record must retain.

Keep evidence attached through summarization

Retrieval-augmented generation (RAG) combines model generation with retrieved external knowledge. The foundational paper by Patrick Lewis and coauthors describes retrieved non-parametric memory as inspectable and revisable, while identifying provenance and the updating of world knowledge as open problems. Those properties are especially important in diligence: a fluent answer without a traceable source is not an auditable finding.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

For each consequential claim, keep enough information to inspect the underlying passage or record, including source and date. Label whether a statement is directly observed, inferred from evidence, or recommended as a next step. When sources conflict, show the competing claims and their dates; do not collapse them into a single confident sentence.

A citation check can test whether an answer’s claims are supported by the retrieved material, while an invocation audit trail can preserve which evidence and decisions informed the response. AWS’s M&A reference architecture describes both citation checking and auditing. Citation presence alone is not proof that a citation supports a claim, so evaluation should examine the relationship between each assertion and its cited evidence.

Apply the architecture to a deal workflow

AWS’s published M&A due-diligence example describes a supervisor coordinating specialist agents, gathering information from multiple sources, prioritizing targets against strategic criteria, and retaining prior research, valuation assumptions, and integration lessons for later deals. It is a vendor reference architecture using synthetic targets, not proof of general production results.

AWS reports that work that previously required weeks of analyst time was completed in hours in its testing. Treat that as AWS’s reported result for its example, not an independently verified or generally applicable benchmark. The useful architectural lesson is the workflow: specialist analysis can reuse scoped prior knowledge while retaining evidence, governance, and citation checks.

Build and evaluate it in a controlled sequence

  1. Define the questions and authorities. List the recurring deal questions the agent should answer and identify which system or source is authoritative for each type of fact. Decide what should remain in a CRM, document repository, or other system of record rather than being duplicated as memory.
  2. Preserve evidence first. Create stable references to source records and capture source identity, dates, versions, permissions, and relevant passages before relying on summaries.
  3. Add scoped memory records. Start with compact semantic facts and timestamped episodic records. Include provenance, confidence, scope, and lifecycle fields; keep procedural knowledge distinct from deal-specific evidence.
  4. Test retrieval against real questions. Use metadata filters and compare lexical, semantic, or hybrid search on representative queries. Confirm that retrieval finds the right entity and date, not merely a similar passage.
  5. Add graph relationships only when warranted. Introduce graph structure when users need multi-hop entity or transaction reasoning that simpler filters and search cannot answer adequately.
  6. Make governance part of the request path. Enforce access control and deal isolation before retrieval; define retention, expiry, deletion, contradiction handling, and citation checks as workflow requirements.
  7. Evaluate failure cases, not just fluent answers. Test changed facts, conflicting sources, missing evidence, stale memories, permission boundaries, and cross-deal isolation. Measure whether the agent retrieves the right evidence and grounds its claims, not just whether its response sounds plausible.

This sequence is a practical recommendation based on the documented trade-offs in Microsoft’s memory guidance and AWS’s agent example; it is not a reported benchmark.

Interpret memory benchmark claims carefully

A 2026 Agent Zero Memory preprint by Pengyuan Zhu and Ming Wu reports 95.60% on LongMemEval and 93.60% on LoCoMo. The authors also report 3.4 percentage points of accuracy variation across eight backbone LLMs and approximately 30× variation in per-query cost, and describe quality at up to 20× lower cost per query in the paper’s benchmark context. These are the authors’ reported results; they were not independently reproduced here. They do not establish how a system will perform on private deal data, under a particular access policy, or with a different model and retrieval setup.

Make the stack fit the deployment constraints

No single vendor stack follows from the architecture alone. The right choices depend on deal type, industry, jurisdiction, data residency, existing systems, deployment scale, and budget. AWS AgentCore appears in AWS’s M&A reference architecture, and Microsoft’s architecture guidance names Azure AI Search as an example vector index; those mentions are examples, not a universal recommendation or a cost comparison.

Choose components only after specifying the memory types, source systems, retrieval needs, access boundaries, and operational responsibilities. A simpler design that preserves provenance and reliably isolates deals is more useful than a sophisticated graph or multi-agent stack that cannot show where its claims came from.
