Short answer: Buy bitcoin directly if you want to hold and transfer bitcoin yourself and are prepared to manage custody—or accept a platform’s custody risks. A spot bitcoin exchange-traded product (ETP), often called a spot bitcoin ETF, may suit you if you want bitcoin price exposure through a securities brokerage and prefer delegated custody. It gives you shares in a trust, not bitcoin itself, and it still involves market risk, product expenses, and possible differences between the share price and the trust’s net asset value (NAV).
What do you own?
Direct bitcoin
With direct ownership, you hold bitcoin. You might keep it in a wallet where you control the private keys, or use a crypto platform that holds it for you. Those arrangements differ: using a platform does not mean you personally manage the keys, and it introduces reliance on that provider.

Spot bitcoin ETP shares
A spot ETP holds bitcoin in a trust and issues shares intended to reflect the value of the bitcoin held, after expenses and liabilities. As the Bitwise Bitcoin ETF prospectus explains, a shareholder owns shares in the trust—not the bitcoin itself. The prospectus also notes that shares can trade above or below NAV and that brokerage commissions may apply. Read the Bitwise prospectus filed January 10, 2024.
The distinction matters: a share is a security position, not a bitcoin balance. You cannot use an ETP share as bitcoin or send it to a bitcoin address.

- BITCOIN EXCLUSIVE, PHONE VERIFICATION: Bitkey is designed from the ground up exclusively for bitcoin — a dedicated hardware wallet for secure bitcoin storage. Approve transactions with a tap using your phone and NFC. No device screen is required.
- SELF-CUSTODY, NO EXCHANGE OR CUSTODIAN REQUIRED: You hold two of the three keys in the Bitkey system – one on your phone and one on your Bitkey device. The third is stored on Bitkey’s server and cannot move your bitcoin on its own.
- NO SEED PHRASE: Set up and use Bitkey without creating or storing a seed phrase.
- 2-of-3 MULTISIG: Three keys are stored separately across your phone, Bitkey device, and Bitkey’s server. Any two keys are required to move your bitcoin.
- BUILT-IN RECOVERY: Encrypted backup and recovery tools can help you regain access if you lose your phone or Bitkey device. You can also designate a Recovery Contact.
How the two routes differ
| Consideration | Direct bitcoin | Spot bitcoin ETP |
|---|---|---|
| What you hold | Bitcoin, held by you or by a platform on your behalf. | Shares in a trust that holds bitcoin. |
| Custody | You manage private keys if self-custodying, or rely on a crypto platform if it holds the bitcoin. | You rely on the trust’s structure and custodian, as well as the sponsor and the brokerage through which you trade. |
| Use and transfer | Bitcoin can be held and transferred as bitcoin, subject to wallet, platform, and network arrangements. | Shares are traded as securities; they are not spendable or transferable on-chain as bitcoin. |
| Trading access | Through a crypto platform; bitcoin markets operate continuously, though a provider may set its own rules or availability. | Through a securities brokerage during the applicable exchange trading hours. |
| Costs to check | Provider trading, withdrawal, and other transaction costs. | Trust expenses, brokerage charges, and trading frictions; check the current prospectus and broker schedule. |
| Price exposure | Bitcoin’s market price, less any costs or effects from the custody arrangement. | Bitcoin-related exposure through the trust, with expenses and the possibility that shares trade at a premium or discount to NAV. |
Custody: control versus delegation
Self-custody puts key management on you
Self-custody gives you control of the keys needed to access your bitcoin, but it makes key security and recovery your responsibility. In a Cboe BZX Exchange filing hosted in an SEC rulemaking record, the exchange warns that an inexperienced holder using a self-hosted wallet can lose some or all bitcoin through mistakes such as a lost key or inadequate password protection. The filing’s example is a warning about operational risk, not a recommendation by SEC staff. See the filing’s section “Spot and Proxy Exposure to Bitcoin”.
If you cannot safely manage keys and recovery information, self-custody may not be a good fit. A hardware wallet can be one way to hold keys offline, but buying a device does not remove the need to secure its recovery information or protect against mistakes.

Platform custody shifts the dependency
Direct bitcoin ownership does not require self-custody. A platform may hold bitcoin for you, but you then depend on that provider’s custody and security arrangements rather than controlling the keys yourself. Review its withdrawal rules, security practices, and account terms before relying on it.

With an ETP, the trust and its service providers handle the underlying bitcoin custody; you still depend on the product’s sponsor, custodian, broker, and trading market. For example, Grayscale’s issuer information says its Bitcoin Mini Trust holds spot bitcoin through Coinbase Custody, trades on NYSE Arca, and can be bought through brokerage accounts. That is a description of Grayscale’s product, not a claim that every ETP has identical arrangements. See Grayscale’s issuer information filed September 23, 2025.

Delegating private-key management is not the same as eliminating risk. The cited Bitwise prospectus states that its trust is not registered under the Investment Company Act of 1940, so do not assume a spot bitcoin trust has the same protections as a conventional registered investment-company ETF.
Costs, trading, and tracking
Compare the costs you would actually pay
Direct holders may pay provider trading or withdrawal costs, depending on the platform and transaction. ETP investors may pay the trust’s expenses and brokerage charges, and may face trading frictions. These costs are product- and provider-specific; check the latest prospectus and fee schedule rather than treating a dated fee as a current market comparison.

For historical context only, the Bitwise prospectus filed January 10, 2024, stated a 0.20% annual sponsor fee and described a temporary initial fee waiver subject to conditions. Grayscale’s issuer information filed September 23, 2025, stated a 0.15% annual management fee for its Mini Trust, including administration and safekeeping. These dated, product-specific disclosures are not an apples-to-apples ranking of current fees. Verify current terms directly in the latest filings.
ETP shares can diverge from NAV
An ETP share trades on an exchange, while its NAV reflects the trust’s assets and liabilities. Supply and demand can push the share price above or below NAV; the Bitwise prospectus identifies both premiums and discounts as possibilities. ETP trading also follows exchange hours, whereas bitcoin markets operate continuously. The resulting difference in trading access is separate from the underlying bitcoin market risk.

Which route may fit your priorities?
Consider direct bitcoin if control or transfer matters
- You specifically want to hold bitcoin rather than shares in a trust.
- You need the ability to transfer bitcoin, subject to your wallet or platform arrangements and network conditions.
- You understand the custody trade-off and can manage private keys securely, or have assessed the risks of a platform holding bitcoin for you.
Consider a spot ETP if brokerage access matters
- You want bitcoin-related exposure in a securities brokerage account.
- You prefer the trust’s service providers to manage custody of the underlying bitcoin.
- You accept that you own shares rather than bitcoin, and have checked the product’s fees, trading terms, custody arrangements, and prospectus disclosures.
Neither choice is a way to avoid bitcoin price volatility or guarantee against loss. A publicly traded company that holds bitcoin—or a bitcoin miner’s stock—is different from both: the Cboe filing describes such companies as “imperfect bitcoin proxies,” because they combine partial bitcoin exposure with company-specific risks.
Tax and account questions need current, personal answers
Tax treatment and account eligibility can depend on your jurisdiction, account type, transactions, and current law. Do not assume direct bitcoin or a spot ETP is always more tax-efficient, or that either is available in every type of account. Consult current official tax guidance and, where appropriate, a qualified tax professional before acting.
