ARR vs. Revenue: Which Metric Should SaaS Founders Use for Valuation?

ARR is useful shorthand for recurring SaaS scale, but founders should pair it with recognized revenue, disclose the ARR calculation, and clarify exactly how any valuation multiple is measured.

For a subscription-led SaaS business, ARR is often the clearest shorthand for recurring scale in a valuation discussion—but it is not a substitute for recognized revenue or a valuation by itself. Show both, define exactly how ARR is calculated, and explain the factors behind the multiple, including growth, retention, revenue quality, profitability, and market conditions.

ARR vs. revenue: what is the difference?

ARR and recognized revenue describe different things. ARR is a management operating metric that annualizes a defined set of recurring customer contracts at a particular measurement point. Recognized revenue is the amount recorded in financial statements during a reporting period under the company’s accounting policies.

Question ARR Recognized revenue
What it describes Recurring contract run rate, calculated using a company-defined method. Revenue recognized during a reporting period.
Typical use Operating scale, recurring growth, and SaaS valuation shorthand. Financial reporting, realized period performance, and comparison with filed financial data.
Main caution Definitions vary with contract inclusion, timing, and renewal rules. Accounting timing may differ from bookings or contract run rate, and the total may include one-time or non-SaaS revenue.

For example, SailPoint describes subscription revenue for many arrangements as recognized over the agreement term, while some term-license revenue is recognized upfront when control transfers. Its ARR measure is separate from that accounting measure and does not account for ASC 606 allocations or non-recurring revenue. The details are specific to SailPoint’s disclosure, not a universal rule for every SaaS company: SailPoint’s 2025 SEC filing.

Why might ARR differ from recognized revenue?

The figures can diverge because ARR annualizes recurring contract value at a point in time, whereas revenue accounting records performance over a period. Contract start and end dates, renewals, and accounting treatment affect the comparison. Non-recurring services, perpetual licenses, hardware, or other business lines can also appear in revenue without belonging in a recurring ARR calculation.

There is no universal ARR formula. One SEC-filed issuer, for example, describes excluding perpetual licenses, non-recurring services, and other revenue while annualizing recent subscription activity. That company-specific method illustrates why founders should publish their own definition rather than assume a reader will infer it: the issuer’s SEC-filed earnings release.

SailPoint explicitly cautions that “ARR does not have a standardized meaning and is not necessarily comparable to similarly titled measures presented by other companies.” This is the issuer’s statement about its own disclosure context, but it captures a key diligence issue: two companies can report ARR using different inclusion and renewal rules.

Should SaaS valuation be based on ARR or revenue?

Use ARR when the business is primarily subscription SaaS and the discussion is specifically about recurring scale or an explicitly defined ARR multiple. Pair it with recognized GAAP revenue and a bridge between the two. If non-recurring services, perpetual licenses, hardware, or other revenue streams are material, identify them separately rather than implying the whole business is recurring.

ARR is an operating metric, not a forecast of future revenue. It does not by itself show what revenue will be recognized in a later period, whether customers will renew, or whether the business is profitable. Presenting ARR alongside reported revenue makes it easier to distinguish current recurring contract scale from financial results already recognized.

How to make an ARR-based valuation discussion interpretable

Before quoting a multiple, make clear what is being divided by what. Enterprise value divided by ARR is a commonly presented formula, but not every published SaaS multiple uses that numerator and denominator. State whether the numerator is enterprise value, equity value, or market capitalization, and whether the denominator is ARR, trailing recognized revenue, forward revenue, or annualized current run-rate revenue.

A hypothetical calculation: if a company’s stated enterprise value is $60 million and its consistently defined ARR is $10 million, enterprise value/ARR is 6x. That arithmetic does not establish that 6x is fair or that an investor would offer that price; the definition, business quality, and market context still matter.

At minimum, explain these inputs:

  • Measurement basis: the date of the ARR figure and whether it reflects contracted value, active contracts, or annualization from a recent month or quarter.
  • Contract scope: which contract types are included or excluded, and how expired contracts under renewal negotiations are treated.
  • Growth: ARR growth over the stated period and whether the definition was applied consistently at both ends.
  • Retention: the NRR measure and its cohort and calculation method. SaaS Capital cautions that published retention figures are not consistently comparable without customer-level data.
  • Revenue quality and operating performance: the share of recurring subscription activity versus one-time or non-SaaS revenue, with profitability and unit economics as relevant context.
  • Market context: the date, sample, and public or private nature of any benchmark used.

What is a good ARR multiple for a SaaS company?

There is no single multiple that can be called good for every SaaS company. SaaS Capital’s 2026 private B2B SaaS framework identifies its index level, ARR growth, and NRR as inputs, and emphasizes that company characteristics and point-in-time market conditions affect the estimate. It describes the task this way: “There is no one-size-fits-all multiple – but it is possible to make an informed, data-driven estimate.” This is a framework from SaaS Capital, not a universal valuation standard: SaaS Capital’s 2026 valuation framework.

Published ranges can offer context, but their methodology matters. Corporate Finance Institute’s September 16, 2025 article gives the following indicative ARR ranges by stage and growth. CFI says the compilation mixes public-company EV/revenue data with private deal comparables, drawing on named sources including Aventis Advisors, SaaS Capital, Raisek, L40° Insights, and Raaft. It is therefore not one standardized market quote or a promise of an outcome for a particular company: CFI’s SaaS valuation multiples discussion.

Company description in CFI’s 2025 table Indicative range
Early stage, below $10 million ARR, with more than 100% year-over-year growth 8x–12x ARR
High-growth mid-stage, $10 million–$50 million ARR, with 50%–80% growth 7x–10x ARR
Moderate-growth mid-stage 5x–7x ARR
Mature, above $50 million ARR, with 10%–20% growth 3x–6x ARR

Do not compare those ranges directly with a public-company index multiple without checking the denominator. SaaS Capital describes its index as covering selected U.S.-listed companies with primarily B2B recurring software revenue models; its current page reports 63 companies, and membership changes. Its ratio uses market capitalization divided by annualized current run-rate revenue built from the most recent monthly GAAP revenue. Market capitalization is not adjusted for cash or debt in that described ratio, so it is not the same calculation as enterprise value/ARR. The index is not a sample of every private SaaS company: SaaS Capital’s index methodology.

What founders should put in a valuation presentation

Present ARR as a clearly defined operating metric, recognized revenue as the accounting result, and the bridge that reconciles why they differ. Keep any non-recurring revenue visible, identify the multiple’s numerator and denominator, and give enough detail on growth, retention, profitability, and the benchmark’s scope for a reader to judge whether the comparison is relevant.
