Amazon Reportedly Weighs $8 Billion Nvidia Chip Sale-and-Leaseback

Amazon is reportedly exploring an SPV financing structure for about $8 billion of Nvidia chips, but the proposed transfer and leaseback have not been confirmed as a completed deal.

Amazon is reportedly exploring a financing deal that would transfer about $8 billion worth of Nvidia chips to a special-purpose vehicle (SPV), which would raise money from outside investors through debt. Amazon would then lease the chips back. The proposal is under discussion; the available reporting does not establish that a sale has closed or that Amazon has officially confirmed the plan.

What Amazon is reportedly considering

Reuters, citing a Financial Times report and people familiar with the matter, reported on October 2, 2026, that Amazon had spoken with investors in recent weeks to gauge interest in the proposed structure. According to Reuters, Amazon may also offer investors up to a 10% equity stake in the vehicle. The report describes the goal as making Amazon’s balance sheet more asset-light. These are reported proposal details, not confirmed final terms or published Amazon guidance. Reuters report syndicated by Fidelity, October 2, 2026.

How the proposed structure would work

  1. Transfer: Amazon would move the chips into an SPV, a separate entity set up to hold assets and arrange financing.
  2. Raise funds: The SPV would seek debt funding from outside investors. The report also says Amazon may offer up to 10% equity in the vehicle.
  3. Lease back: Amazon would lease the chips from the SPV for continued use.

In a conventional ownership arrangement, Amazon would keep the chips as its assets; in direct borrowing, it would borrow without transferring ownership of the chips to a separate vehicle. The reported proposal combines an asset transfer with a leaseback, but does not disclose whether Amazon would retain an equity interest beyond a possible offer of up to 10%, or what contractual obligations the lease would create. The final ownership, investor roles, lease terms, and financial treatment are not established by the report.

Which chips and sites are involved?

The Reuters report describes the assets as thousands of Nvidia Grace Blackwell chips, bought or leased by Amazon and installed at more than a dozen U.S. data centers across five states, including Nevada and Virginia. It does not give an exact chip count or name all five states. It also does not establish that every site is an AWS facility, so the locations and site ownership should not be inferred beyond the report’s description. How this fits Amazon’s Nvidia expansion

The reported financing proposal is separate from Amazon’s public plan to expand its Nvidia infrastructure. In an August 26, 2026 announcement, Amazon and Nvidia said AWS plans to deploy two million additional Nvidia GPUs across its global infrastructure in 2027–2028. That is a company-announced deployment plan; it does not confirm the reported SPV proposal or explain how it would be financed. The announcement also covers AI factories, CPUs, networking, open models, data processing, and robotics. Amazon and Nvidia announcement, August 26, 2026.

In that broader partnership context, AWS CEO Matt Garman said, “Customers want the freedom to choose the best tools for their AI workloads, and they want confidence that everything works seamlessly together.” Nvidia CEO Jensen Huang said, “NVIDIA and AWS have built one of the great growth engines of the AI era, and demand is running ahead of every forecast.” Neither statement addresses the proposed financing structure. Amazon’s own chips are a different business

Amazon CEO Andy Jassy has also discussed the growth and economics of Amazon’s in-house silicon business, which includes Trainium and Graviton. Those comments concern Amazon’s own chips, not the Nvidia Grace Blackwell assets described in the proposed transaction. Amazon’s published account of Jassy’s Q1 2026 earnings-call remarks said:

  • Amazon’s chips business grew nearly 40% quarter over quarter in Q1, according to Jassy.
  • Jassy said the business had an annual revenue run rate above $20 billion.
  • He described about $50 billion in annual run rate as a hypothetical: what the business might generate if chips produced that year were sold to AWS and third parties. That was not reported actual revenue.
  • Jassy said Trainium2 offered about 30% better price-performance than comparable GPUs.

These are statements published by Amazon and attributed to Jassy, not independently verified financial results. They do not establish why Amazon is considering the reported Nvidia-chip financing proposal or show that it needs to sell those chips. Amazon’s account of Jassy’s Q1 2026 comments.

What remains unknown

The October 2 report does not establish whether Amazon has completed a transaction, or disclose a final asset valuation, debt interest rate or maturity, lease duration or payments, investor identities, exact chip counts, or accounting treatment. Amazon and Nvidia had not immediately responded to Reuters for comment outside regular business hours. Until the companies confirm a deal or more terms are reported, the $8 billion figure and proposed structure should be treated as exploratory reporting rather than a completed sale.
