Amazon.com, Inc. and Alibaba Group Holding Limited are publicly traded parent companies, but their legal and operating structures differ. Amazon is incorporated in Delaware and reports three operating segments: North America, International, and AWS. Alibaba is incorporated in the Cayman Islands and says it uses contractual variable interest entity (VIE) arrangements for certain businesses in China where foreign investment is restricted. Both groups span more than online shopping, but their company-reported portfolios and fiscal periods are not directly interchangeable.
Who owns Amazon and Alibaba?
Investors own publicly traded securities issued by each parent company. That does not mean a shareholder directly owns a particular warehouse, website, cloud service, or operating subsidiary. Nor do the filings cited here establish a complete, current breakdown of beneficial owners for both companies.

Amazon’s public parent
Amazon.com, Inc. is a Delaware corporation. Its 2025 Form 10-K reports 10,734,920,870 common shares outstanding as of January 28, 2026; that is a point-in-time share count, not an ownership-percentage breakdown. The filing directs readers to Amazon’s 2026 proxy statement for specified director, governance, and beneficial-ownership information. Amazon’s 2025 Form 10-K
Alibaba’s public parent and securities
Alibaba Group Holding Limited is incorporated in the Cayman Islands. Its FY2025 Form 20-F lists ordinary shares on the Hong Kong Stock Exchange under 9988 (HKD counter) and 89988 (RMB counter), as well as American depositary shares (ADSs) on the New York Stock Exchange under BABA. Each ADS represents eight ordinary shares, according to that filing. An ADS is a security tied to ordinary shares; it is not direct title to each asset or operating company in Alibaba’s group. What is different about Alibaba’s VIE structure?
Alibaba describes itself as a holding company that does not directly conduct operations. Its FY2025 filing says it uses VIE arrangements for certain internet and other businesses where Chinese law restricts or prohibits foreign investment. The VIE entities are incorporated in China and owned by PRC citizens or entities owned or controlled by PRC citizens—not by Alibaba Group Holding Limited.
In these arrangements, contractual agreements are used to provide the group with rights relating to the VIEs’ business and economic benefits. That is different from owning the VIE’s equity directly. Alibaba also says the significant majority of its assets and operations are in subsidiaries and the significant majority of revenue is captured directly by subsidiaries, so it would be inaccurate to imply that every Alibaba business, asset, or revenue stream sits inside a VIE.

This structure is material to the question of what an Alibaba investor owns: the listed parent’s securities, rather than direct equity in every underlying Chinese operating entity. Alibaba’s filing also says the parent relies on dividends and other distributions from operating subsidiaries for its financing needs, including debt service, expenses, intercompany loans, share repurchases, and dividends. The company warns that debt instruments and restrictions on fund transfers can affect distributions or remittances. It discloses a structural dependency, not a prediction that transfers will necessarily be blocked. Alibaba’s FY2025 Form 20-F

The company filings cited here do not establish a categorical answer about government ownership or control of Alibaba. They identify Alibaba Group Holding Limited as a Cayman Islands holding company and describe VIEs owned by PRC persons or entities, but those facts alone do not settle broader questions about government influence. Avoid treating Alibaba’s VIE structure as proof that the Chinese government owns the group—or as proof of the opposite. Amazon’s filing identifies its Delaware corporate parent and public shares; it does not provide grounds for a direct ownership comparison on government involvement.

How do their business models differ?
Amazon’s and Alibaba’s own reporting shows portfolios broader than retail, though the labels below are not a direct, like-for-like financial comparison.
| Company | Company-reported structure or positioning | What that says about the model |
|---|---|---|
| Amazon | Three reportable segments: North America, International, and AWS. | Its filing presents commerce alongside cloud computing. Amazon says it serves consumers, sellers, developers, enterprises, content creators, advertisers, and employees. |
| Alibaba | Its May 20, 2026 company announcement describes a focus on “AI + Cloud and consumption.” It says the group provides technology infrastructure and marketing reach to merchants, brands, retailers, and other businesses. | The company’s description spans commerce, cloud, and other technology services. It also describes Qwen as a family of large language and multimodal models used across enterprise solutions, e-commerce, and other internet platforms. |
These are issuer descriptions, not independent assessments of each business line’s performance or profitability. Amazon’s stated aspiration in its 2025 10-K is, “We seek to be Earth’s most customer-centric company”; the filing also lists principles including invention, operational excellence, and long-term thinking. These are company-stated principles, not a third-party evaluation. Amazon’s 2025 Form 10-K Alibaba’s May 20, 2026 announcement

Alibaba’s May 20, 2026 announcement reports that the company filed its FY2026 Form 20-F and gives its current strategic positioning. The available announcement is not a full account of segment composition. For a numerical comparison, use the full annual reports and align both fiscal periods and segment definitions: Amazon’s cited 10-K covers the year ended December 31, 2025, while Alibaba’s FY2025 Form 20-F covers the year ended March 31, 2025. Their segment labels and reporting periods differ, so combining figures without reconciling them could mislead.

The filings support a comparison of legal and reporting frameworks, but not a simple ranking of governance quality or shareholder influence. Amazon is a Delaware-incorporated U.S. public company reporting under SEC rules; its 2025 10-K incorporates some governance and ownership details from the 2026 proxy. Alibaba is a Cayman Islands holding company with U.S. and Hong Kong listings, and its FY2025 20-F describes its corporate structure and VIE arrangements.

Those facts do not by themselves establish how much practical influence a particular investor has, how the boards compare on a chosen measure, or which company has “better” governance. Such conclusions require comparing specific mechanisms—such as voting rights, board appointment rules, and shareholder protections—using the relevant current proxy and annual-report disclosures, rather than inferring governance quality from domicile or listing venue alone. Quick Recap
How to compare the companies accurately
- Identify the issuer: distinguish the listed parent from its subsidiaries and other operating entities.
- Check the security: Amazon common stock and Alibaba ordinary shares or ADSs are different securities; Alibaba’s cited filing specifies eight ordinary shares per ADS.
- Separate equity from contracts: Alibaba says certain restricted Chinese businesses use VIE contractual arrangements rather than direct parent ownership of the VIEs.
- Align the reporting basis: check fiscal year-end and segment definitions before comparing financial results.
- Use specific governance evidence: consult the relevant proxy and annual-report disclosures for board, voting, and ownership details instead of assuming that incorporation location settles those questions.
