Boost Run LLC and Cohere Inc. entered into a Service Agreement on September 30, 2026, under which Boost Run agrees to provide access to dedicated GPU cloud infrastructure and related services. Cohere’s stated commitment across the term is approximately $525.6 million. That figure is conditional on delivery and acceptance, so it is a contracted commitment rather than money already received or booked as revenue.
What Boost Run agreed to provide
The agreement was disclosed in a Form 8-K that Boost Run Inc. filed with the U.S. Securities and Exchange Commission on October 6, 2026, with the full Service Agreement attached as Exhibit 10.1. Boost Run LLC is a wholly owned subsidiary of Boost Run Inc., which is the SEC registrant, so the parent company is the entity that reports the deal publicly while the subsidiary is the contracting party.

The company’s October 6 announcement describes the capacity as powered by NVIDIA GB300 NVL72 GPUs and says the service also includes network storage and CPU-node services. The filing itself does not list those hardware components in the excerpt cited here, so treat the GPU and storage details as the company’s own description of the offering.

The $525.6 million figure is the total Cohere has committed to pay over the agreement term, and it is expressly subject to delivery and acceptance requirements. A portion is payable as a prepayment, but the filing does not disclose how large that prepayment is. Readers should therefore not assume a specific cash amount has changed hands.

How acceptance sets the term and billing
Acceptance is the event that starts the clock and the billing, so it is worth separating the mechanics:
Rank #2
- Space Saving: Maximum depth: 14.8". Use the wall mount network cabinet to maximize available space for retail locations, classrooms, back offices, network cabinets, and other locations where space is limited.
- Fast Heat Dissipation: The server cabinet is designed with vents to optimize airflow and avoid critical IT equipment overheating. Heat sink holes in the top, bottom, and rear panels are more conducive to heat dissipation.
- Sturdy Construction: Robust welded frame construction for durability and long service life. With 100 lbs wall-mounted load capacity and 200 lbs ground-mounted load capacity, you can place multiple devices in the server rack cabinet as needed.
- High Security: The locked glass door ensures the security of data and equipment. Wall mount rack enclosure server cabinet is ideal for use in public places such as offices, effectively protecting the security of your devices.
- Hassle-free Installation: Fully adjustable square-hole mounting rails of the wall mount server cabinet facilitate device installation. Wiring holes on the top, bottom, and rear panels provide you with easy cable routing.
- Term per rack: approximately five years, beginning when Cohere accepts that rack.
- Expected start: initial infrastructure acceptance was expected to begin in the second quarter of 2027. That is an expected timeline stated in the filing, not confirmation that acceptance has happened.
- Prepayments: the filed agreement says prepaid amounts are credited toward fees.
- Monthly fees: not invoiced for a rack until that rack is accepted or deemed accepted.
- After acceptance: Cohere remains obligated to pay fees for that rack’s full term regardless of actual use, subject to the contract’s remedies and credits.
The last point matters for anyone reading “contract” as flexible capacity. Once a rack is accepted, the fee obligation runs for the full term whether or not the capacity is heavily used.
The July 15, 2027 acceptance date
July 15, 2027 is the outside date tied to the specified minimum amount of infrastructure. The agreement gives Cohere exit and refund rights depending on whether that minimum is accepted by then:
Rank #3
- Adjustable Depth: 23-40'' adjustable depth is used for servers and network equipment, ensuring enough space for AV equipment, components, and cabling, while allowing you to access ports and equipment from multiple sides.
- Strong Load Capacity: Ground-Mounted Load Capacity: 500 lbs, Wall-Mounted Load Capacity: 150 lbs. The av rack is made of carbon steel for better weldability performance and can help save space while meeting your need to place multiple devices.
- User-friendly Design: Ergonomic design makes the open frame av rack easier to use. The additional top panel is able to place other items with more available space. Roller design moves anywhere and anytime, is convenient, and is more energy-saving.
- Complete Accessories: We provide the accessories you need, including 2 x Pallets, 145 x M5*10 Cross Head Screws, 4 x Casters, 4 x M10*50 Expansion Screws,10 x M6*12 Cage Nuts, 1 x Grounding Wire, 1 x User Manual.
- Wide Application: The server rack wall mount maximizes the use of available space, suitable for retail venues, classrooms, offices, and other places where space is limited.
- If the minimum is not accepted by July 15, 2027: Cohere may terminate the order and receive a refund of prepaid amounts.
- If the minimum has been accepted: Cohere may terminate the order for racks that were not accepted by that date and receive the related prepaid amounts.
- Parent guarantee: Boost Run Inc. guarantees these refunds up to the unapplied prepayment that Boost Run LLC has received.
The filing does not state the size of the specified minimum, so readers cannot judge from the public text how much of the commitment depends on meeting it.

What is still unknown
- The prepayment amount and the order-specific fee schedule.
- The number of racks or GPUs, and the megawatt capacity.
- The size of the specified minimum that must be accepted by July 15, 2027.
- The sites that will host the capacity. Data Center Dynamics reported that the locations had not been disclosed.
- Parts of the contract. Some text and order schedules are omitted or redacted in the filed exhibit, so the public copy is not the complete commercial record.
The SEC filing also cautions that its forward-looking statements about delivery timing and future payments reflect management’s expectations and are not predictions of actual performance. Readers who need exact wording should consult the filing directly.
