Acqui-hire vs. Traditional Acquisition: What Employees Should Know

An acqui-hire prioritizes a team, but the label does not guarantee a job or a share of the sale price. Learn what employees should check about offers, equity, retention terms, and local rules.

An acqui-hire is an acquisition in which the buyer’s main objective is to bring in some or all of the target company’s team. It does not guarantee that every employee will receive a job, share in the sale price, or keep the same pay and benefits. Those outcomes depend on the deal structure, your documents, and the law where you work.

What is the difference between an acqui-hire and a traditional acquisition?

“Acqui-hire” describes the buyer’s primary motivation: acquiring a company chiefly for access to its employees. A traditional acquisition may instead be driven more by the target’s products, customers, technology, intellectual property, or other business value. In practice, a deal can pursue several of these goals at once; the label is not a distinct legal form. Latham & Watkins’ LathamDrive overview explains that an acqui-hire can use the same basic structures as other acquisitions.

Either kind of transaction may be structured as a stock purchase, asset purchase, or merger, and consideration may include cash, equity, or both. The structure and the applicable law help determine whether employees remain employed by the same entity, transfer, or need new offers. The label alone does not determine your employment status.

What could happen to your job?

The buyer may select which employees it wants to hire. Some people may receive new offers, some may remain with the existing employer, and others may not have a continuing role. Whether employment transfers automatically or requires a new offer can depend on the transaction structure, the contract, and local law.

A filed acquisition agreement offers one example of deal mechanics: it required written offers to certain employees whose employment would not automatically transfer, with timing and a consideration period specified in the agreement and subject to local law. That clause illustrates negotiated drafting; it is not a general legal rule or a promise that every buyer must make an offer. Read the SEC-filed agreement.

Cross-border rules can change the analysis. DLA Piper’s 2026 overview of integration planning for Israeli companies discusses jurisdiction-specific transfer documentation, notice and consultation, immigration, equity plans, and limits that may apply to changing terms or dismissing employees. It notes that EU and UK transfer regimes generally preserve existing terms in covered transfers. These are not universal rules: check the law and facts for your country and transaction.

Does the sale price go to employees?

Not necessarily. The purchase price may be paid to the target company or its shareholders, while an employee’s compensation is governed by separate employment, equity, or retention documents. An employee may receive sale proceeds through an ownership interest or eligible award, but simply working for the company does not establish a right to share in the headline price. Check your own equity and transaction documents.

A selected employee’s package might include salary, a new equity grant, a signing bonus, or retention pay. The buyer and seller may negotiate these alongside the company’s sale terms, but they are different payment buckets. Orrick’s 2025 technology-company guide identifies employee selection, salary and equity compensation, retention value, and consideration for assets or transition cooperation as distinct structuring questions.

What happens to existing stock options and other equity?

There is no single outcome for employee equity. Depending on the transaction documents and the terms of the plan and award, an option or other award may be cashed out, assumed, converted, accelerated, cancelled, or left under the existing plan. These possibilities are not guaranteed alternatives available to every employee; the signed deal and your individual award documents control.

  • Review the equity plan and each grant or award notice, including vesting and any change-in-control provisions.
  • Check what happens at closing and what happens to unvested awards.
  • For options, check the post-termination exercise period and whether a replacement award is offered.
  • Distinguish equity proceeds from salary, bonuses, and retention payments.

In some acqui-hires, the buyer may focus on a small group and offer selected people new equity or other targeted compensation. Skadden’s December 2025 discussion of acqui-hiring in the AI sector describes such deal possibilities and potential disputes involving prior contracts, investors, or other employees. Its regulatory discussion is sector- and time-specific; it does not mean every acqui-hire receives regulatory scrutiny.

Which employment terms should you compare?

Do not assume that a new offer preserves your old terms, or that a deal guarantees a particular period of employment. Compare the documents side by side, and note who is making each promise, when it takes effect, and how long it lasts.

  • Role and employer: employing entity, title, responsibilities, manager, work location, and start date.
  • Pay and benefits: base salary, bonus opportunity, benefits, accrued pay or leave, and any service credit.
  • Duration and exceptions: any promised period for salary or benefits, and what the agreement excludes.
  • Exit terms: termination and resignation rules, severance, and any change-in-control trigger.
  • Other obligations: confidentiality, intellectual-property assignment, release, and restrictive covenants; compare these with existing agreements and local law.

One SEC-filed agreement illustrates how specific negotiated protections can be: it provides certain continuing employees with salary, cash incentive opportunities, location arrangements, and specified benefits for 12 months after closing, while expressly excluding equity and severance from the covered benefits. That is a term in one agreement, not a standard entitlement. See the filed agreement.

When can retention pay or sale proceeds be forfeited?

Some compensation or proceeds may depend on continued service. If so, the document should identify the service period, vesting schedule, payment dates, and forfeiture conditions. Pay particular attention to what counts as termination “for cause” and resignation for “good reason”: those definitions can affect whether payment remains due after you leave or are dismissed. Do not assume a payment is unconditional because it is mentioned during negotiations.

Before signing, trace each amount to its source: shareholder consideration, payroll compensation, an equity award, or a retention arrangement. Then check the conditions attached to that particular amount.

What should you review before accepting or signing?

  1. Gather the documents: your current employment agreement, proposed offer, equity plan and award notices, bonus or retention documents, severance terms, and any release or restrictive-covenant agreement.
  2. Compare the employment terms: confirm the employer, role, manager, location, compensation, benefits, start date, and any service credit or protected period.
  3. Trace equity and payments: identify what happens to each existing award, whether any new grant or cash payment is offered, and the vesting, payment, and forfeiture conditions.
  4. Read the departure language: check cause, good reason, resignation, termination, severance, and change-in-control definitions.
  5. Check local procedures and constraints: ask whether notice, consultation, employee representation, immigration sponsorship, or transfer rules apply to your location and circumstances.
  6. Resolve material uncertainties before signing: if a term has significant financial or immigration consequences, consider getting advice from an employment lawyer familiar with the relevant jurisdiction.

These checks help surface questions; they do not determine what you are legally owed. The transaction documents and applicable law govern your individual situation.
