A tokenized stock can trade above or below the listed share because it may be a different legal and economic instrument trading in a separate market. Its quote is set by that token market’s buyers, sellers, liquidity and market depth—not automatically by the stock exchange price. Some tokens are issuer-sponsored securities, some represent an indirect interest in shares held by a custodian, and some are synthetic instruments that only track a share price. The structure determines whether you receive voting rights, dividends, redemption rights or any claim against the company. Before treating a price gap as an error or opportunity, identify what the token legally represents and compare executable prices, liquidity and trading status at the same time.
“Tokenized stock” does not describe one kind of security
The label covers products with materially different rights and risks. Investor.gov describes three broad models, while a January 28, 2026 statement from SEC divisions distinguishes issuer-sponsored and third-party-sponsored products. The name alone cannot tell you whether you own a share, an entitlement connected to a custodial holding, or a contract linked to a reference price.
Issuer-sponsored token
An issuer-sponsored product is created by the company that issued the underlying security, with the security represented or recorded using token technology. The governing documents should state what security is issued, how ownership is recorded, and which shareholder rights apply. Even in this model, do not assume that every operational feature is identical to a conventional brokerage-held share; the prospectus, charter documents and venue rules control.
Custodial or security-entitlement model
A third party may hold shares with a custodian and issue tokens representing an indirect interest in that pool. Your claim may be against the issuer or intermediary under the token’s terms rather than a direct registration on the company’s shareholder records. The documents should explain the custody chain, how many tokens correspond to the assets, treatment of corporate actions and what happens if an intermediary becomes insolvent.

Synthetic linked instrument
A synthetic token can be designed to move with a referenced share without giving the holder a claim against that company. Investor.gov specifically notes that, in the synthetic model it describes, the token’s price may change with the referenced security while the holder has no rights against the referenced issuer. A price chart that resembles the stock therefore does not prove ownership, voting power, dividend entitlement or a right to receive the share.

SEC Commissioner Hester M. Peirce made the broader point in a July 9, 2025 statement: “As powerful as this technology is, it does not have magical abilities to transform the nature of the underlying asset.” The same statement says tokenized securities are still securities. Those are general regulatory observations, not a description of any particular token’s contract.
How two prices can diverge
Each market has its own supply and demand
The listed share trades in its primary and other regulated markets. A token may trade on a crypto venue through an order book, an automated market maker or a liquidity pool. Those markets can have different participants, available inventory, trading limits and market depth. A buyer who urgently wants the token can move its quote much more than a buyer placing an order in a deep stock market. Conversely, weak demand can leave the token at a discount even while the listed share is unchanged.

Market depth matters because the displayed price is often the price for a small transaction, not a guaranteed price for the size you want to trade. A thin order book can show an attractive last trade while the next available offers are substantially higher. In a pool, the pricing curve can move as your order consumes liquidity. Compare the bid, ask, spread and executable size rather than relying only on a chart or a single last-sale number.
Arbitrage is not automatic
In an idealized market, traders could buy the cheaper instrument and sell the more expensive one until the gap narrowed. Real products can make that process difficult. The token may not be redeemable for a share, transfers may be restricted, the underlying market may be closed, or the two venues may have different onboarding and settlement rules. If the token’s legal claim is not identical to the share’s claim, arbitrageurs cannot simply exchange one for the other. The possibility of a price reference is therefore weaker than a guaranteed conversion mechanism.
Different instruments can justify different values
A conventional share may carry voting rights, declared dividends, information rights and a direct claim in the issuer’s corporate structure. A token that only promises a cash payment based on a reference price lacks those benefits and may expose you to the token issuer’s credit. Investors can rationally value the two instruments differently even when their charts usually move together.

Liquidity and depth can create short-lived or persistent gaps
An SEC comment-file submission dated October 14, 2025 discussed historical dislocations in particular tokens referencing Apple and Amazon. It identified lower liquidity and limited market depth as mechanisms that can contribute to short-term fluctuations and divergence. Those examples are venue-specific reports, not evidence of a current average premium or discount across the market. The duration and size of a gap depend on the product’s structure and the conditions on its venue.
Trading hours, halts and reference prices
A token venue may quote continuously or on a schedule that does not match the primary listing exchange for the share. When the stock market is closed, token traders may be reacting to news, expectations or stale reference data. That can produce a quote that differs from the last official stock close without proving that either market is malfunctioning. The sources reviewed do not establish one trading schedule or a universal “after-hours premium” for tokenized stocks, so the venue’s own rulebook is essential.
Halt procedures also matter. The SEC’s September 17, 2026 announcement of temporary, conditional relief for certain tokenized NMS-stock venues includes a condition that a qualifying venue stop token trading concurrently with a stoppage in the underlying stock on its primary listing exchange. That condition applies only within the described relief and to qualifying venues; it is not a rule for every tokenized-stock platform. Check whether the venue is covered and what its documents say about halts, market closures and stale prices.

Historical price-gap examples—and what they do not prove
The October 14, 2025 SEC-filed submission recounted several historical figures, attributing the data to CoinGecko or blockchain records:
| Reported figure | Context given in the filing | How to interpret it |
|---|---|---|
| $236.72 | Described as a 12% premium on July 3, 2025. | A dated, token-specific report; it is not a current quote or market-wide average. |
| $891.58 | An Amazon-referencing token price on July 5, 2025, described as four times the stock’s previous closing price. | A historical dislocation, not a typical or persistent relationship. |
| $23,781.22 | A brief July 3, 2025 print in blockchain data; the filing said an attempted purchase of about $500 coincided with the event. | An extreme, venue-specific reported print that may reflect very limited depth. |
These figures show why a single screen price should be treated cautiously. They do not establish the present-day frequency, average size or normality of divergence for tokenized stocks generally. No representative market-wide statistic is established by these reports.
Rights, custody and counterparty risk
Read the claim before reading the chart
Look for the legal issuer, governing law and exact promise made to the holder. A token can reference a company without representing an ownership interest in that company. Determine whether the holder is entitled to dividends or equivalent payments, voting, participation in splits and other corporate actions, issuer information, redemption or conversion.

Understand who stands between you and the asset
Third-party products can expose holders to the third party’s operational and financial condition. The January 28, 2026 SEC staff statement says such products may differ in rights, obligations and benefits, may or may not represent ownership or an obligation of the underlying issuer, and may expose holders to the third party, including its bankruptcy. Commissioner Peirce’s July 2025 statement likewise discusses counterparty and legal distinctions. A share held directly through a broker and a synthetic token are not interchangeable claims in an insolvency.
Do not infer redemption from the word “backed”
If a product says tokens correspond to securities in custody, find the actual redemption process. Verify who may redeem, whether delivery is cash or shares, minimum sizes, fees, settlement timing, suspension rights and what happens during a market halt. The available regulatory descriptions do not establish redemption terms for any unnamed product. Only the current issuer and venue documents can answer those questions.

On September 17, 2026, the SEC announced temporary, conditional exemptive relief for certain venues trading tokenized NMS stocks through permissioned automated market makers and liquidity pools. The release describes several conditions:
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problemsBest Value
- Limits on eligible symbols and trading volume.
- Verification that the token provides equivalent rights and privileges where required.
- Issuer notice and an opportunity to object for certain third-party-sponsored tokens.
- Auditable smart contracts.
- Concurrent stopping of token trading when the underlying stock’s primary listing exchange stops trading.
The announced exemptions are temporary, expire five years after publication and were accompanied by a request for public comment. They apply only to the instruments and venues that satisfy the order’s conditions. They do not make every token a share, guarantee price parity or eliminate counterparty risk. The SEC divisions’ January 28, 2026 taxonomy statement is staff views, not a Commission rule, regulation or guidance. Investor.gov also labels its educational material as staff views without legal force or effect. Treat each document according to its status and confirm whether the September order has been amended when evaluating a live product.
How to compare a token quote with the underlying share
Use the following sequence before deciding that a token is “cheap” or “expensive.”
- Identify the instrument. Record the token’s legal name, issuer and whether it is issuer-sponsored, custodial or synthetic.
- Map the rights. Find the sections covering voting, dividends or equivalent payments, corporate actions, information and claims against the underlying company.
- Check custody and solvency exposure. Determine whether shares are held, by whom, how tokens map to those holdings and what the documents say about intermediary failure or bankruptcy.
- Read redemption or conversion terms. Establish who can exercise the right, whether the result is cash or shares, the schedule, minimums, fees and restrictions. If no such right exists, do not assume one.
- Compare executable markets at the same moment. Note the token bid, ask, spread, available size and depth, then compare them with the stock’s contemporaneous executable quote—not merely the previous close.
- Check market status. Record whether the stock exchange is open, closed or halted and what the token venue does in each condition.
- Account for the venue model. An order book and an automated market maker produce quotes differently. Review pool liquidity or order-book depth before judging the displayed price.
- Document the timestamp and currency. A comparison made at different times or in different currencies can describe two legitimate quotes rather than a true premium or discount.
Comparison framework for two tokenized products
| Axis | Questions to answer from current documents |
|---|---|
| Legal structure | Is it issuer-sponsored, a custodial/security-entitlement claim or a synthetic linked instrument? Who is the legal issuer? |
| Rights and benefits | Are voting, dividends or equivalent payments, corporate actions and information rights provided? Does the holder have rights against the underlying issuer? |
| Custody and counterparty | Are underlying securities held, by whom, and what happens if an intermediary becomes insolvent? |
| Redemption or conversion | Who may redeem or convert, in what form, on what schedule, with which fees, minimums or restrictions? |
| Venue and liquidity | Where does it trade? Is pricing from an order book or pool? What are the current bid, ask, spread and executable depth? |
| Trading status | What happens when the underlying exchange is closed or halted, and is the venue subject to any synchronized-halt requirement? |
| Regulatory treatment | Does this specific instrument and venue fall within applicable rules or conditional relief? Do not transfer an exemption from one product to another. |
Common mistakes when interpreting a premium or discount
- Calling every gap mispricing. A synthetic claim or a claim exposed to an intermediary can have a different fair value from a direct share.
- Using the stock’s previous close. A token quote may be live while the stock reference is stale. Compare contemporaneous executable prices and state the timestamp.
- Ignoring size. A last trade for a tiny amount does not show what you can buy or sell without moving the market.
- Assuming tokenization guarantees convertibility. Only an explicit, usable redemption or conversion right creates that bridge.
- Generalizing from an extreme print. Historical incidents such as the figures reported in the 2025 SEC-filed submission illustrate thin-market risk, not a normal market statistic.
- Treating a regulatory announcement as universal approval. The September 2026 relief is conditional, temporary and limited to qualifying venues and instruments.
Questions to answer before trading
- What exact legal claim does this token represent, and who issued it?
- Is it an issuer-issued security, an entitlement tied to shares held in custody, or a synthetic price-linked instrument?
- Which rights—dividends, voting, redemption or a claim to the underlying share—are actually written into the terms?
- Which venue sets the quote, and what are the bid, ask, executable size and depth at the moment of comparison?
- Is the token trading while the underlying market is closed or halted, and what does the venue documentation require in that situation?
- What custody, counterparty and insolvency risks are disclosed?
A premium or discount is therefore a signal to investigate the instrument and its market, not a standalone buy or sell instruction. The legally relevant question is not whether the token’s chart resembles the stock; it is what claim you can enforce, where you can trade it and at what executable price.
