A tokenised real-world asset (RWA) is a digital token that represents an asset or a legal claim connected to one. The token is not automatically the asset itself: what its holder owns or can claim depends on the legal documents, issuer, records and custody arrangements behind it.
What is a tokenised real-world asset?
“Real-world asset” is a broad market term for something represented on a distributed ledger—a shared database maintained across a network. It can refer to a financial asset, such as a security or bank deposit; a physical asset, such as real estate; or a claim against an issuer. In practice, the token may represent ownership, an indirect interest, a right to payment, or simply a record used to process a change in ownership.

The US Securities and Exchange Commission (SEC) staff defines tokenisation as “the process of creating a digital representation of a tangible or intangible asset using DLT.” Its 28 January 2026 statement defines a tokenised security as a financial instrument that qualifies as a security and is represented by a crypto asset, with ownership records maintained wholly or partly on crypto networks. That is a US-focused description, not a universal legal definition for every kind of RWA.

A useful way to think about a token is as a digital record with a legal and operational bridge to an asset or claim. The token can be part of that bridge, but the ledger entry alone does not establish what rights the holder has.

How does tokenisation work?
A tokenised asset arrangement combines a defined right, a record of that right, and rules for managing and transferring it. A transfer on a ledger may itself update the relevant ownership record, or it may prompt an issuer or agent to update a separate register.
- Define the asset, claim and rights. The arrangement must specify what the holder is entitled to, who recognises or owes that entitlement, and what restrictions apply.
- Create or represent the token. An issuer or intermediary creates a digital token linked to the asset or claim. The token may be the authoritative ownership record, or it may serve as evidence or an instruction to update an off-chain record.
- Set the ledger rules and governance. The Bank for International Settlements (BIS) describes tokenisation platforms as having a “core” layer containing asset and ownership information, and a “service” layer where rules and governance are embedded. Smart contracts—software that executes rules on a ledger—can automate eligible actions.
- Transfer and settle. A transfer may change an on-chain record or trigger a change in an off-chain register. The transaction may also involve a settlement asset, such as a stablecoin, a tokenised bank deposit or central-bank money.
- Maintain the connection. Custodians, platform operators, developers, data providers and bridges between ledgers may be needed to hold assets, provide external information or enable transfers across systems.
Automation does not remove the need to know which record is authoritative or how the token connects to the underlying right. The governing documents, issuer or intermediary, custody arrangement, transfer and redemption terms, and applicable law all affect what a token holder can enforce.

What rights can a token represent?
Tokenised offerings can use different legal and operational structures. The SEC staff distinguishes issuer-sponsored models from third-party-sponsored ones; these structures can give holders materially different rights and exposures.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Clear out junk files and repair common Windows errors3Scan for outdated or missing drivers - takes under a minute| Structure | How it works | What to understand about the holder’s position |
|---|---|---|
| Issuer-sponsored, on-chain register | The issuer or its agent uses DLT as part of its master securityholder file, so a token transfer updates that ownership record. | The token is integrated into the issuer’s ownership records. The governing documents and applicable law still determine the holder’s rights. |
| Issuer-sponsored token linked to an off-chain register | The token transfer can notify the issuer or agent to update a separate, off-chain master record. | The token does not itself convey the underlying security’s rights; the register update is central to recognising the holder. |
| Third-party custodial structure | A third party holds the underlying security and issues a token representing an indirect interest or security entitlement. | The holder’s claim is mediated by the third party and its custody arrangement, rather than necessarily being a direct claim on the issuer of the underlying security. |
| Third-party synthetic structure | A third party issues its own tokenised security or derivative tied to the price or performance of a reference security. | The holder may receive price exposure without having rights against the issuer of the referenced security. |
These categories describe common models, not a substitute for reading the terms of a particular offering. A third-party token holder may also face risks, including the third party’s bankruptcy, that a direct holder of the underlying security would not necessarily face, according to SEC staff.
What should you check before assessing a tokenised asset?
Do not judge an offering only by its token name or the fact that it appears on a blockchain. Compare the documents and operating arrangements on the points that determine the holder’s actual position:

- Legal claim: What exactly does the token entitle its holder to, and against whom?
- Issuer and records: Who issues the token, and which on-chain or off-chain register is authoritative?
- Structure and counterparty exposure: Is the arrangement direct, custodial or synthetic? What happens if an issuer, custodian or intermediary fails?
- Custody: Who holds the underlying asset, and how are the token and asset safeguarded?
- Settlement: What asset is used to settle a transfer, and what risks does that settlement asset introduce?
- Transfers and redemption: Who can transfer or redeem the token, under what conditions, and are there restrictions or delays?
- Technology and governance: How are smart contracts, external data feeds and changes to the platform controlled?
- Jurisdiction and regulatory status: Which law applies, and what is the offering’s status under that law?
A crypto wallet may provide a way to hold or access a token, but holding the token in a wallet does not by itself establish direct ownership of the related security or physical asset.
What benefits might tokenisation offer?
Official sources identify possible gains in efficiency, cost, transparency, automation and fractional access. For example, programmable transfer rules could automate some steps in a transaction, while a digital record could make certain ownership information easier to track. Fractional tokens may also divide an interest into smaller units, depending on the legal structure and offering terms.

These are possible outcomes, not guaranteed properties of every tokenised asset. The Financial Stability Board (FSB) put the trade-off this way in its 22 October 2024 report: “Tokenisation has the potential to offer benefits to the financial system, such as increased efficiency and transparency, but it may also have financial stability implications.” The practical result depends on the asset, platform, legal arrangements and users involved.

Tokenisation combines familiar financial risks with risks created or changed by the technology and operating structure. A token linked to a reference asset can trade at a different price from that asset; a token without such a link retains issuer risk.

- Liquidity and maturity mismatch: A token may be easier to transfer than the underlying asset is to sell or redeem, or the timing of asset cash flows may not match holders’ expectations.
- Leverage and rehypothecation: Borrowing against assets or reusing collateral can amplify losses and make claims on the same assets more complex.
- Asset price and quality: Tokenisation does not improve the quality or value of the underlying asset. Poor valuation or deterioration in that asset can affect the token’s value.
- Interconnectedness: Issuers, custodians, settlement assets, platforms and bridges can link otherwise separate systems. A problem at one point may affect others.
- Operational fragility: Smart-contract errors, lost or mismanaged private keys, weak governance, unreliable external data and irreversible transactions can cause losses or disrupt access.
- Legal and counterparty uncertainty: A ledger transfer may not settle who has an enforceable claim, particularly when rights depend on an intermediary, an off-chain register or a third party’s solvency.
The BIS and FSB have also highlighted operational complexity, liquidity pressure and regulatory uncertainty as potential trade-offs. A token’s ability to move on a network should not be confused with the ability to sell it at a fair price, redeem it promptly or enforce a claim.
How established is the market?
Official assessments describe adoption as early and difficult to quantify. The BIS Financial Stability Institute’s summary, published 28 August 2025, says projects are often small-scale and experimental, with broader adoption constrained by limited investor demand, weak interoperability with legacy systems, and legal and regulatory uncertainty.

What does US securities law say about tokenised securities?
In a staff statement dated 28 January 2026, the SEC’s Divisions of Corporation Finance, Investment Management, and Trading and Markets said that changing a security’s format to a token does not change the application of US federal securities laws. The statement notes, for example, that securities offers and sales generally must be registered unless an exemption applies.
The statement describes staff views; it is not a Commission rule or guidance and has no legal force or effect. It is also specific to the US securities context. The legal treatment of a tokenised asset depends on the facts, the rights involved and the applicable jurisdiction, so the statement should not be treated as a decision about a particular offering or as individual legal advice.
