Before subscribing to a US IPO, read the latest prospectus and connect its disclosures across the business description, risks, financial statements, use of proceeds, dilution and underwriting sections. The prospectus explains the offer; it is not a regulator’s endorsement or proof that the shares are fairly priced.
Start with the latest filing, not the first price range
A US IPO registration statement is typically filed on Form S-1, with the prospectus in Part I. Search the SEC’s EDGAR database for the latest registration statement and amendments: price ranges, share counts and other terms can change during registration. The SEC’s IPO investor bulletin explains that after a registration statement becomes effective, the issuer typically files a final prospectus, often as Form 424B3 or 424B4, which generally includes the final offering price. A preliminary range is not the final price.

What to check in the prospectus
Business, strategy and dependencies
Use the summary to orient yourself, then test its claims against the Business section and management’s discussion and analysis (MD&A). Identify what the company sells, how it says it competes, its markets and strategy, and whether it relies heavily on particular customers or suppliers. A concentrated relationship could materially affect results if it changes or ends.

Risks—and signs they are already affecting results
Sort the risk factors into practical groups: operational, financial, competitive, legal, regulatory and offering-related. Then look for links to the MD&A and financial statement notes. For example, consider whether a stated customer-concentration risk appears alongside revenue changes or whether a financing risk is reflected in the company’s financial condition. Risk factors describe exposures the issuer identifies; they are not independent verification of the issuer’s assessments or forecasts.
Use of proceeds: who gets the money?
Read the stated purposes for the offering proceeds and note how specifically the company allocates them. Compare those purposes with the company’s financial needs and stated plans. A broad allocation gives management more discretion than a detailed one. Also distinguish company-issued shares from shares sold by existing shareholders: proceeds from selling shareholders go to those holders, not to the company.

Dilution, share count and ownership
Review the dilution discussion, including the difference between the IPO price and pro forma book value per share and the average price existing shareholders paid. Check the share counts and ownership disclosures to understand the capital structure after the offering and how the offered shares compare with existing holdings. These disclosures describe the structure and accounting comparison; by themselves, they do not establish what the shares are worth.

Read the audited financial statements, notes and auditor’s opinion alongside the MD&A. The statements show reported financial results and position; the MD&A explains management’s account of why results or financial condition changed and what factors it says could affect future results. The SEC’s 2022 bulletin says emerging growth companies and smaller reporting companies may present two years of audited statements, compared with three years for other IPO companies. The period shown can therefore differ; check the particular prospectus and applicable current requirements rather than assuming every filing has the same history.
Management, litigation and dividends
Review the biographies of directors and executives, disclosed significant litigation, dividend policy and any stated plans for distributions. Consider whether the disclosed experience and governance arrangements fit the company’s stage and strategy. A stated dividend policy or plan is disclosure, not a guarantee of future payments.
Price, underwriting and conflicts
The company and underwriters set the offering price through a process that can involve market conditions, analysis, negotiation and competing interests. Read the Underwriting or Plan of Distribution section for distribution terms, underwriter compensation and relevant conflicts. The SEC bulletin also cautions that early aftermarket price support may end; the share price can then fall below the offering price.
What SEC effectiveness does—and does not—mean
The SEC’s Office of Investor Education and Advocacy stated in its October 14, 2022 bulletin: “The SEC’s declaration of effectiveness does not represent an approval of the merits of the IPO or an indication that the information disclosed is complete or accurate.” SEC staff review focuses on disclosure compliance; it does not decide whether an IPO suits a particular investor. Effectiveness is not a recommendation, a guarantee of complete or accurate disclosure, or a finding that the price is fair.

Compare preliminary and final terms; identify which shares fund the company and which benefit selling holders; assess how specific the use of proceeds is; and weigh the price against dilution disclosures and the available financial record. Read underwriting terms alongside the issuer’s stated objectives. These comparisons help clarify what is being offered, but they do not provide a formula for predicting performance or a personalized investment recommendation. If a disclosure is unclear, verify it with independent sources and consider your own financial circumstances.
