Before buying a cryptocurrency presale, verify who is raising the money, what it will fund, what rights the token gives you, how you could exit, and what independent technical evidence exists. “Presale” is a marketing label—not proof of legitimacy, regulatory approval, code quality, or future returns. Treat the purchase as speculative and be prepared to lose the entire amount.
Start by identifying the issuer and the legal basis for the sale
Find the legal name of the organization or people raising funds, where they are based, and which entity will receive your payment. Look for the project’s own legal disclosures and determine whether it says the offer is registered or relies on an exemption. Then check those claims through official sources rather than relying on a sale page, promoter, or platform.

In the United States, whether a token is a security depends on the facts and circumstances. If an offering involves securities, it may need to be registered or qualify for an exemption. The SEC’s 2017 Investor Bulletin on Initial Coin Offerings recommends investigating an offering’s status and checking registered offerings through SEC.gov/EDGAR. A filing is not the same as SEC approval or endorsement; the SEC warns investors to investigate such claims independently in its investor alert on crypto asset securities and platform-hosted offerings. For offers outside the United States, consult guidance specific to the relevant jurisdiction.

Read the project’s explanation of how it will use sale proceeds. It should say what the funds are meant to pay for and connect that spending to a concrete, understandable plan. Compare the explanation in the white paper, sale page, and other primary project documents; meaningful inconsistencies or vague promises make it harder to assess what buyers are financing.

Establish what the token gives you—and how you can get out
Do not infer rights from the token’s name, marketing, or a promised future listing. Find out whether it provides a usable function now or depends on future development, and what, if anything, the holder is entitled to. Check whether refunds are offered, under what conditions, and whether resale is restricted or depends on a future exchange listing. A listing is not guaranteed simply because promotional materials suggest one.
Ask for documented details about allocation and vesting where they are relevant to the offer. If the project does not explain these terms in its primary documents, treat them as unknown rather than assuming a favorable schedule. The SEC’s ICO bulletin specifically recommends asking what rights a token gives, whether refunds are available, and what resale limits apply.

Evaluate the technical evidence without treating an audit as a guarantee
Look for a public blockchain, code that is actually published, and an independent cybersecurity review. The SEC advises investors to ask: “whether the blockchain is open and public, whether the code has been published, and whether there has been an independent cybersecurity audit.” See its 2017 ICO bulletin.

If an audit is cited, read the audit itself and establish what code and risks it covers and when it was performed. An audit is evidence about the scope of a technical review—not proof that the issuer is honest, that a token will hold value, or that the code has no vulnerabilities. A badge or claim that an audit “passed” cannot establish that an investment is safe.

Check the seller, platform, and custody arrangements
Identify who is selling the token and whether any securities professional or platform involved is registered where required. A platform’s claim that it has vetted a presale does not by itself establish regulatory compliance or provide the protections buyers may expect. The SEC has warned that platform-hosted offerings can be promoted as vetted even when the platform is not registered or may not offer expected protections. It also says there is no such thing as an “SEC-approved” initial exchange offering; see its alert on crypto asset securities and platforms.
Understand where your payment goes, who controls the funds and tokens, and whether you can withdraw them. Read the actual withdrawal and custody terms; do not assume that buying through a platform means you can readily retrieve funds or transfer tokens.

Recognize promotional pressure and risky claims
Pause if the pitch relies on urgency, guaranteed returns, “no risk” language, unsolicited contact, celebrity or regulator endorsements, dense jargon instead of clear disclosures, or claims that appear only on social media. The SEC’s May 29, 2024 alert on memecoins describes fraudsters promoting tokens, sometimes through what they call a presale, to drive up the price before selling; the price can then fall rapidly. The alert also warns about impersonation, fabricated promotions, and decisions based only on social-media hype.

A celebrity endorsement, exchange association, platform vetting claim, or SEC filing does not guarantee a project’s legitimacy or approve it. Be especially wary of anyone demanding extra “taxes” or fees to release a withdrawal or recover lost funds. The SEC warns that this advance-fee pattern can compound a loss.

Compare offerings using the same evidence
If you are weighing two presales, compare what each one actually documents rather than advertised upside. Do not convert missing information into a score or treat an audit badge as a verdict.

Decide whether the risk fits your finances
Crypto asset securities can be speculative, volatile, or illiquid. The SEC also warns of losses associated with insolvency, a market disappearing, hacking, restricted withdrawals, and fraud, with limited recovery options. Its Office of Investor Education and Advocacy states: “The only money you should put at risk with any speculative investment is money you can afford to lose entirely.” Read the SEC’s March 23, 2023 alert, “Exercise Caution with Crypto Asset Securities”.
If you have already sent money and suspect fraud, preserve messages, receipts, and transaction details. Do not send more money or share private keys with someone claiming they can recover your funds. Use official regulator reporting channels; tracing or recovering crypto assets can be difficult.
