Before accepting money connected to a nearby data center, find out exactly what you must give up or do in return. Read the complete agreement—including exhibits—and identify the claims, impacts, people, properties, and time periods it covers, along with any duties that continue after payment. Because the offer, jurisdiction, and contract terms determine the result, have a local attorney review the actual document before you sign and ask a tax professional how the payment may be characterized.
1. Establish what the payment is for
Ask the payer in writing to explain the purpose of the offer and what it is intended to resolve. A payment might be connected to a release of claims, a property right, a confidentiality promise, future cooperation, or some combination. Do not infer its scope from a cover letter, a verbal assurance, or the word “settlement.” The operative terms are in the complete agreement and its exhibits.

- Collect the offer letter, full agreement and exhibits, related communications, any prior complaints or monitoring records, and available project approvals and impact records.
- Ask which specific claims and impacts are covered, and whether coverage is limited by dates, events, project phases, or locations.
- Ask who the agreement says is bound: only the recipient, or also other owners, occupants, household members, successors, or entities.
- Confirm who must sign and whether each signatory has authority over the rights the agreement addresses. Ownership, occupancy, and authority can raise separate questions for local counsel.
Signing a release may affect claims, but whether it does—and how broadly—depends on the wording and governing law. A federal rule illustrates why scope matters, but it is not a rule for private neighbor agreements: under 32 CFR § 750.10, acceptance of certain Department of the Navy or Attorney General administrative awards releases claims against the United States within the specified scope. That limited federal claims provision does not determine the effect of a private data center settlement.
2. Find every property right and continuing duty
Look beyond the payment and any release. Search the agreement for terms granting or restricting rights over land, access, monitoring, construction, or other future activity. Also identify promises that require action after signing or payment.

- PCI & HIPPA and EIA/ECA-310-E compliant
- Property terms: Check for an easement, access permission, monitoring right, construction-related right, waiver, or restriction affecting use of the property. Identify the affected land and the duration and conditions of the right.
- Ongoing cooperation: Check for required access, meetings, statements, assistance, or other cooperation, including when it can be requested and for how long.
- Other continuing terms: Look for indemnity language, future waivers, obligations that bind successors, and terms that remain in force after the payment is made.
The available public examples do not establish who must sign a private agreement or what rights it can convey. Ask a local property or land-use attorney to assess the exact language, the property interests involved, and who could be bound.
3. Define the payment mechanics and consequences
Put the amount and every condition of payment in writing. The public examples described below do not establish a standard payment or valuation formula for an individual neighbor.

- Identify the payer and the recipient, the amount, the payment date or schedule, and the payment method.
- Check whether payment depends on signing, a waiting period, a project milestone, or another condition.
- If payment is in installments, determine when each is due and what happens if an installment is late or never arrives.
- Check what happens if the payer fails to carry out a promised project measure or other obligation.
- Clarify whether the release or other promises take effect on signing, on receipt of payment, or at another point stated in the agreement.
Compare any alternatives using the same factors: payment amount and certainty, release scope and duration, covered impacts, property rights, confidentiality, future duties, and consequences of nonpayment or nonperformance. A larger figure alone does not show whether the overall exchange is acceptable.
4. Examine confidentiality and what you may discuss
Read confidentiality and non-disparagement provisions in full, including exceptions and any duration. Determine whether the text limits discussion with family, attorneys, tax advisers, regulators, public agencies, or other people you may need to consult. Do not assume that a particular restriction is enforceable—or unenforceable—in your jurisdiction. Have counsel review the actual wording before agreeing to it.

5. Connect the offer to documented project impacts
Ask what impacts the offer addresses and what records support that explanation. Local data center review can consider issues beyond an individual neighbor’s concerns. Fairfax County describes noise studies, visual screening, building design standards, minimum distances from homes in applicable contexts, public hearings, and local land-use review. New Jersey’s municipal data center resource hub points municipalities to questions about infrastructure, utilities, emergency services, and surrounding-community impacts. These are examples of issues to investigate, not evidence that a particular project caused a particular harm or that an individual neighbor is entitled to payment.
If noise is part of the concern
Ask for applicable project noise studies and keep dated observations of when and where noise occurs. A sound-level meter may help record observations, but a consumer reading is not established here as accurate for a legal dispute, admissible evidence, or a substitute for qualified acoustic testing. Fairfax County’s review framework supports asking about noise studies; it does not validate a particular device or measurement.
6. Ask how the payment will be treated for tax purposes
Do not rely on the agreement’s label alone to determine tax treatment. The IRS regulation gives examples involving attorney payment reporting and illustrates that reporting depends on how a settlement payment is characterized. It does not establish the tax result for this offer without knowing what the payment compensates. Ask a tax professional to review the agreement and the stated purpose of the payment.

What public examples can—and cannot—tell a neighbor
| Example | What it describes | Limit for a private neighbor offer |
|---|---|---|
| Fairfax County data center review | Local review can involve noise studies, visual screening, building design standards, applicable minimum distances from homes, public hearings, and land-use review. | It describes a Fairfax County framework, not a nationwide rule or proof of an individual neighbor’s harm. |
| New Jersey data center municipal resource hub | It describes community benefit agreements as legally binding agreements between developers and host municipalities and/or community groups, and advises municipalities to understand project demands on infrastructure, utilities, emergency services, and surrounding communities. | It is municipal guidance, not individual legal advice or a standard for payments to neighbors. |
| Niagara Falls draft acoustic-study cost agreement | A draft for a proposed data center provides for the applicant to reimburse municipal acoustic evaluation expenses. | It concerns a city and project applicant during project review, not a standard neighbor payment. |
| City of Pittsburg AVAIO settlement summary, December 2025 | The city reports that its settlement with the AVAIO developer and the Center for Biological Diversity added project commitments and a $750,000 climate-resilience investment. | It is a public-interest settlement example; the reported investment is not a benchmark for what an individual neighbor should accept. |
Before you decide
- Obtain the complete agreement, exhibits, offer communications, and relevant project and impact records.
- Ask the payer to identify in writing what the offer covers and whether it involves a release, property interest, confidentiality, future access, or another continuing duty.
- Mark every person, property, claim, time period, payment condition, and ongoing obligation mentioned in the agreement.
- Have a local attorney experienced in property or land-use matters review the actual terms before signing; consult a tax professional about the payment’s characterization.
- Decide only after you understand both the payment you will receive and the rights, claims, or future choices the agreement affects.
