The Public Company Accounting Oversight Board (PCAOB) oversees audits of public companies and SEC-registered brokers and dealers. It sets auditing and related professional practice standards, but those rules do not take effect unless the U.S. Securities and Exchange Commission (SEC) approves them. The PCAOB regulates the firms that perform covered audits; it does not audit public companies itself.
What the PCAOB does
Congress established the PCAOB as a nonprofit corporation. Its stated mission is to protect investors and further the public interest in informative, accurate, and independent audit reports. Its remit covers audits of public companies and brokers and dealers registered with the SEC, including certain compliance reports filed under federal securities laws. The PCAOB sets standards for registered accounting firms’ covered audits and related professional practice.

Oversight helps the Board identify audit issues that may warrant attention. Inspection and monitoring observations, along with other developments, can inform staff research and the standard-setting agenda. An issue does not automatically become a new binding standard: the PCAOB may decide that a standards change is not appropriate and consider another response, such as guidance on applying existing standards.

How PCAOB standard setting and rulemaking work
The PCAOB describes its work as priority-based and issue-led. The stages below explain the general path, but projects can differ in sequence and timing.
#1 Best Overall
1. Identify an audit issue
Staff look for current or emerging issues, drawing on oversight observations and other developments. An issue may be placed on the research agenda for further consideration.
2. Research possible responses
An interdivisional team may conduct outreach and economic analysis, assess whether a standards change is needed, consider alternatives, and define potential scope and approaches. If the Board pursues standard setting, the project can move to the standard-setting agenda. If not, it may consider another action, including staff guidance for applying existing standards.

3. Develop a proposal and seek public input
The Board solicits public comment before adopting changes. PCAOB materials describe concept releases, proposing releases, and, in some cases, re-proposals as opportunities to comment. Not every project has the same number of comment rounds, and timing varies.

4. Analyze likely effects
Economic analysis informs the Board’s decision; it does not replace the Board’s policy judgment. PCAOB staff guidance describes considering the need for a rule, a baseline, alternatives, and likely benefits and costs. Releases should discuss a standard’s effects generally and its likely effects on audits of emerging growth companies (EGCs), with the analysis adapted to the project.
EGCs also receive a specific statutory consideration during SEC review: before a new standard applies to their audits, the SEC must determine that application is necessary or appropriate in the public interest, considering investor protection and whether the action promotes efficiency, competition, and capital formation.
5. Board adoption, then SEC review
The Board may adopt a final rule or standard after considering comments and analysis. That is not the same as approval or an effective date. The SEC must approve PCAOB rules and standards before they take effect, and its statutory approval process includes notice and consideration of public comments.

How to follow a rule or take part
The PCAOB Rulemaking Docket assigns a docket number to each rule and collects related releases, comment letters, SEC filings, and other documents. It tracks rules under consideration. The PCAOB also publishes open comment periods and current standard-setting, research, and rulemaking projects.
