What Shareholders Can Do If They Disagree With a Merger

Shareholders may be able to vote against a merger, seek appraisal, or bring a legal challenge—but eligibility and deadlines depend on the transaction and governing law.

If you disagree with a proposed merger, first read the merger notice and proxy materials, then check whether you can vote, whether appraisal rights apply, and what deadlines govern. Voting against a deal, seeking court-determined value for your shares, and challenging a merger in court are different options—and none is available automatically just because you oppose the transaction.

The rules depend on the company’s place of incorporation, the merger structure, your share class, and the documents for the specific deal. Delaware law offers one detailed example, not a rule for every company or jurisdiction.

Start with the merger documents and the governing law

Find the merger notice, proxy statement or information statement, and voting instructions. They should help you identify the proposed consideration, who is entitled to vote, the record date, the vote deadline, the transaction’s structure, and any notice of appraisal rights. The governing statute and transaction documents determine what remedies are actually available.

Confirm where the company is incorporated; a company’s headquarters or stock-exchange listing does not by itself establish which corporate law applies. Also check whether you hold a class of shares with voting or appraisal rights. Do not assume a right described in a general guide applies to your specific deal.

Choose among the distinct paths

Path What it may do What to check
Vote against the merger or withhold support Records opposition and may affect whether the proposal passes, depending on the voting rules. Whether you can vote, how your shares are counted, and the deadline in the transaction materials.
Seek appraisal Where the law and transaction permit, asks a court to determine the fair value of eligible shares. Eligibility, required notices and written demands, deadlines, and the consequences of pursuing appraisal.
Challenge the transaction in court May seek a legal remedy if there is a valid basis under applicable law. Whether you have standing and a supported legal claim; disagreement with price or strategy alone does not establish a right to undo a merger.

You can also raise concerns with the company and other shareholders. But objecting, by itself, does not establish a general right to stop a merger.

Voting against a merger is not an appraisal demand

Do not treat a “no” vote as a request for fair value. Delaware’s appraisal statute expressly distinguishes voting or submitting a proxy from making the written demand required to preserve appraisal rights. The eligibility rules and procedure appear in Delaware General Corporation Law § 262.

In an opinion addressing an ordinary long-form merger, the Delaware Court of Chancery described a dissenting stockholder as needing to vote against the merger or not vote, and to submit a written appraisal demand before the vote. The opinion also discusses changing a proxy or written consent before the actual vote. That explanation is tied to the context of the opinion; it should not be generalized to every merger structure or jurisdiction. See the Delaware Court of Chancery opinion.

How appraisal works under Delaware law

Delaware appraisal is a statutory remedy for eligible shares in specified circumstances—not a universal cash-out option. Section 262 sets out different procedures for different merger routes. The notice and demand requirements, and when they apply, must be checked against the particular transaction and the relevant subsection.

Notice and written demand

For some approval routes, the statute provides for advance notice of appraisal rights; for specified routes it provides notice before the merger takes effect or within 10 days afterward, with a written-demand period tied to that notice. These are not interchangeable, universal deadlines. Follow the notice for your transaction and verify the statutory requirements that apply.

Starting a proceeding

Section 262 provides a qualifying person a period of 120 days after the merger’s effective date to commence an appraisal proceeding in the Delaware Court of Chancery. That petition period is distinct from the deadlines for notice and written demand; meeting one does not substitute for meeting the others.

What the court determines—and what it does not promise

The court may determine the fair value of the shares. The process is a legal proceeding, not a guaranteed premium or a simple election to receive more than the merger consideration. The statute also addresses interest and allows certain expenses, including reasonable attorney and expert fees, to be allocated in specified circumstances.

Consequences while appraisal is pending

After an appraisal demand, Delaware law generally restricts voting the shares subject to the demand and receiving post-effective-date dividends or distributions, subject to statutory qualifications. A qualifying holder who has not commenced or joined the proceeding as a named party may withdraw within 60 days after the merger becomes effective. Later withdrawal may require the company’s approval, and a filed proceeding is subject to court oversight.

For listed shares, the statute also sets conditions under which an appraisal proceeding may be dismissed unless specified thresholds or exceptions are met. Eligibility and these limits are technical; being a public-company shareholder does not, by itself, establish appraisal rights.

How to decide whether to pursue a remedy

  • If your main goal is to oppose the deal: check your voting rights and the vote deadline, then follow the stated voting procedure.
  • If you want a court to determine share value: verify statutory eligibility and every appraisal notice, demand, and filing deadline before acting. Consider the potential time, legal and expert expenses, uncertainty, and restrictions on voting and distributions.
  • If you believe the deal violates the law: identify a specific legal basis rather than relying on disagreement with the price or business strategy alone.
  • If a deadline may be near: consult a lawyer experienced in corporate or securities matters promptly. The governing jurisdiction, transaction structure, standing, and procedural requirements all matter.

These options are not mutually interchangeable, and the available choices vary by transaction. A lawyer can assess the actual notice and governing law; this overview cannot determine whether a particular shareholder qualifies for a remedy.
