Tokenization represents an asset or financial instrument as a digital token, often using a blockchain or similar network to record ownership. But a token’s format does not tell you what you legally own: it might represent the same security, an indirect interest held through a custodian, or only price-linked exposure. To compare a tokenized investment with a traditional one, check the holder’s rights, the authoritative ownership record, and the intermediaries and risks involved.
What does tokenization mean?
Tokenization is the process of representing an asset, right, or financial instrument with a digital token. For securities, the U.S. Securities and Exchange Commission (SEC) describes a tokenized security as a security represented by a crypto asset, with ownership recorded in whole or in part through crypto networks. The token may be one part of a system that also relies on conventional records, custodians, brokers, or other intermediaries.

Tokenization changes how an instrument is represented or how its ownership is recorded; it does not, by itself, change the instrument’s legal character. The SEC’s July 9, 2025 statement by Commissioner Hester M. Peirce puts the distinction plainly: “As powerful as blockchain technology is, it does not have magical abilities to transform the nature of the underlying asset.” Her statement is a commissioner’s view, not a Commission rule.

An asset that is not itself a security may still be offered or sold through an investment contract, depending on the facts. The SEC’s March 17, 2026 interpretive release addresses how federal securities laws apply to certain crypto assets and transactions; it is not a blanket classification of every token or offering.

Does a tokenized asset give you ownership of the underlying investment?
Not necessarily. A token may carry rights in the underlying security, represent an indirect interest in a security held by an intermediary, or provide exposure to a reference asset without giving the holder rights against its issuer. A token’s price moving in line with a stock is not proof that its holder owns that stock or has shareholder rights.
The SEC’s Investor.gov overview of tokenized securities describes three common structures. The label alone is not enough to establish which structure a particular product uses; the offering documents and applicable records matter.

Issuer-sponsored tokens
The issuer sponsors the tokenization of its security. The token may represent the same class of security and carry its rights, but the token itself could be a different class. Check whether holders receive voting, distribution, and other rights directly, and which record establishes ownership. Depending on the structure, the network may serve as the functional ownership database.

A securities intermediary, such as a custodian, holds the underlying security, while the token represents the holder’s indirect interest through that intermediary. The holder’s claim and rights depend on the intermediary arrangement, not simply on the token’s name or price. Review who holds the security, what the token holder can claim, and what the documents say happens if the intermediary fails.

Synthetic tokens
A synthetic token can track or provide exposure to a security’s price without giving its holder a claim or rights against the referenced security’s issuer. The token holder instead depends on the terms and parties behind the synthetic product. Price correlation is not the same as ownership.
How tokenized and traditional investments differ
“Traditional” describes a familiar way of issuing, holding, or recording an investment; it does not mean every traditional investment has identical rights or risks. For a meaningful comparison, identify the legal instrument first, then determine what the token changes about ownership records, custody, transfer, and counterparties.

| What to compare | Traditional-format investment | Tokenized form: what to verify |
|---|---|---|
| Legal instrument | Identify the share, bond, fund interest, or other investment. | Does the token represent the same security, a security entitlement, a new linked instrument, or a derivative? |
| Issuer relationship | The issuer or its agents maintain recognized ownership records. | Is the token issued by or for the issuer, held through a custodian, or created by an unaffiliated third party? |
| Rights | Review voting, distributions, ownership, and other contractual or statutory rights. | Do token holders receive those rights directly, indirectly, differently, or not at all? |
| Recordkeeping and custody | Identify the broker, transfer agent, custodian, or other recordkeeper. | Which onchain or offchain record controls? What happens if a wallet, custodian, or platform fails? |
| Trading and transfers | Consider the venue, settlement process, transfer restrictions, and liquidity. | Check eligible venues, wallet restrictions, network dependencies, and whether liquidity claims are demonstrated for this asset. |
| Counterparty and insolvency risk | Understand exposure to the issuer, broker, and custodian. | Identify additional token issuer, custodian, platform, and smart-contract dependencies; review the stated insolvency treatment. |
What potential benefits can tokenization offer?
Tokenization may change how investments are issued, transferred, traded, settled, and recorded. SEC statements identify possible uses such as more efficient issuance and settlement, new collateral uses, greater transparency, and liquidity improvements. These are potential infrastructure benefits, not guaranteed returns or outcomes for investors.
Whether a tokenized product actually reduces costs, improves liquidity, or makes an investment easier to access depends on its design and market structure. For any particular asset, look for evidence about available trading venues, transfer restrictions, and actual liquidity rather than assuming that a blockchain makes it readily tradable. Commissioner Mark T. Uyeda’s September 17, 2026 statement describes a Commission-approved temporary, conditional exemption for limited trading of tokenized NMS stocks on certain onchain venues. That specific development does not amount to general permission for every tokenized-stock venue.

What risks should investors check?
- Rights may differ from what the token’s label implies. The holder may lack direct ownership, voting rights, distributions, or claims against the underlying issuer.
- Third parties can add exposure. A custodian, token issuer, platform, or other intermediary may introduce credit and bankruptcy risks beyond those of holding the underlying security directly.
- Price tracking can be mistaken for ownership. A token that follows a stock’s price may provide only contractual exposure, not shareholder rights.
- Records and custody can be split. Determine whether an onchain record is authoritative, how transfers are recognized, and what happens if a wallet or service provider fails.
- Network and transfer rules matter. A token may only move through eligible wallets, venues, or networks, and transfers may be restricted.
- Regulatory status depends on the facts. Do not assume that every crypto asset is a security, or that an asset’s status alone settles whether its offering or sale is subject to securities laws.
Checklist for evaluating a specific tokenized investment
Read the offering and governing documents before treating a token as equivalent to a traditional investment. Confirm:
Quick Recap
- What is the legal instrument? Establish whether the token represents the same security, an indirect interest, a linked instrument, or a derivative.
- Who is responsible for it? Identify the issuer, any token sponsor, custodian, broker, and platform, and whether the token is issuer-sponsored or third-party-sponsored.
- What rights do holders have? Look for explicit terms on ownership, voting, distributions, redemption, and claims against the issuer or other parties.
- Which ownership record controls? Find out whether the blockchain record, an offchain register, or both determine who is recognized as the owner.
- How are assets held and transferred? Review custody arrangements, eligible wallets and venues, network dependencies, and transfer restrictions.
- What happens in insolvency or operational failure? Check how the documents address failure of the issuer, custodian, token sponsor, platform, or relevant service.
The SEC’s January 28, 2026 staff statement and the Investor.gov overview explain why these distinctions matter: issuer-sponsored, custodial, and synthetic designs can create different rights and obligations. Those sources do not establish the terms of any particular product; those must be determined from its own documents.
