What Is Electronic Software Licensing? Definition, Terms, and Ownership

An electronic software license grants permission to use software under defined terms. Learn what EULAs cover, how licenses differ, and what to check.

Electronic software licensing is an agreement that gives a person or organization permission to use software within specified limits. It does not automatically make the user the software’s owner or give them its copyright. The agreement—often an end-user license agreement (EULA) or an enterprise license agreement—sets out what use is allowed.

What does a software license mean?

A software license is permission from the rights holder to use software under stated conditions. The agreement may appear on screen during installation or purchase, be available electronically, or be set out in a written contract. Its format does not change the basic distinction: the license defines permitted use; it does not itself transfer ownership of the software or its copyright.

For example, Epic Games Store’s EULA says, “The Software is licensed, not sold, to you under the License. The License does not grant you any title or ownership in the Software.” That wording describes Epic’s agreement, not a universal clause used by every software provider. Read Epic Games Store’s EULA.

What can an electronic software license cover?

The specific agreement controls. Depending on the software and license, terms may address:

  • Who is allowed to use the software and whether use must be personal, commercial, or otherwise limited.
  • How many people, devices, or installations are covered.
  • Whether the right to use the software lasts indefinitely, ends on a set date, or depends on a subscription that renews or expires.
  • Whether the user may transfer, copy, modify, reverse engineer, or redistribute the software.
  • Which updates and support are included and what happens to access when the license ends.

These are common subjects, not standard permissions. Epic’s consumer store EULA, for instance, grants a limited right for personal, non-commercial use and imposes restrictions that include use on more than one device at a time and unauthorized copying, transfer, or modification. Other agreements may grant different rights or set different limits.

What does an EULA let you do?

An EULA explains the permissions and restrictions that apply to a particular software product. Before relying on a feature or using the software in a particular way, check the agreement rather than assuming that downloading or paying for it grants unrestricted use. In particular, confirm whether your intended activity and the people or devices involved are covered.

For business purchases, an enterprise license agreement may set terms for an organization, such as authorized users or installations. Government procurement can involve separate, specialized rules: U.S. defense acquisition regulations, for example, define commercial computer software and address government-use rights for procurement. Those definitions and rights are specific to that context, not a general definition of a consumer license. See DFARS 227.7202-1.

How to compare software license terms

When comparing agreements, match each term to the way you plan to use the software. A license suitable for one individual may not cover a team, commercial work, or use across multiple devices.

Rank #3
  • Purpose and users: Check who may use the software and whether your intended use is permitted.
  • Device and installation limits: Look for limits on simultaneous use, installations, or devices.
  • Duration and renewal: Determine whether the license is ongoing, time-limited, or tied to a subscription, and what renewal or expiration means for access.
  • Transfer and sharing: Check whether you can transfer the license or let someone else use it.
  • Changes and redistribution: Review terms on copying, modifying, reverse engineering, and redistributing the software.
  • Updates, support, and termination: Find out what is included and what happens when the agreement or subscription ends.

Does clicking “I agree” make an electronic license enforceable?

Do not assume that every click-through agreement is enforceable in every place or situation. Electronic-contract rules and their effect depend on governing law and the facts of the transaction. U.S. E-SIGN provisions address when electronic records can satisfy certain legal writing requirements, subject to conditions that include consumer consent and access. For a specific dispute or consequential agreement, check current law in the relevant jurisdiction or consult a qualified lawyer.
