A Hong Kong IPO is a public offering of securities connected with an application to list on the Stock Exchange of Hong Kong (HKEX). Before shares can trade, the issuer prepares a listing document with its advisers, submits an application for regulatory vetting, addresses review comments, passes a Listing Committee hearing, and completes the offer and allocation process. The route, eligibility rules and timetable depend on the issuer and the applicable listing rules.
What Is a Hong Kong IPO and How Does the Listing Process Work?
An initial public offering, or IPO, is the process through which a company offers securities to public investors in connection with seeking admission to trading. In Hong Kong, an issuer seeking a conventional IPO works through HKEX’s application preparation, regulatory vetting and approval, and marketing and listing stages. The offering and the listing are related but distinct: the offer is how securities are marketed and allocated, while listing is their admission to trading on the exchange.

The issuer does not simply file a form and start trading. It engages a sponsor and other advisers, undergoes due diligence, prepares a disclosure document, responds to questions from the Listing Department, and seeks a Listing Committee decision. After approval in principle, the issuer completes final disclosure and marketing steps before the securities begin trading. The details differ by market, issuer and offering structure.

1. Choose the listing route and appoint advisers
The issuer and its advisers first assess the appropriate market and listing route. For a Main Board application, the working group commonly includes one or more sponsors, underwriters, lawyers for the issuer and sponsor, and a reporting accountant. Depending on the company, the team may also include specialists in tax, industry, property or other significant assets, internal controls, printing or public relations.

The sponsor coordinates important parts of the application and due diligence. HKEX’s Main Board process guidance says a sponsor must be appointed at least two months before the listing application is submitted. HKEX must also be notified in writing of the sponsor’s appointment within five business days of that appointment. These are preparatory milestones, not a promise that a company will be ready to list two months later.
2. Carry out due diligence and prepare the listing document
The sponsor and other professional advisers investigate the issuer and help prepare its prospectus or listing document. The work supports the accuracy and completeness of the information investors will use to assess the offer. The draft submitted with the formal application is called the Application Proof (AP).
HKEX’s Main Board guidance describes the disclosure standard this way: “The prospectus must contain all the information that an investor reasonably requires to make an informed investment decision.” The Application Proof is therefore a substantial draft document, not a short registration form or a guarantee that the listing will proceed. Its contents and the issuer’s readiness can affect how much work remains during vetting.
3. Submit the application
For a Main Board equity listing, the formal application is made on Form A1, accompanied by the Application Proof and other required materials. For GEM, the formal application is Form 5A. The supporting submissions and timing are organized through HKEX’s applicant materials and checklists, which include later milestones as well as the initial filing.

HKEX publishes an Application Proof when the application is substantially complete. Publication does not turn it into a final prospectus: it remains draft offer material. Investors should distinguish the filing stage from the later point at which final offering documents are available.
4. Respond to regulatory vetting and attend the hearing
HKEX’s Listing Department reviews the application, including eligibility, suitability, sustainability, compliance with the rules and the adequacy of disclosure. It sends comments for the applicant to address. HKEX’s Main Board guidance says the first comment round will generally be provided within 15 business days after receipt of the application. That is a general expectation for an initial comment round, not an estimate of the entire review or a guaranteed date for listing.
Review time depends in part on the complexity of the issuer and its application, any novel issues, and how promptly and fully the applicant responds. HKEX says there is no preset overall listing timetable. Once the application reaches a Listing Committee hearing, the committee considers whether it may proceed to an IPO; HKEX’s FAQ characterizes the outcome as approval in principle or rejection.

After approval in principle, the applicant publishes a Post Hearing Information Pack (PHIP), which is a near-final listing document. The final listing document and related offer announcements follow for investors. The offer may include investor education and a roadshow. Underwriters assist with marketing, pricing and allocation; after the offer is priced and securities are allocated, the shares can begin trading on HKEX.

HKEX’s FAQ describes the marketing period after Listing Committee approval as ordinarily about one month. Actual timing can vary with the issuer, the offer and capital-market conditions, so this is not a fixed or guaranteed interval. The application itself has a separate validity period: HKEX says it is valid for six months from submission to the listing date. That six-month validity is a deadline for the application, not a statement that an IPO normally takes six months.
What is the difference between the Main Board and GEM?
HKEX describes the Main Board as serving more established companies that meet its applicable financial and track-record requirements. GEM is intended for small and mid-sized issuers and has lower eligibility criteria, while its continuing obligations are described as similar to those of the Main Board. These broad descriptions do not establish that every smaller or younger company qualifies for GEM. An issuer’s eligibility depends on its circumstances and the current Listing Rules.
| Comparison | Main Board | GEM |
|---|---|---|
| Broad issuer profile | More established companies meeting the applicable financial and track-record requirements, as described by HKEX. | Small and mid-sized issuers; HKEX describes the eligibility criteria as lower. |
| Application form | Form A1 for a Main Board equity listing. | Form 5A. |
| Continuing obligations | Applicable Main Board Listing Rules. | HKEX describes obligations as similar to the Main Board; check current rules for the exact requirements. |
| Eligibility decision | Depends on the issuer meeting the applicable current rules. | Lower criteria do not mean automatic eligibility; the issuer must still meet the applicable current rules. |
The labels are not substitutes for checking current rule requirements. HKEX’s Main Board applicant forms page reported an August 2026 update, and eligibility thresholds, forms and filing requirements can change. Companies and investors seeking a current rule-level answer should consult HKEX’s live Listing Rules and applicant checklist.

There is no single end-to-end timetable that applies to every Hong Kong IPO. HKEX explicitly says the overall timetable is not preset and that review duration is case-specific. The time required can depend on how ready the issuer is when it appoints advisers, the work needed to complete due diligence and disclosure, the complexity of the business, issues raised during vetting, the quality and speed of responses, and market conditions during the offer.

The commonly quoted timing markers describe different parts of the process and should not be added together as if they formed a guaranteed schedule:
- At least two months before application: the sponsor must be appointed for a Main Board application.
- Generally within 15 business days after application receipt: HKEX’s Main Board guidance says the first comment round will generally be provided.
- Ordinarily about one month after Listing Committee approval: HKEX’s FAQ describes the marketing period in these terms, subject to variation.
- Six months from submission to listing date: the stated validity period of an application, not the expected process duration.
A company should plan for the full preparation and review process rather than treating any one of these markers as a forecast. If an application is not completed within its validity period, its status and next steps depend on the applicable requirements and circumstances; the six-month rule should not be read as an automatic extension or a promise of listing.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. What are an Application Proof and a PHIP?
The Application Proof and PHIP are stages in the disclosure process, not substitutes for the final listing document. The Application Proof is the draft listing document submitted with the application. The PHIP is made available after approval in principle and is near-final, but is still not the final listing document.
| Document | When it appears | What investors should understand |
|---|---|---|
| Application Proof (AP) | Submitted with the application and published by HKEX when the application is substantially complete. | Draft material. It is not the final prospectus or a basis on which HKEX advises investors to make an investment decision. |
| Post Hearing Information Pack (PHIP) | Published after approval in principle following the Listing Committee hearing. | Near-final material, but still not the final listing document. |
| Final listing document and offer announcements | Made available for the offer after the earlier application and hearing stages. | These are the materials HKEX directs investors to read when considering an offer. |
HKEX publishes Application Proofs and PHIPs online. Their availability can help a reader follow an application, but their draft status matters: an issuer can still be working through the review and finalization process. Investors should use the final listing document and related offer announcements when considering whether to apply.

How can investors find offer information and apply for Hong Kong public offer shares?
Investors can find prospectuses and offer announcements through HKEXnews or the issuer’s website. Read the final listing document and relevant announcements rather than relying on draft application material. The final documents explain the offer terms and provide the issuer’s disclosure; an application channel itself does not assess whether an offer is suitable for an investor.
For Hong Kong public offer shares, HKEX identifies two electronic application routes:
- EIPO through a broker or custodian: an investor may ask a broker or custodian to submit an application through HKSCC’s FINI system.
- White Form eIPO: an investor may apply through the White Form eIPO channel.
These are mechanisms for submitting an application, not investment recommendations. The issuer’s final offer documents and announcements are the relevant source for the offer’s terms and application details.
How is an IPO different from a secondary listing or listing by introduction?
A conventional IPO is associated with a public offer in connection with the Hong Kong listing. Other routes can bring securities to HKEX without the same Hong Kong fundraising purpose, so they should not be treated as interchangeable with a first public offering.
- Secondary listing: a company already primarily listed on another exchange may seek a Hong Kong secondary listing if it meets the applicable conditions.
- Listing by introduction: HKEX describes this route for an overseas company already listed elsewhere that does not wish to raise funds through its Hong Kong listing.
The issuer’s existing listing status and whether it intends to raise funds in Hong Kong affect which route is relevant. The detailed conditions are rule-dependent, so the broad distinction is not enough to determine whether a particular company qualifies.
What should an issuer or investor verify before relying on process details?
HKEX’s process guidance explains the usual sequence, but listing rules, forms and operational requirements can change. Its Main Board applicant forms page reported an August 2026 update. Before acting on a current eligibility threshold, filing step or application instruction, an issuer should check the live HKEX Listing Rules and the current applicant checklist. Investors should check the latest offer announcements and final listing document for the specific IPO rather than assume that details from another listing apply.
