A DeFi receipt token is a digital token issued by a protocol to represent a user’s claim on assets deposited into it. The claim might relate to staked crypto, a lending deposit, a share of a liquidity pool, or a vault position. The label is descriptive, not a standard set of rights: what the token is worth, how rewards accrue, and whether or when it can be redeemed depend on the specific protocol.
What a DeFi receipt token represents
When someone deposits assets into a DeFi protocol, the protocol may issue a token that records or represents the depositor’s resulting position. The receipt token can function as evidence of that claim, but it is not necessarily a guarantee that the holder can exchange it for a fixed amount of the deposited asset at any time.

“Receipt token” is an umbrella term rather than a standardized token design. The underlying position, reward mechanism, transferability, and redemption route differ across protocols. Examples include liquid-staking tokens, lending receipts, liquidity-provider (LP) tokens, and vault shares. Spark’s glossary lists aTokens, cTokens, LP tokens, and vault shares among tokens used to represent deposits or proportional claims: Spark glossary.

Liquid staking
A liquid-staking provider may issue a token representing the user’s interest in assets placed into staking, along with rewards attributable to that position. The token can let the holder retain a transferable asset while the underlying crypto remains staked. Redemption may require waiting through an applicable unbonding period. These mechanics are specific to the liquid-staking arrangement; they do not describe every receipt token. The SEC Division of Corporation Finance’s August 5, 2025 staff statement addresses this kind of arrangement: Statement on Certain Liquid Staking Activities.

Lending deposits
A lending protocol may issue a token associated with a user’s deposit. The position may earn returns funded by borrowers, but the token’s exact claim and how its value or balance reflects those returns depend on that protocol’s design. HMRC describes a DeFi lending-platform transaction in which a user transfers control of tokens and receives different tokens, with borrower returns potentially passed to the provider: HMRC Cryptoassets Manual.
Liquidity pools and vaults
An LP token can represent a proportional position in a liquidity pool; a vault share can represent a claim on assets managed under a vault strategy. These are related to deposit receipts, but the assets, valuation, and conditions for withdrawing them are not necessarily the same as those of a lending or staking token. A token’s name alone does not establish its redemption rights.

What holders can do with one
If a receipt token is transferable, its holder may be able to move it or use it in another crypto application without first withdrawing the underlying position. In the liquid-staking example, the SEC staff describes receipt tokens being used as collateral or in other crypto applications. Whether a particular token can be traded, accepted as collateral, or used elsewhere depends on the token and the applications that support it; such use is separate from the underlying staking activity.
How redemption and value work
There is no universal redemption process. A protocol may offer a direct route to withdraw the underlying assets, require an unbonding or withdrawal period, rely on a provider, or leave holders to sell the token on a secondary market. Check the specific protocol’s terms and documentation for the route, waiting period, and any conditions. Ethereum.org explains that liquid-staking tokens may trade below the value of the assets they represent, a risk known as depegging: Ethereum.org staking overview.

Receipt tokens can also account for a position in different ways. Some designs change the holder’s token balance; others keep the balance and change the exchange rate between the token and the underlying assets. Spark flags exchange-rate exposure as a consideration, but the applicable accounting method must be checked in the documentation for the named protocol and token.
Risks to check before relying on a receipt token
- Redemption access: Find out whether there is a direct on-chain redemption path, whether a waiting period applies, and whether access depends on a provider.
- Market price: If the token is sold on a secondary market, its price can fall below the value of the position it represents. A market sale may not recover the full underlying value.
- Protocol and provider: Smart-contract or operational problems can impair access to the position. Ethereum.org also identifies provider insolvency or frozen withdrawals as counterparty risks when an arrangement lacks an on-chain redemption path.
- Accounting mechanics: A changing balance or exchange rate affects how a holder’s claim is represented. Read the protocol’s explanation rather than assuming all receipts track deposits in the same way.
- Use in other applications: Using a receipt token as collateral or in another protocol adds reliance on that application and its rules; it does not itself redeem the underlying deposit.
Does “receipt token” determine legal or tax treatment?
No. The term describes a possible relationship between a token and a deposited position; it does not, by itself, settle how a token is classified under securities, commodities, tax, or other rules. The SEC staff statement concerns the specific liquid-staking circumstances it describes, and the SEC FAQ addresses classification in circumstances covered by its referenced interpretive release: SEC Corporation Finance crypto FAQ. HMRC’s manual is a UK tax-authority discussion of transaction mechanics, not a universal legal definition. Legal or tax conclusions require the relevant jurisdiction and facts.

How to evaluate a specific receipt token
- Identify the deposited asset or position the token is intended to represent.
- Read the protocol’s documentation to determine how rewards are credited and whether the token balance or its exchange rate changes.
- Check whether the token is transferable or supported as collateral by the application where you plan to use it.
- Locate the redemption route, any unbonding or withdrawal delay, and whether redemption depends on a provider.
- Consider whether you would need to sell on a secondary market and what could happen if its price diverges from the underlying position.
- Review protocol, provider, and application risks separately; a receipt token does not remove the risks of the systems involved.
