A convertible bond is also debt with a conversion feature. In U.S. startup financing, the phrase “convertible note” commonly refers to a seed-stage loan that converts when a later funding round or another agreed event occurs. The labels alone do not settle the legal or financial differences: the instrument’s terms and governing jurisdiction do.
What is a convertible note?
The U.S. Securities and Exchange Commission’s Office of the Advocate for Small Business Capital Formation defines a convertible note as “a loan made by an investor to a company that can be converted into a different security.” In startup financing, notes are often used in seed rounds and commonly convert into preferred stock after a future financing round or another event specified in the agreement. Until conversion takes place, the investor holds a debt claim under the note rather than shares simply because conversion may happen later. The agreement sets out repayment and interest terms as well as the conditions for conversion. Conversion is not guaranteed: if the trigger does not occur, the note’s maturity, repayment, extension, and default provisions determine what happens. SEC: Investor Bulletin on SAFEs in Crowdfunding
What is a convertible bond?
A bond is a debt security, “like an IOU,” according to Investor.gov. A convertible bond adds a feature that lets the debt convert into shares or another security according to the bond’s terms. A bond may specify coupon payments and a maturity date; the coupon is its stated interest payment. Convertible note vs. convertible bond

These are common descriptions, not a universal legal taxonomy. In particular, “note” and “bond” should not be treated as categorically different legal forms in every jurisdiction. The governing document and applicable law matter more than the label.
How conversion formulas affect ownership and dilution
Conversion changes the investor’s position from a debt claim to an equity interest. When conversion results in newly issued shares, existing shareholders may be diluted. The number of shares depends on the formula in the instrument.

SEC investor guidance distinguishes fixed conversion formulas from formulas based on a fluctuating market price. With a market-price-based formula, a falling share price can result in more shares being issued, increasing potential dilution and affecting share value. That risk is one reason to read the calculation mechanics rather than relying on a label such as “convertible.” SEC: Convertible Securities

- Repayment and maturity: When is repayment due if conversion does not occur? Can the date be extended, and under what conditions?
- Interest or coupon: Does interest accrue or require cash payments, and how is accrued interest treated at conversion?
- Conversion trigger: Which financing round, event, or date can trigger conversion? Is conversion automatic or elective?
- Conversion calculation: What price, ratio, cap, discount, or market-price formula applies, and how does it determine the share count?
- Decision rights: Can the holder elect conversion, can the issuer require it, or do different rules apply to different events?
- Priority and default: What happens after a missed payment or other default, and where does the debt rank against other claims?
These terms can vary substantially between instruments. This comparison explains common U.S. startup usage; it is not a substitute for reviewing a particular contract under its governing law.
