A company that adopts an improper U.S. federal tax year generally must change to a proper one. The correction may involve an amended return, IRS Form 1128, and a return for a short tax year—but the route depends on the company’s tax classification, the year it should use, and whether it has already filed returns. An incorrect tax year does not, by itself, establish that a penalty is due.
What “misclassifying” a tax year means
For federal tax purposes, a tax year is the annual accounting period used to report income and expenses. It is not automatically the same as the year a company prefers for financial reporting or business planning. Some entities must use a particular year under federal tax rules. The IRS distinguishes a calendar year from a fiscal year, which generally ends on the last day of a month other than December. See the IRS Publication 538, Accounting Periods and Methods.

The IRS states that taxpayers who adopted an improper tax year must change to a proper one. Publication 538 illustrates the issue with a business that begins on March 15 and chooses a year ending March 14, which it identifies as improper. The right correction for another company depends on its facts, including its entity type and intended tax year.
What the correction may involve
There is not one filing route for every company. The IRS describes different procedures for correcting an improper year to a calendar year and for requesting a fiscal year. Exceptions and automatic-approval procedures also exist, so the applicable Form 1128 instructions and IRS procedures matter.

Changing to a calendar year
Publication 538 directs a taxpayer correcting to a calendar year to file an amended income tax return based on a calendar year to correct the most recently filed return that used the improper year. The taxpayer attaches a completed Form 1128 and marks it “FILED UNDER REV. PROC. 85-15.” Review the current Publication 538 and Form 1128 information and instructions before filing.
Changing to a fiscal year
For a correction to a fiscal year, Publication 538 directs taxpayers to file Form 1128 under the form’s instructions to request approval. Not every tax-year change follows the same approval process; the IRS provides exceptions and automatic-approval procedures. The company should confirm which procedure applies rather than assume that filing Form 1128 alone is sufficient.

Why a short-period return may be required
A short tax year is a tax year of less than 12 months. When a company changes its accounting period, it may need to file a return for the gap between the old and new year boundaries. For a tax-year change, Form 1128 instructions describe that period as generally running from the day after the old tax year closes through the day before the new tax year begins. See the IRS Tax years guidance and Form 1128 instructions.

A short-period return changes which dates’ income and expenses are reported together. The company should determine the required period and return type under the applicable IRS instructions; the title of the problem alone does not establish those details.

Why the company’s tax classification matters
Partnerships, S corporations, and personal service corporations generally face required-tax-year rules, subject to exceptions such as IRS approval or a section 444 election. Partnerships generally conform their tax year to their partners’ tax years, also subject to exceptions. Those rules can make a year that seems convenient for the business unavailable for federal tax purposes. Publication 538 explains the entity-specific requirements.
Before selecting a correction procedure, establish the company’s federal tax classification, the tax year it was required or permitted to use, the year it intends to adopt, and which returns have already been filed. These facts determine whether a correction involves an amended return, a Form 1128 request or automatic-approval procedure, a short-period return, or more than one of these steps.

Possible filing, payment, and recordkeeping consequences
Correcting the year can mean preparing corrected returns, filing a short-period return, and documenting any required IRS approval. If the error also caused a required return to be filed late or tax to be paid late, penalties and interest may apply. The incorrect year alone does not show that either consequence applies; the filing and payment history must be evaluated.

As a general federal rule, the IRS says its failure-to-file penalty is 5% of tax due, reduced by amounts paid on time and available credits, for each month or partial month a return is late, up to 25%. Reasonable cause can prevent the failure-to-file penalty. This is a conditional general rule, not a penalty automatically imposed for every tax-year error. Check the IRS’s failure-to-file penalty guidance for the applicable rules and exceptions.

What to establish before filing a correction
- Entity classification: Identify how the company is classified for federal tax purposes and whether a required-year rule applies.
- Correct tax year: Determine the calendar or fiscal year the company is permitted or required to use.
- Filing history: List returns already filed using the improper year and identify the most recently filed one.
- Procedure: Check whether the correction calls for an amended return, Form 1128 approval or an automatic-approval procedure, or both.
- Short period and payments: Establish whether a short-period return is required and whether any return or tax payment was late.
Because entity classification, prior filings, and approval requirements can change the answer, a company with filed returns or uncertainty about its required tax year should consult a qualified tax professional. This guidance concerns U.S. federal income-tax treatment; it does not determine state tax, financial-reporting, payroll, or foreign-tax consequences. Confirm current IRS procedures and instructions before acting.
