First identify what “delivery” means in those documents—shipment, physical arrival, installation, energization, activation, operational status, hashrate, or coin payout. Then calculate the shortfall under the contract’s measurement rules, send any required formal notice, and request only the remedy the agreement provides. Possible outcomes include a fee credit, refund, delay compensation, a cure period, completion or replacement, equipment return, termination, or formal dispute resolution.
Why “delivery” is not one event
Mining contracts use the word delivery for different milestones. A machine can leave a warehouse but not have arrived at the data center. It can be racked but not energized, energized but not pointed to a mining pool, or connected to a pool without producing the hashrate promised in the order. A cloud-hashrate contract may never involve a customer-owned machine at all; its deliverable is a specified amount of online hashing power and the resulting account credit or wallet transfer.

One SEC-filed hosting agreement defines a miner as “Operational” only when it is installed at the facility, pointed to a pool, and actively supporting Bitcoin verification. Another agreement measures a monthly online-hashrate percentage against the manufacturer’s theoretical specification. Those definitions make shipment or activation different from the contractual performance event.
Write down the exact milestone in your documents before arguing that a deadline was missed:

A provider can satisfy one milestone while still failing a later one. Your remedy depends on which obligation the contract makes binding.
Read the deadline and the clock together
Find the document that controls
Collect the executed master agreement, accepted order or statement of work, incorporated SLA, amendments, and the terms version accepted at signup. If documents conflict, follow their priority clause. An order may override general terms for the items and dates it expressly specifies.
Determine whether the date is binding
Check whether the date is a guaranteed deadline, a service-level commitment, or an estimate. BitHash terms version 2.3, dated October 3, 2026, state that order-specific delivery dates are estimates unless expressly made binding. That language applies only to orders accepting those terms; it is not a rule for every provider. A signed order that says a date is binding can produce a different result.

Identify the trigger and measurement period
Some clocks begin when payment clears, when hardware is physically received, or when a customer supplies shipping or account information. A hashrate SLA may use each 24-hour period, a minimum uptime period, or a calendar month. Record the trigger, the promised date, the time zone, the end of the measurement window, permitted downtime, and the data source specified by the agreement.
Check grace periods and exclusions
Contracts commonly exclude force majeure, utility outages, network events, customer-caused delays, customs problems, or other events outside the provider’s control. They may also provide a grace window. The SPRE Watonga hosting agreement, effective February 4, 2026, says air-cooled deployment typically takes 24–72 hours after physical receipt, but permits up to three consecutive seven-day deployment grace periods for affected miners when logistical or other qualifying delays prevent that timing. When invoking a grace period, the host must give written notice explaining the cause, remediation efforts, and anticipated completion date. That provision belongs to that agreement alone.
What public contract examples show
Public filings demonstrate how different the consequences can be. They are examples of negotiated language, not automatic rights for another customer.

| Contract feature | Example of how it is defined | Possible consequence in that document |
|---|---|---|
| Deployment timing | Typical air-cooled deployment 24–72 hours after receipt, with up to three consecutive seven-day grace periods for qualifying delays | Notice describing cause, remediation, and expected completion; other terms control any fee or termination remedy |
| Utilization | Measured utilization must meet a contractual threshold | Hosting-fee adjustment when utilization falls below the threshold; the filing excerpt redacts the percentage and examples |
| Daily target hashrate | Provider failure to meet target daily hashrate summed over a minimum uptime period is a provider default | Termination and recovery of specified amounts after default, subject to the complete agreement’s notice and liability provisions |
| Monthly online hashrate | 24-hour actual hashrate divided by the manufacturer’s theoretical hashrate, reported monthly | Five calendar days to cure certain facility-related SLA failures after client notice; two consecutive months of failure permit immediate termination by written notice. The service-level percentage is redacted. |
| Cloud hashrate | A disclosed contract provides at least 1 EH/s for 365 days | Shortfall, counterparty, and wallet-distribution risks are handled through that agreement’s notice, negotiation, arbitration, and legal-remedy provisions |
Do not infer a missing threshold, fee amount, damages cap, or refund percentage from a redacted exhibit. If the complete agreement is unavailable, treat the value as unknown rather than filling it with an industry assumption.

What to do as soon as the target is missed
- Locate the accepted documents. Save signed copies, the order confirmation, SLA, amendments, and the accepted terms version. Record the governing-law and dispute clauses.
- Define the missed milestone. Separate shipment, receipt, installation, energization, activation, operational status, measured hashrate, and payout. Quote the contract’s definition in your internal incident log.
- Calculate the shortfall. Use the contract’s time window, uptime rules, exclusions, and approved monitoring source. Preserve raw pool exports, dashboard captures, timestamps, meter data, and wallet records rather than relying only on a provider summary.
- Check for a valid exclusion or grace period. Ask whether the provider gave the notice required to invoke it and whether the event fits the contract’s definition. A generic support reply may not satisfy a formal notice clause.
- Send the required notice. Use the specified email address, portal, courier, or other formal method. Identify the order, missed obligation, relevant dates, measured data, and requested cure or remedy. Keep delivery receipts and copies of attachments.
- Request the contractual remedy. Ask for the fee credit, refund, delay compensation, completion, replacement, equipment removal or return, or termination right actually stated in the agreement. Do not demand a remedy merely because another provider’s contract offers it.
- Observe cure and payment conditions. A cure period may run from receipt of a compliant notice. Before withholding payment, removing machines, or cancelling an order, check whether the agreement makes those actions a breach or requires a separate notice.
- Escalate under the dispute clause. Follow negotiation, mediation, arbitration, or court steps in the stated order. For substantial losses, cross-border parties, uncertain equipment ownership, or an insolvency concern, consult qualified counsel in the relevant jurisdiction.
How to prove that a hosting SLA was missed
Use the contract’s formula
For a monthly online-hashrate SLA, one public agreement uses 24-hour actual hashrate divided by the manufacturer’s theoretical hashrate. Your calculation must use the same manufacturer specification, averaging method, time zone, uptime denominator, and treatment of approved outages. A dashboard showing a low instantaneous reading may not prove a monthly breach if the contract requires a different average.
Preserve independent records
- Signed order, serial numbers, shipping documents, and delivery receipts.
- Provider notices stating a delay, its cause, remediation efforts, or expected completion date.
- Pool-side hashrate and worker-status exports with timestamps.
- Facility uptime, power, temperature, and outage reports where available.
- Wallet addresses, transaction IDs, accrual reports, and transfer confirmations.
- Every formal notice, support ticket, response, and proof of delivery.
If the agreement grants monitoring access, export the underlying data regularly. Retain the original files so a later spreadsheet or dashboard change does not erase the evidence available at the time.

Match the remedy to the failure
Compare the available paths across seven questions: what event triggers the remedy; whether it is a credit, refund, compensation, cure, termination, equipment return, or damages claim; what measurement period and evidence source apply; how quickly notice must be sent; what exclusions and caps apply; who owns the machines and pays shipping or storage; and which law and forum govern.
| Failure type | Questions to ask | Remedy that may appear in a contract |
|---|---|---|
| Late physical deployment | Was the date binding? Did a grace period apply? Was notice timely? | Completion, deployment-fee refund, delay compensation, fee credit, or termination after a stated trigger |
| Low utilization or uptime | What threshold, averaging period, and exclusions apply? | Proportional hosting-fee adjustment or a cure process |
| Target-hashrate shortfall | Is the target daily, monthly, or tied to minimum uptime? What data is authoritative? | Default notice, cure, termination, and recovery of specified amounts |
| Repeated SLA failure | How many consecutive periods count, and when does the cure clock start? | Immediate or post-cure termination by written notice |
| Missing coin payout | Did the pool accrue coins but the provider fail to transfer them, or did hashing itself fall short? | Account reconciliation, payment demand, contractual damages, arbitration, or other stated relief |
A fee adjustment in one agreement does not establish a refund right in another. Remedies can be exclusive, capped, conditional on notice, or unavailable for excluded events.

Cloud contracts require two reconciliations: contracted hashrate and coin delivery. A 2026 Hong Kong-listed company disclosure describes a contract for at least 1 EH/s for 365 days and identifies provider insolvency or operational failure, hashrate shortfall, and failure to distribute mined Bitcoin to the customer’s wallet as separate risks. It describes monitoring pool addresses and confirming wallet receipt, followed by formal notice and negotiation and then arbitration in the specified jurisdiction, while retaining legal remedies for breach.

Keep the hashrate calculation separate from the payout ledger. A provider could deliver the contracted hashing power while delaying a wallet transfer, or transfer some coins while failing the hashrate target. Each problem may have a different notice deadline and remedy.
When the provider is insolvent or stops responding
Preserve evidence before access disappears: download account statements, pool data, invoices, wallet history, and communications. Check whether your machines are customer-owned, leased, pledged, or commingled with provider equipment. The agreement may assign removal, storage, shipping, insurance, and lien rights. Do not enter a facility or remove hardware without authorization.
Send the contract-required default or payment notice even if the provider is unresponsive, using every permitted method and retaining proof. Then follow the insolvency, arbitration, or court process specified by the agreement and applicable law. A lawyer who handles data-center, mining-hosting, or cloud-hashrate contracts can assess priority, ownership, limitation periods, and cross-border enforcement.
How to reduce delivery disputes before signing
- Define “delivered,” “installed,” “Operational,” “online hashrate,” and “payout” in measurable terms.
- Make the target date binding if that is commercially important, and state the clock’s start event and time zone.
- Set a maximum grace period and require a written cause, mitigation plan, and completion estimate.
- Specify the monitoring source, formula, averaging window, uptime denominator, and data-retention period.
- List fee credits, refunds, compensation, cure, termination, equipment return, and damages caps in a schedule.
- State who owns machines, who pays shipping and storage, and what happens after termination.
- Identify the notice recipient, permitted delivery methods, cure period, governing law, and dispute forum.
- Require wallet addresses, pool visibility, reconciliation reports, and a process for correcting payout discrepancies.
These details turn a vague promise to deliver mining capacity into an obligation that can be measured and enforced.
The Bottom Line
A missed Bitcoin-mining delivery target is a contract-performance problem, not an automatic refund event. Define the failed milestone, measure it under the agreed formula, give compliant notice, and pursue the remedy and escalation path written in your own documents.
