Moving a startup to the UK is not one legal step. You need to plan separately for the founder’s immigration permission, the company’s legal presence, tax and VAT, and any staff you hire. Incorporating in the UK does not give a founder the right to live or work there, and incorporation alone does not settle where a company is tax-resident.
A practical order is to check immigration eligibility first, choose between a UK company and an overseas-company presence, then map tax, VAT and employment obligations before arranging banking, funding and any sector-specific permissions.
Can a startup founder move to the UK?
Possibly, but owning or incorporating a startup is not itself a visa route. A founder must qualify for immigration permission independently of the company’s registration.
Innovator Founder route
The Home Office describes the route this way in its Immigration Rules, Appendix Innovator Founder: “The Innovator Founder route is for a person seeking to establish a business in the UK based on an innovative, viable and scalable business idea they have generated, or to which they have significantly contributed.” It is aimed at founders with a qualifying business idea, not everyone who owns a startup.

An approved endorsing body must endorse the business. The founder needs a key day-to-day role in managing and developing it. Endorsement criteria include an original plan addressing a market need or competitive advantage, a realistic plan matched to available resources, relevant founder skills and knowledge, and evidence of structured planning and potential for growth and job creation. English-language ability is normally required at CEFR B2 unless an exemption applies.
In relevant cases, the Home Office’s eligibility guidance requires £1,270 in personal maintenance funds held for 28 consecutive days. This is a living-cost requirement, not investment capital for the business; check the live eligibility guidance to confirm whether it applies to your circumstances.
The GOV.UK overview describes a three-year visa, permission to establish and work for the endorsed business, restrictions on other work, and endorsement meetings after 12 and 24 months. Check current rules and conditions before applying: visa fees and processing estimates can change. The former Start-up visa is closed to new applicants; GOV.UK points prospective founders towards considering the Innovator Founder route instead.

Check permission before making relocation plans
Confirm your own eligibility and the conditions attached to your permission before setting a move date, taking up work or assuming you can run the UK operation. A company can be registered without giving its founder immigration permission. If the business does not fit the Innovator Founder criteria, get qualified immigration advice about whether another route fits your personal circumstances.

There are two common structures to discuss with advisers: form a UK company, or retain the existing overseas legal entity and register its UK presence if required. Neither option is automatically right for every founder. The choice affects legal separation, filings and reporting, while the company’s actual management and activities matter for tax analysis.

The table outlines planning questions, not a universal recommendation. Investor preferences, contracts, liability and cross-border legal effects depend on the company and jurisdictions involved and are not settled simply by choosing one column.

When an overseas company may need UK registration
According to GOV.UK guidance for overseas companies, the registration duty applies where the company establishes a place of business in the UK or usually carries out business from somewhere in the UK. The guidance says to file OS IN01 within one month of opening for business. If the overseas company has no UK base, Companies House registration may not be required, but that does not rule out a separate Corporation Tax registration obligation.
How will the move affect company tax and VAT?
Do not treat the place of incorporation as a complete answer to tax. The company’s residence, management, offices, activities and the countries involved can all matter. HMRC’s International Manual notes that a company can be resident in the UK under UK rules and also resident in another country under that country’s domestic law. Any treaty interaction or tax treatment in the founder’s origin country requires advice based on that country’s rules.

Corporation Tax
HMRC guidance states that a UK-resident company is generally within UK Corporation Tax on its UK and foreign profits. A company that is not UK-resident but has a UK office or branch is within UK Corporation Tax on profits from UK activities. How profits should be attributed, and whether a company is resident in more than one country, depends on the facts and applicable rules.

VAT registration
HMRC’s VAT registration guidance, current when accessed in 2026, sets the threshold at £90,000 of taxable turnover in a rolling 12-month period, or where a business expects taxable turnover to exceed £90,000 in the next 30 days. The threshold is not the only test: the guidance also says a business and its owner based outside the UK that supplies goods or services to the UK, or expects to do so in the next 30 days, must register regardless of turnover in those circumstances. Establishment and the nature of supplies matter, so check the current HMRC rules against your specific trading pattern.
What must you arrange before hiring in the UK?
Hiring brings payroll and employment duties that are separate from company formation and immigration permission. Government-backed first-employer guidance identifies payroll, workplace pension arrangements, employer liability insurance, contracts and right-to-work checks among the setup steps.
- Establish employment status. Check whether each person is an employee, agency worker, freelancer, consultant or contractor; the rules differ by status.
- Check the right to work. Employers must ensure that hires have the legal right to work in the UK.
- Set up payroll with HMRC. A company employing staff normally must register as an employer before its first payday. It cannot register more than two months before paying people. The requirement also applies in the stated cases to a limited company employing only its director.
- Prepare the operating arrangements. Address payroll, employment contracts, workplace pension duties and employer liability insurance as applicable to the roles and business.
What else should founders plan for?
Banking and finance
Business.gov.uk’s startup guide recommends separating business and personal finances with a business bank account and notes that certain structures, such as limited companies, must have one. Its bank-account guidance describes typical applicant and business-information requirements, but eligibility and documents vary by provider. Ask institutions directly whether they will onboard a founder with your residency, ownership and company setup.

Business.gov.uk’s startup guide describes government-backed Start Up Loans in a range of £500 to £25,000. That is a loan range, not a grant or a guarantee that an applicant will qualify. Check current eligibility, terms and availability before including it in a funding plan.
Licences and qualifications
There is no single licence rule for every startup. Official guidance says requirements depend on the business type, where it operates, and whether it engages employees, agency workers or freelancers. Check the relevant sector and location, including whether professional qualification recognition applies to your work.
Contracts, ownership and data
Before moving operations, map which legal entity owns the intellectual property, employs staff, signs customer and supplier contracts, and handles personal data. These are planning questions rather than consequences that can be inferred from the company’s country of incorporation; get advice covering the jurisdictions involved.
A practical sequence for planning the move
- Assess immigration eligibility. Check whether the Innovator Founder route fits the business and founder, including endorsement, role, English and any applicable maintenance-funds conditions.
- Choose the company structure. Compare a UK limited company with retaining the overseas entity, and establish whether a UK place of business triggers Companies House registration.
- Map tax and VAT exposure. Review management, offices, operations, UK and overseas profits, customer supplies and cross-border residence questions with advisers familiar with the jurisdictions involved.
- Prepare to employ people. Confirm worker status, right-to-work checks, PAYE timing, payroll and applicable pension, insurance and contract duties.
- Validate the operating setup. Check bank onboarding directly, assess funding eligibility, and identify licences or qualification rules for the sector and locations where the business will work.
Because immigration eligibility, dual tax residence, treaty treatment, local requirements and onboarding decisions depend on individual facts, use qualified immigration and cross-border tax advisers where those issues apply. Confirm volatile requirements against current official guidance before committing to a structure or move date.
