Short answer: The Commodity Futures Trading Commission (CFTC) administers and enforces the Commodity Exchange Act (CEA), with primary responsibility for futures, commodity options, leverage contracts covered by the statute, many swaps, and broad-based security-index futures. The Securities and Exchange Commission (SEC) regulates securities markets and has sole authority over security-based swaps. Some instruments—especially single-stock futures, futures on narrow-based security indexes, and mixed swaps—fall under shared CFTC-SEC jurisdiction.
The dividing line is therefore the legal character of the instrument, not a simple “commodities versus securities” rule. Before deciding which agency is responsible, identify the product, apply the statutory definition, and then check whether Congress assigned exclusive or joint authority.

What the CFTC regulates
The CEA is the core statute defining the CFTC’s authority. The Commission implements that statute through rules in Title 17 of the Code of Federal Regulations. In practical terms, the CFTC is the federal derivatives regulator: it oversees markets and participants whose contracts derive value from commodities, financial variables, indexes, currencies or other reference assets when those contracts fit the CEA’s categories.

Futures, options and leverage contracts
The CFTC has exclusive jurisdiction over futures contracts, commodity options and leverage contracts, subject to statutory exceptions. A futures contract is a standardized agreement to buy or sell an underlying asset or financial exposure at a later date. A commodity option gives the holder a right, but not an obligation, to buy or sell a commodity or futures position. Leverage contracts are a separate statutory category and are subject to particular exceptions and requirements.

“Commodity” is broader than a physical crop, metal or energy product. The CEA’s categories can cover financial interests and indexes as well as deliverable goods. That is why the legal classification of a contract matters more than whether its underlying reference sounds like a traditional commodity.
Commodity-related swaps and other derivatives
Dodd-Frank significantly expanded the CFTC’s swaps role. The Commission oversees swap dealers and major swap participants through requirements covering capital, margin, business conduct, recordkeeping and reporting. Standardized derivatives may have to be traded on regulated exchanges or swap execution facilities and centrally cleared, depending on the product and applicable rules.
The CFTC’s swaps authority is not unlimited. Security-based swaps are assigned to the SEC, while mixed swaps are subject to shared CFTC-SEC authority. Determining which category applies requires examining the contract’s legal characteristics, reference asset and terms.

Futures on broad-based security indexes are under exclusive CFTC jurisdiction. “Broad-based” is a statutory classification, not a casual description meaning “large,” “popular” or “well diversified.” The applicable tests consider factors such as the number of component securities, concentration and trading volume. An index that appears broad to an investor can still require a formal statutory analysis.
Retail forex and commodity-transaction fraud
Specified CEA anti-fraud provisions apply to retail foreign-exchange transactions and retail commodity transactions entered into on a leveraged, margined or financed basis. The CFTC can also prosecute fraud and manipulation involving commodities in interstate commerce. These enforcement powers concern misconduct as well as the agency’s routine oversight of derivatives markets.

What the SEC regulates
The SEC is the federal regulator for securities markets. Its jurisdiction covers conventional securities-market activity and, under the statutory framework for swaps, security-based swaps. A security-based swap generally references a single security, a loan or a narrow group of securities; the precise legal definition controls.
The SEC’s role should not be reduced to “stocks,” just as the CFTC’s role should not be reduced to “physical commodities.” Each agency’s jurisdiction is defined by Congress through product categories and statutory exceptions. A contract linked to a security can still be a CFTC product, and a contract linked to a commodity can raise SEC issues if its legal structure falls within a securities category.

How the CFTC-SEC boundary works
The safest way to analyze a product is to identify the instrument first, then determine the governing statute and whether authority is exclusive or shared.
| Instrument or activity | Primary authority | Type of jurisdiction | Why classification matters |
|---|---|---|---|
| Commodity futures | CFTC | Generally exclusive | Governed principally by the CEA and CFTC rules. |
| Commodity options | CFTC | Generally exclusive | The contract is an option on a commodity or related futures position. |
| Leverage contracts covered by the CEA | CFTC | Exclusive, subject to statutory exceptions | The statute defines the product and its exceptions. |
| Many commodity and financial swaps | CFTC | CFTC authority, subject to product boundaries | Dodd-Frank adds dealer, margin, conduct, reporting, trading and clearing obligations. |
| Single-stock futures | CFTC and SEC | Joint | Congress created a security-futures category regulated by both agencies. |
| Futures on narrow-based security indexes | CFTC and SEC | Joint | The index must satisfy statutory narrow-based tests. |
| Futures on broad-based security indexes | CFTC | Exclusive | Broad-based security-index futures are assigned to the CFTC. |
| Security-based swaps | SEC | SEC sole jurisdiction | The contract meets the statutory security-based-swap definition. |
| Mixed swaps | CFTC and SEC | Shared | The product combines characteristics that bring both agencies into the framework. |
The table describes the statutory allocation at a high level. A specific contract can require a detailed review of its terms, reference assets, settlement method and market structure.
Why security futures are a joint-regulation case
Security futures illustrate why the boundary cannot be expressed as “all securities derivatives go to the SEC.” A single-stock future is a futures contract on an individual company’s stock, yet Congress placed security futures products under joint CFTC-SEC regulation. The same is true of futures on a narrow-based security index.

How a narrow-based index is determined
The classification uses statutory tests rather than a marketing label. Relevant factors include the number of component securities, how heavily the index is concentrated in its largest components and the trading volume of those components. An index can move between categories as its composition, weights or trading activity changes, so a historical classification is not necessarily a current one.
What broad-based means
A broad-based index is one that satisfies the statutory criteria for that category. It is not enough to count a large number of securities or observe that an index tracks a major market. The applicable tests and current constituent data must be applied to the particular index. Broad-based security-index futures fall under exclusive CFTC jurisdiction even though their reference assets are securities.
What Dodd-Frank changed for swaps
Dodd-Frank expanded federal oversight of swaps after the financial crisis. For products within the CFTC’s swaps jurisdiction, the framework can affect several parts of the market at once.
- Dealers and major participants: Swap dealers may face capital, margin, business-conduct, recordkeeping and reporting requirements.
- Trading venues: Standardized derivatives may be required to trade on regulated exchanges or swap execution facilities.
- Central clearing: Standardized derivatives may have to pass through a central counterparty rather than remain bilateral.
- Transparency and records: Reporting and recordkeeping requirements give regulators data about positions, transactions and exposures.
These requirements do not turn every swap into a CFTC product. Security-based swaps remain in the SEC’s lane, and mixed swaps involve both agencies. The contract’s legal characteristics determine which rules apply.
Market regulation versus enforcement jurisdiction
There are two related but distinct questions: which agency regulates the market or instrument, and which agency can pursue misconduct involving it.

Regulating an instrument or market
Market regulation includes setting registration, conduct, capital, margin, trading, clearing, reporting and recordkeeping requirements. For example, CFTC oversight of a swap dealer can involve all of those areas. SEC oversight of a security-based swap likewise follows the product’s statutory classification and the SEC’s rules.
Enforcing against fraud and manipulation
The CFTC may prosecute fraud and manipulation involving commodities in interstate commerce, and specified CEA anti-fraud provisions cover certain leveraged, margined or financed retail forex and retail commodity transactions. The CFTC Enforcement Manual states: “The mission of the Division is to protect the public and preserve market integrity by detecting, investigating, and prosecuting violations of the CEA and the Regulations.”
That enforcement authority does not mean every dispute involving a company, investment account or online platform belongs to the CFTC. The underlying instrument, transaction structure and alleged conduct still determine which agency has authority.

- Describe the contract precisely. Determine whether it is a future, option, leverage contract, swap, security-based swap, security future or another instrument. Do not rely on a product’s advertising name.
- Identify the reference asset. Record whether the contract references a physical commodity, a financial variable, a single security, a group of securities, an index, a currency or a combination.
- Check statutory definitions. Apply the CEA and the securities laws, including definitions for security futures, broad-based and narrow-based indexes, security-based swaps and mixed swaps.
- Determine whether jurisdiction is exclusive or shared. Commodity futures and broad-based security-index futures generally point to exclusive CFTC authority; security-based swaps point to the SEC; security futures and mixed swaps require both agencies’ framework.
- Examine current product facts. For an index, review its current components, weights and trading-volume data. For a swap, examine every reference asset and term, including whether the contract combines security and commodity exposures.
- Separate market rules from an enforcement question. A product may be subject to one agency’s routine rules while a particular act of fraud, manipulation or reporting failure invokes additional provisions.
- Confirm current law before acting. Agency rules and statutory interpretations can change. A specific legal or compliance decision should use the current CEA, securities-law text and agency materials rather than a general summary.
Examples of how the boundary works
Example: a futures contract on crude oil
A standardized crude-oil future is a commodity future and ordinarily falls within the CFTC’s exclusive futures jurisdiction. The fact that the contract is financially settled rather than physically delivered does not by itself move it into SEC jurisdiction.

Example: a future on one public company’s stock
A single-stock future is a security futures product. It is not treated as an ordinary SEC-only security or an ordinary CFTC-only commodity future; both agencies have roles under the joint framework.
Best Value
Example: a future on a major market index
The index must be tested against the statutory broad-based and narrow-based criteria. If it qualifies as broad-based, the CFTC has exclusive jurisdiction. If it is narrow-based, the product is a security future subject to joint CFTC-SEC regulation.
Example: a swap referencing a single stock
A swap whose economics are based on a single security may be a security-based swap under SEC jurisdiction. The conclusion depends on the legal terms, not merely on the word “swap” or on the fact that the contract is privately negotiated.
Example: a contract combining security and commodity exposures
A mixed swap can bring both agencies into the regulatory structure. The parties must analyze the contract’s characteristics and comply with the requirements assigned to each agency rather than choosing a regulator based on the most prominent reference asset.

- “The CFTC regulates only physical commodities.” False. Its jurisdiction includes financial futures, certain swaps, broad-based security-index futures and specified anti-fraud matters.
- “Every securities-linked derivative belongs to the SEC.” False. Security futures are jointly regulated, and broad-based security-index futures are under exclusive CFTC jurisdiction.
- “A diversified index is automatically broad-based.” Not necessarily. The statutory tests for component count, concentration and trading volume control.
- “All swaps are regulated by the same agency.” No. CFTC jurisdiction, SEC jurisdiction over security-based swaps and shared authority over mixed swaps divide the category.
- “The exchange or broker’s label settles the issue.” A label is only a starting point. The legal characteristics of the product determine its status.
Why the classification matters to traders and businesses
Regulatory classification affects where a product may trade, whether clearing is required, what disclosures and reports are needed, which firms must register, how margin and capital are calculated, and which agency can investigate a violation. It can also affect compliance systems: a dealer handling a CFTC-regulated swap may face a different set of reporting and conduct obligations from a participant handling a security-based swap.
For an individual trader, the most useful practical lesson is to identify the contract before assuming that a platform, account type or underlying asset determines the regulator. For a business, the classification should be documented at the product-design stage and revisited when an index changes composition, a swap is amended or a rule changes.
Limits of a general jurisdictional overview
This framework explains the main allocation of federal authority; it is not a product-by-product legal determination. The classification of a particular swap or index future can depend on detailed statutory definitions, current agency rules, constituent lists, weights, trading volumes, settlement terms and available exemptions.
Index data are especially time-sensitive. The CFTC’s overview includes a Path B constituent list dated July 1, 2026, but a later change in index composition or trading activity can affect the analysis. Anyone evaluating a newly launched or recently modified product should check the current statutory text and agency rules.
Bottom line
The CFTC is the principal federal regulator for futures and a large part of the derivatives market under the Commodity Exchange Act. The SEC regulates securities markets and has sole authority over security-based swaps. Congress deliberately created overlap: single-stock futures and narrow-based-index futures are jointly regulated, broad-based security-index futures belong exclusively to the CFTC, and mixed swaps involve both agencies. The instrument’s legal classification—not a simple commodities-versus-securities shortcut—determines the answer.
