A mortgage REIT senior note is debt: its holder is a creditor with payment rights defined by the note documents. A REIT common share is equity: its holder participates in the company’s residual value and may receive distributions declared by the board. “Senior” describes a note’s ranking under its legal terms; it does not, by itself, mean the note is secured, guaranteed, or first against every asset.
What a mortgage REIT senior note is
A mortgage real estate investment trust (mortgage REIT) may issue debt securities as well as shares. A senior note is one such debt security. The note and its indenture set out the issuer’s obligations, which commonly include interest payments, repayment of principal, maturity, and the note’s ranking. The U.S. Securities and Exchange Commission distinguishes debt securities from common stock among the securities investors may buy in a publicly traded REIT: SEC: Real Estate Investment Trusts (REITs).

Those contractual terms do not eliminate credit risk. If the issuer cannot pay, noteholders may not receive amounts when due, and actual recovery depends on the governing documents, the issuer’s assets and liabilities, and the outcome of any restructuring or insolvency process.

| Feature | Mortgage REIT senior note | REIT common share |
|---|---|---|
| What it represents | A debt claim governed by the note documents; the investor is a creditor. | An equity interest in the company; the investor is a shareholder. |
| Cash flow | The documents specify interest and principal terms. Payment remains subject to the issuer’s ability to pay. | Distributions depend on board decisions and the company’s circumstances; they are not contractual interest and are not assured at a fixed level or frequency. |
| Place in the capital structure | “Senior” means senior relative to obligations specified in the documents. Secured claims and subsidiary liabilities can affect priority and recovery. | Common equity is a residual interest, not a debt claim. |
| Value and upside | A note’s market value can change with interest rates, credit risk, and issue-specific terms. A note is not necessarily convertible into shares. | Shareholders participate in changes in share value and the company’s residual economics; results and distribution decisions matter. |
| Risks shared with the issuer | Issuer condition and market factors can affect payment prospects and market price. | Business results, financial condition, market conditions, and board decisions can affect share price and distributions. |
For common shares, an ARMOUR Residential REIT, Inc. prospectus supplement filed in 2024 says future distributions are discretionary and states, “We cannot assure you that we will be able to pay dividends regularly.” That is an issuer-specific disclosure, not a statement about every REIT’s future policy: ARMOUR Residential REIT, Inc., 2024 prospectus supplement.

What “senior” does—and does not—mean
Read “senior” as a legal ranking description, not a standalone safety label. The specific note documents determine what obligations rank alongside or ahead of the notes, whether collateral secures them, whether guarantees apply, and how claims involving subsidiaries are treated. A claim against a parent company may also be structurally behind claims against a subsidiary’s assets when that subsidiary has its own creditors.
For example, Angel Oak Mortgage REIT, Inc.’s 2026 filing describes its 2029 Senior Notes as senior direct unsecured obligations. The filing says they rank equally with the issuer’s unsecured unsubordinated debt, are effectively subordinated to secured debt to the extent of the value of collateral, and are structurally subordinated to certain subsidiary liabilities. These are the terms described for that issue, not a universal definition of mortgage REIT senior notes: Angel Oak Mortgage REIT, Inc., 2026 Form 10-K.

How the mortgage REIT business affects the comparison
Mortgage REITs finance real-estate owners and operators directly with mortgages or other real-estate loans, or indirectly by acquiring mortgage-backed securities. The SEC notes that mortgage REITs tend to use more borrowed capital than property-focused REITs, and that many use derivatives and hedging to manage interest-rate and credit risks. Leverage and hedging introduce additional risks; interest-rate changes can affect REITs differently, so a simple rule such as “rates up means REIT down” is not reliable. See the SEC’s Investor Bulletin: Publicly Traded REITs, August 30, 2016.

For a note, the central question is whether the issuer can meet its payment obligations under the documents. For a common share, company performance and the board’s distribution decisions affect the residual value and any distributions. Neither label removes exposure to the issuer’s financial condition or to market conditions.

How to evaluate a specific note against common shares
Compare the actual securities rather than assuming debt is always safer or shares always offer better returns. For a note, review the prospectus supplement and indenture for its coupon, maturity, current market price, call terms, ranking, security, guarantees, covenants, and credit risks. For common shares, consider valuation, the distribution policy and its discretion, business results, and the potential for changes in share value.
Angel Oak’s 2026 filing provides an example of why issue-specific terms matter: its cited 2029 Senior Notes carry interest at 9.500% per annum, mature July 30, 2029, and have an issuer call option beginning July 30, 2026. The filing also says those notes are not convertible or exchangeable into common shares. These figures and provisions describe that individual issue; they are not representative market terms. A stated coupon is not the same as current yield, yield to maturity, or expected return. Market price, a call, default, taxes, and transaction costs can change an investor’s realized outcome.

No single security is best for every investor. The relevant choice depends on the actual documents and price, credit and market risks, time horizon, risk tolerance, and personal circumstances. A high coupon alone does not establish lower risk or a better total return.
