Warner Bros. Discovery’s definitive merger proxy estimated $1,353,010,460 in merger-related compensation for five named executives under a specified scenario. That is an estimate of potential compensation value—not a report that the executives received that amount in cash. David Zaslav’s modeled total was $886.8 million, including a particularly uncertain tax-reimbursement estimate.
What did the proxy estimate for each executive?
Warner Bros. Discovery’s definitive merger proxy, filed March 26, 2026, reported these estimated totals. The figures combine different kinds of value and should not be read as comparable cash payouts.

| Named executive | Estimated total | Components shown in the proxy |
|---|---|---|
| David Zaslav | $886,836,175 | $34,219,178 cash; $517,204,781 equity; $44,195 benefits; $335,368,021 estimated tax reimbursement |
| Gunnar Wiedenfels | $120,023,703 | $6,610,625 cash; $113,146,795 equity; $266,283 benefits |
| Bruce L. Campbell | $121,526,218 | $18,805,973 cash; $102,676,898 equity; $43,347 benefits |
| Jean-Briac Perrette | $142,041,624 | $18,193,151 cash; $123,896,922 equity; $41,551 benefits |
| Gerhard Zeiler | $82,582,740 | $11,894,122 cash; $70,688,618 equity |
The five totals add to about $1.353 billion. The proxy says its figures are estimates based on assumptions that may not occur or prove accurate; actual amounts, if any, could differ materially. WBD’s definitive merger proxy explains the table and its assumptions.

Why Zaslav’s estimate is so much larger
Zaslav’s $886.8 million modeled total includes $335.4 million in estimated tax reimbursement, a component not listed for the other four executives in this table. The proxy says that estimate depends on factors including closing timing, a qualifying termination, and tax-mitigation strategies. Based on advisors’ then-current estimates, a 2027 effective time was expected to mean no reimbursement. The reimbursement figure is therefore especially uncertain, not a guaranteed payment.

Some coverage used a lower figure for Zaslav’s package. The Associated Press described an approximately $550 million “golden-parachute” package, referring to severance, stock awards, and health coverage in an earlier March filing. The proxy’s $886.8 million scenario is a broader figure that includes the separate estimated tax reimbursement. Those amounts use different bases and should not be treated as competing statements of a final cash payout. The AP report provides its description of the earlier package.
What conditions applied to the compensation?
The proxy modeled an effective time of March 11, 2026, and qualifying terminations for benefits where required. Its table includes cash severance, equity value, perquisites or benefits, and—in Zaslav’s case—an estimated tax reimbursement. These categories do not all have the same trigger.
Rank #2
- Cash severance: The proxy states that all cash severance requires a qualifying termination. It is not payable solely because control changes, and is not enhanced if a qualifying termination follows a change in control.
- Equity: Zaslav’s CEO awards vest upon consummation under the described arrangement. Other equity awards are generally subject to qualifying-termination conditions described in the proxy.
- Benefits and tax reimbursement: These are separate components of the estimate, not cash severance. The tax-reimbursement estimate has its own substantial timing and tax assumptions.
As the proxy puts it: “All cash severance payments are contingent on a qualifying termination of employment and are neither payable on a ‘single trigger’ basis in connection with a change in control nor enhanced if the qualifying termination follows a change in control.”

No. WBD shareholders rejected the advisory executive-compensation proposal. The vote was nonbinding and was not a condition to closing, so rejection did not itself prevent compensation otherwise payable under the arrangements. Contemporary reporting said the executives could still receive payments outlined in the proposal if the deal closed. The Associated Press reported on the vote and its effect.

Did executives actually receive these amounts?
The proxy figures are modeled estimates, not confirmation of realized payments. The available reporting establishes that the acquisition closed on October 6, 2026, but does not establish final amounts actually received by each executive after closing. The deal’s reported transaction value—$81 billion excluding debt and $111 billion including debt—is a separate measure from compensation. The AP closing report describes the acquisition and its value.
