Sysco’s proposed acquisition of Restaurant Depot has drawn opposition from U.S. senators and independent restaurant advocates, who warn that combining the businesses could weaken small operators’ purchasing alternatives. Sysco says the companies serve different distribution channels and that combining them could improve affordability and choice. The documented regulatory status is an ongoing FTC review—not a final decision on whether the deal can proceed.
What Sysco has proposed
Sysco announced on March 30, 2026, that it had agreed to acquire Jetro Restaurant Depot (JRD), the operator of Restaurant Depot. In its 2026 SEC filing, Sysco put the stated consideration at approximately $29.1 billion: $21.6 billion in cash, subject to customary adjustments, plus 91.5 million Sysco Holdings shares. The filing described JRD as a U.S. cash-and-carry foodservice provider with 167 large-format stores in 35 states and more than 725,000 independent restaurant and foodservice operator customers. Sysco’s announcement at signing cited 166 locations, so the figures refer to different snapshots. Sysco’s SEC filing and March 30 announcement provide the company’s terms and description.
The businesses use different fulfillment models. Sysco’s traditional operation delivers food and supplies to customers; Restaurant Depot’s cash-and-carry warehouses let smaller operators shop for goods themselves. That distinction is central to the dispute: the companies characterize the channels as complementary, while opponents argue that restaurants can use them as alternatives when choosing where to buy.
Why senators and restaurant advocates oppose the deal
The senators’ concerns
On August 26, 2026, Senators Cory Booker and Tammy Baldwin asked FTC Chairman Andrew Ferguson to investigate the acquisition. They argued that Restaurant Depot gives independent restaurants, caterers, farmers, and other small businesses a way to compare prices and buy without contracts, delivery fees, or minimum orders. In their view, losing an independent purchasing alternative could reduce choice and give suppliers or the combined company more leverage.

The senators forecast that weaker competition could raise restaurants’ food and supply costs, with some of those increases passed on to diners. Their release cited National Restaurant Association figures saying menu prices had risen by at least 34 percent since 2020, and asserted that independent restaurants can have margins of three to five percent even under favorable conditions. Those figures and forecasts are presented in the senators’ advocacy materials; they are not findings by the FTC about this transaction. Read the senators’ request to the FTC.
The Independent Restaurant Coalition’s campaign
The Independent Restaurant Coalition also called on the FTC to block the deal. In a May 6, 2026 statement, it said its petition had passed 1,000 signatures and that it was gathering operator reports about prices, supplier behavior, and Restaurant Depot’s role as a competitor. The petition count documents the group’s campaign, not the regulator’s view or an established market effect. The coalition’s statement sets out its position.

How Sysco answers the objections
Sysco says there is limited overlap because its delivery-led business and Restaurant Depot’s warehouse-based cash-and-carry model serve customers differently. The company has said Jetro Restaurant Depot would operate as a standalone segment and argued that access to Sysco’s supply chain and expanded purchasing efficiencies could give customers more affordable products, choice, and convenience. These are projections, not demonstrated post-acquisition results.
In its March announcement, Sysco chair and chief executive Kevin Hourican said the combined business would “enhance value for small independent restaurants” through access to more affordable fresh food and greater choice and convenience. In an August 26, 2026 report, The Washington Post quoted Hourican saying, “It would hurt our business if we raised prices.” That is Sysco’s argument for why the deal would not lead it to raise prices; it does not establish what prices would do if the acquisition closes. What the FTC is doing—and what remains undecided
Sysco’s SEC filing says the FTC issued second requests for additional information and documents to both Sysco and Jetro Restaurant Depot on May 27, 2026, and that the companies were responding. Under the process described in the filing, the Hart-Scott-Rodino waiting period continues until 30 days after substantial compliance unless the FTC ends it earlier. A second request means the review is continuing; it is not itself a decision to challenge or clear the transaction.
The same filing said Sysco expected the deal to close by the third quarter of its fiscal 2027, subject to customary conditions including regulatory clearance. That was the company’s estimate, not a guaranteed date. The SEC filing documents the second-request status and anticipated timing: Sysco’s 2026 filing. The reviewed record does not establish whether the FTC, DOJ, or Sysco announced a later action after that filing, so it does not support a definitive account of the deal’s status on October 3, 2026.

What this means for restaurants and diners
For now, the deal is a proposal whose likely effects remain contested. Independent operators may see Restaurant Depot as an important way to check prices and retain purchasing flexibility; Sysco argues that the two businesses are complementary and that integration could deliver efficiencies. Neither the opposition’s warnings about higher costs nor Sysco’s promises of greater affordability have been established as an outcome. The regulator’s decision, and any later evidence about prices or customer choices, will determine whether those forecasts bear out.
