Trading Cash for Control: What Irish Founders Should Know About Private Equity

Private equity can fund growth, acquisitions and an owner’s partial exit, but it usually comes with a say in how the business is governed. The trade is not simply cash for shares: founders should weigh the capital and expertise against board influence, approval rights, reporting obligations and an eventual exit. The right balance depends on the deal’s terms, the investor and the owner’s goals.

What does trading cash for control mean?

Private equity is investment in a business in exchange for an ownership stake, usually with an expectation that the company will grow in value and the investor will eventually sell its stake. The investor may also bring strategic and operational expertise, acquisition capability, networks and expansion capital. Owners may be able to realize some value at the time of investment while retaining an equity interest.

As BDO Dublin director Eimear O’Hare puts it: “Private equity should be viewed as an active partnership rather than simply a source of capital.” The partnership has a time horizon and governance terms. The investor’s influence depends on the stake, board arrangements and rights negotiated in the transaction—not just the amount invested.

How much control might an investor want?

There is no single control package for every deal. The Irish Times report describes majority investments as a common route: “Most private equity investors will look to acquire a majority stake in the business, thus controlling the board and having final say on any key strategic decisions,” says James McMenamin, partner in corporate finance at PwC. That is a reported pattern, not a rule that determines any particular offer.

A minority investment can leave founders with overall control, while still giving the investor protections over major decisions. Hayes Solicitors’ David Mangan explains: “Private equity investors take different approaches, but most will seek to introduce significant protections for their investment through consent requirements in relation to significant changes to and decisions in the business, its governance and capital and debt structure.”

In practice, an investor need not run daily operations to exert meaningful influence. Look beyond the ownership percentage to the proposed board composition, voting arrangements and decisions requiring investor consent. The definitive documents—not a headline summary or verbal assurance—set out the rights. Have a transaction-specific corporate lawyer review them.

What changes for founders after investment?

Board and strategic decisions

Depending on the deal, the investor may hold board seats, participate in strategy and financial oversight, or have consent rights over significant matters. A majority investor may control the board; a minority investor may instead rely on protections for specified decisions. The precise allocation is negotiated.

Reporting and accountability

Owners should expect more structured financial reporting, forecasts and scrutiny of performance against the agreed plan. Preparation may involve due diligence and a credible business plan. This can strengthen management discipline, but it also takes time and makes targets and performance more visible to the investor.

Management role and incentives

Clarify what role founders and existing managers will have after closing, who will make operational decisions, and how management incentives work. Do not assume that retaining an ownership stake means retaining the same authority or job: those are distinct terms to settle in the documents.

What are the benefits and trade-offs?

Potential benefit What to weigh
Capital for expansion or acquisitions Equity dilutes ownership and may bring investor approval rights over major decisions.
Expertise, networks and acquisition capability These are most valuable when the investor has relevant sector knowledge and a working style compatible with the management team.
Partial liquidity for owners while retaining equity The owner’s remaining stake, future value distribution and exit arrangements depend on the negotiated structure.
Greater focus and accountability Formal forecasts, reporting, due diligence and performance oversight add management workload and scrutiny.
A partner focused on growth and eventual realization of value The investor will have its own return objectives and expected holding period; those objectives may not match the owner’s preferred timing or exit.

BDO Ireland gives a commonly referenced rule of thumb of doubling an investment over approximately three years or trebling it over approximately five. This is not a promised or universal return. Separately, EY Ireland’s Siobhan Donlevy told The Irish Times that investors may target “annual returns in the region of 20 per cent or more” over a three-to-five-year horizon. That describes a target, not a guaranteed result or a threshold applicable to every investor. These expectations make it important to discuss the fund’s investment cycle and possible exit routes at the outset.

How should you judge investor fit?

Valuation matters, but it is only one part of the decision. Assess whether the investor understands the sector, believes in the growth plan, has useful expertise or networks, and shares the owner’s strategic priorities and view of a realistic exit. Cultural fit matters because investor and management will be working together through consequential decisions.

Ask the investor to explain its expected holding period, how it approaches governance, and what exit paths it considers plausible. Where practical, speak with current and former portfolio companies about how the investor works after closing. BDO’s O’Hare summarizes the point: “Ultimately, private equity is not simply about securing funding. It is about finding a partner with the right capital, experience, cultural fit and shared vision for the business.”

What should you negotiate before accepting an offer?

Compare the full deal, not just the proposed valuation or percentage sold. These terms determine how much capital the business receives, who influences decisions and how future value may be shared.

  • Ownership and proceeds: stake sold, dilution, any retained equity and how future value is distributed.
  • Board and voting: board seats, appointment rights, voting power and how key decisions are made.
  • Reserved matters: decisions requiring investor consent, including material changes to strategy, governance, capital or debt arrangements.
  • Management: founders’ and executives’ roles, decision-making scope and any management incentive arrangements.
  • Reporting and diligence: the information the investor expects, reporting cadence and the work required before and after investment.
  • Exit: the anticipated holding period, likely routes to sale and how the investor’s exit objectives interact with the owner’s plans.
  • Investor contribution: the specific expertise, acquisition support, networks or other assistance expected beyond capital.

The articles cited here offer general commentary, not legal advice on an individual transaction. Have corporate finance and legal advisers review the actual offer and documents; legal, tax, regulatory, valuation and financing consequences depend on the company and deal.

How to prepare—and compare private equity with alternatives

  1. Define the need: specify how much capital is required, what it will fund and when it is needed. Consider whether debt or another funding route could meet the objective.
  2. Set personal and business priorities: decide the role you want after investment, which governance or approval terms are non-negotiable, how much risk you will accept and what success means to you.
  3. Build the case for growth: prepare a credible business plan, financial forecasts and an equity story explaining how the investment could create and realize value.
  4. Assess the partner: examine sector fit, cultural compatibility, strategic alignment and the investor’s experience and resources. Speak with portfolio companies where practical.
  5. Compare complete proposals: assess capital amount and form, ownership and dilution, board and consent rights, management incentives, expertise, reporting burden, valuation, expected holding period, exit route, liquidity and the control you retain.
  6. Get transaction-specific advice: ask a corporate finance adviser and corporate lawyer to review the proposed economics, governance and documents, with tax and other specialist advice where the transaction requires it.

BDO notes that debt may involve less direct governance control when agreed performance is achieved. That is a comparison point, not a guarantee that borrowing is the better choice: the suitability and consequences of debt depend on the company’s circumstances and financing terms.

What the Irish deal figures do—and do not—show

BDO Ireland and The Irish Times reported that PitchBook data recorded 137 deals, 34 exits and €1.8 billion invested by 160 private equity investors in Ireland during 2025. Those are PitchBook figures as reported in their 2 October 2026 articles; the underlying dataset was not separately reviewed here. They describe reported activity, not the terms a particular founder can expect or the likely outcome of an individual deal.
