Tokenized Assets vs. Traditional Securities: Key Differences in Trading and Settlement

Tokenization changes how a security is represented and transferred, not automatically the rights it carries. Compare ownership records, trading venues, settlement speed, netting, and risk.

Tokenization changes how a security is represented, recorded, and transferred; it does not automatically change the security itself or the rights attached to it. A tokenized security may use a crypto network for some ownership records or transfers, while remaining subject to securities laws and the legal terms of the instrument. The practical differences are in the ownership record, trading venue and controls, settlement workflow, interoperability, and how settlement speed affects funding and risk.

What is a tokenized security?

The SEC staff defines a tokenized security as a financial instrument that qualifies as a security and is formatted as or represented by a crypto asset, with ownership recorded in whole or in part on or through crypto networks. That definition is narrower than “tokenized asset”: tokenized assets can represent many kinds of rights, and not every tokenized asset is a security. See the SEC staff’s January 28, 2026 statement.

As an Amazon Associate I earn from qualifying purchases.

The central distinction is between the security and its representation. A token is not, by itself, proof that the holder has the same direct ownership, voting, dividend, or other rights as a holder recorded in the security’s authoritative ownership system. Those rights depend on the instrument, its legal terms, and the arrangement linking the token to the security. SEC Commissioner Hester M. Peirce put the point plainly in a July 9, 2025 statement: “Tokenized securities are still securities.”

That distinction matters because a token can use similar technology while representing a very different legal relationship. A share represented on a ledger and a token issued by an intermediary that holds shares are not necessarily interchangeable claims. The important questions are what the instrument promises, who is obligated to the holder, and which records and rules determine ownership. The word “tokenized” describes a format or recordkeeping arrangement; it does not answer those questions.

Issuer-sponsored tokens

In an issuer-sponsored model, the issuer or its agent sponsors the token. A network transfer can be designed to update the issuer’s or agent’s master securityholder file, making the ledger part of the system that records holders. The details still matter: readers should establish which record governs, who operates it, and how the issuer recognizes transfers.

In this model, the link between a network transfer and the issuer’s records is especially important. If a token transfer updates the master securityholder file, the ledger can play a direct role in the issuer’s recordkeeping process. But the fact that a transaction appears on a network is not enough on its own to establish that the issuer recognizes the recipient as the holder. The token’s terms and the issuer’s transfer arrangements should explain what happens when the network record and other records differ, or when a transfer is challenged.

Third-party tokens

A third party may issue a token representing a claim connected to securities held by that party or a custodian. The token holder may therefore have a claim against the intermediary rather than direct ownership of the underlying security. The token can also constitute a distinct security or other instrument, depending on its actual rights and structure. Before treating it as equivalent to the underlying share or bond, examine the token terms, the identity and obligations of the counterparty, custody arrangements, and what happens if an intermediary fails.

With a third-party structure, the holder may rely on more than one link: the token issuer’s promise, the custodian’s safekeeping of the securities, and the process for connecting the token to those securities. A ledger may show who owns the token without itself showing that the holder has been entered as the owner of the underlying security. Ask what the token holder can claim, from whom, and under what circumstances the underlying asset can be delivered or the claim honored. The answer depends on the facts and governing documents, not simply on the token’s label.

How traditional and tokenized securities differ

Traditional securities are commonly held as electronic book entries. A central securities depository (CSD), broker, custodian, or other intermediary may record positions at different points in the custody chain. Tokenized securities may use one or more crypto networks for ownership records or transfers, but there is no single tokenization model: the controlling record and legal effect of a transfer vary by structure.

Dimension Traditional securities Tokenized securities
Ownership record Usually electronic book-entry records, often held at least partly through a CSD. Brokers and custodians may record client positions within the custody chain. Ownership information may be maintained on or through one or more crypto networks. The authoritative record and holder’s rights depend on the arrangement.
Transfer and settlement Book-entry transfers typically pass through accounts, intermediaries, and market infrastructure. Transfers may be ledger-based and use smart contracts. Securities and cash on the same ledger could be coordinated, while transfers across systems still require links between them.
Trading access Trading takes place through conventional exchanges and over-the-counter markets under applicable rules and market infrastructure. Access depends on the token’s structure and venue controls. Some arrangements are permissioned; tokenization does not remove securities-law obligations.
Settlement timing and funding For U.S. equities, T+1 is the comparison discussed by the SEC Investor Advisory Committee. Multilateral netting can reduce the funding required to settle trades. Atomic settlement may complete linked asset and payment transfers together, but can limit multilateral netting and increase participants’ capital needs.
Risks Counterparty, custody, operational, and settlement-failure risks remain relevant. Those risks remain, with additional questions about token rights, record authority, third-party or custodian exposure, interoperability, and technology operations.

The table describes common features rather than a universal dividing line. Traditional systems can involve multiple records and intermediaries; token-based systems can use more than one network or depend on off-chain records and services. In either model, investors need to understand the complete chain from trade execution to recognized ownership and completed payment.

What changes in ownership records—and what does not

In an intermediated book-entry system, an investor may see a position in a brokerage account even though the records establishing ownership are maintained across several institutions. This can make the record chain less visible to the investor, but it is a well-established account-based model. The Bank for International Settlements describes the role of book-entry infrastructure and the challenge of linking account-based and token-based arrangements in its March 2020 discussion of the future of securities settlement.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

A tokenized system may consolidate or coordinate some records on a ledger. That does not settle the legal question of which record controls. For an issuer-sponsored security, the issuer’s master file may be updated as part of a token transfer. For a third-party token, the ledger may record token ownership while another party’s books record ownership of the underlying security. A transfer visible on-chain is not necessarily a final transfer of the underlying security under the applicable legal and operational arrangement.

Thus, the practical comparison is not “several records versus one record” in every case. It is whether the relevant participants and governing documents recognize the same record, and whether the token’s transfer mechanism is connected to the authoritative ownership system. A ledger can make some transfers easier to observe or coordinate, but visibility does not itself establish legal finality. Nor does a single network eliminate records maintained by issuers, custodians, brokers, or payment providers.

  • Identify the issuer or entity responsible for recognizing holders and the record it treats as authoritative.
  • Establish whether the token itself carries rights in the security, rights against an intermediary, or a separate contractual claim.
  • Check how corrections, disputed transfers, lost access credentials, and legal orders are handled; a ledger entry does not answer those questions on its own.

These questions are not limited to investors assessing a new technology. They are basic ownership checks: who recognizes the holder, how a transfer is reflected in the relevant records, and what procedure applies if records or claims conflict. A token’s technical ability to move between addresses should not be confused with a complete answer to those legal and operational issues.

Trading venues and controls

Traditional securities trade through exchanges and over-the-counter markets operating within established market rules and infrastructure. A tokenized security may trade through a venue with different technical and access arrangements, including a permissioned network where participants must be approved. The token format does not, by itself, make a venue lawful or exempt a security from applicable trading, custody, disclosure, or other requirements.

In the United States, the SEC announced a temporary, conditional Innovation Exemption on September 17, 2026, covering limited trading of tokenized NMS stock on qualifying permissioned venues. This is not blanket approval for unrestricted tokenized-stock trading. The exemption is limited by its conditions, eligible activity, and duration; consult the SEC’s announcement and operative order for its exact scope. This is a jurisdiction-specific development, not a general rule for other countries or for every tokenized security.

The date and limits matter. The exemption is a particular, temporary regulatory development—not a change to the general principle that tokenized securities remain subject to securities-law analysis. It should not be read as approval for every token, venue, investor, or trading arrangement. Anyone evaluating a U.S. venue should verify whether the specific activity and venue meet the exemption’s conditions rather than infer eligibility from the fact that a security is represented by a token.

For any venue, the practical checks are who may participate, how orders are matched, what surveillance and investor protections apply, and how the venue connects to custody and settlement. A permissioned venue can limit access, but permissioning does not itself establish the token holder’s legal rights or eliminate operational and counterparty risks.

Venue design also affects the path from a trade to settlement. A token may be tradable only within a defined network or among approved participants, while cash, custody, or other market processes remain outside that network. A venue’s technical features therefore need to be considered alongside its access rules, applicable regulatory framework, and the arrangements that recognize and settle the trade.

How settlement works, and why atomic settlement is not automatically better

Traditional settlement generally moves securities and cash through linked accounts and intermediaries. Tokenization could put securities and cash transfers on a shared ledger, allowing the two legs to be coordinated. If both sides are available and the system’s conditions are met, a smart contract can enable delivery-versus-payment: securities move only when payment moves. This can reduce the time between trade and completion, but depends on the assets, cash representation, and settlement systems being compatible.

  • [Dont Hesite to Order] 24 hours customer services and professional technology team are standing by

That compatibility is a practical requirement, not a given. The security and payment leg have to be represented in a form the settlement arrangement can handle, and the relevant systems have to coordinate. Where one leg remains in an account-based system or on another network, a link between systems is still needed. Tokenization can change how the transfer is recorded or triggered without removing dependencies on the other asset, custodian, payment rail, or governing settlement rules.

Atomic settlement

Atomic settlement means linked transfers either complete together or do not complete, rather than one side completing while the other remains outstanding. This can reduce the window in which one participant has delivered an asset but not received payment, or vice versa. It does not ensure that a participant will have the required asset or funds when settlement is due, nor does it remove failures caused by counterparties, custody, operations, or technology.

In other words, atomicity addresses whether linked legs complete together; it is not a guarantee that every trade can settle immediately or successfully. A participant still needs the asset and payment required by the arrangement, and the system must be operating with the necessary connections and records. If the funds are unavailable, a counterparty cannot perform, or a connected system fails, the design cannot make those underlying problems disappear.

Netting and capital needs

Markets often offset participants’ buy and sell obligations through multilateral netting, leaving each participant to fund a smaller net amount rather than every gross trade. Moving to faster or atomic settlement can reduce the opportunity to net obligations before they settle. Participants may then need more cash or securities on hand to complete trades. The SEC Investor Advisory Committee discussed this trade-off against T+1 settlement for tokenized equities in its February 26, 2026 recommendation.

For example, if a participant has several offsetting purchases and sales during a settlement cycle, netting can mean it funds only the remaining net obligation. If each transfer instead settles individually as soon as it is matched, the participant may need sufficient resources for gross obligations before those offsets are available. This example illustrates the mechanism, not a claim that every tokenized design settles each trade gross: actual outcomes depend on how the market and settlement process are structured.

The choice is therefore not simply “slower and risky” versus “instant and safe.” Shortening the settlement interval can reduce some exposure, while reducing netting can raise liquidity and capital demands. The result depends on market design, participant funding, the settlement asset, and whether the system preserves an effective way to net obligations.

That is why the reader-style questions—“What are the benefits of atomic settlement, and what are the risks?” and whether regulators should encourage its adoption—do not have a one-sided answer. Potentially tighter coordination of asset and payment transfers must be weighed against funding demands and the settlement risks that remain. Any policy or market-design choice should consider the effects on netting as well as speed, rather than treating atomic settlement as an automatic improvement.

Interoperability and failure points

Token networks do not operate in isolation from existing financial infrastructure. A token-based system may need to interact with account-based custody, cash payment systems, compliance processes, and conventional trading venues. Moving an asset between ledgers or between a ledger and an account-based system creates coordination requirements; the systems must agree on the asset, the parties, the timing, and the final state of the transfer.

Interoperability is more than the ability to send data between two platforms. The systems must be able to recognize the relevant asset and parties, coordinate the cash and securities legs, and determine when the transfer is complete under their rules. If a token moves but an associated account-based record or payment process does not, participants may face uncertainty about which step has occurred and what remains outstanding. That means a token system’s connection to existing arrangements is part of its settlement design, not an optional afterthought.

The BIS notes that tokenization may reduce costs and complexity, but it does not eliminate settlement-failure risk. A network can record a transfer correctly while a linked system, payment leg, custodian, or legal process fails to complete as expected. A system’s ledger is only one part of settlement finality: the governing rules and connection to the payment and custody arrangements also matter.

  • Record mismatch: the token ledger and issuer or custodian records may not be synchronized, or the documents may not say which prevails.
  • Counterparty exposure: a third-party token holder may depend on an issuer, custodian, or other intermediary to deliver the underlying asset or honor a claim.
  • Cash-leg availability: securities may be transferable on a network even when the payment asset or payment rail is not available on the same system.
  • Operational dependencies: smart contracts, network access, key management, and links to external systems all introduce operational considerations; automation does not remove the need for governance and recovery procedures.

These are not reasons to assume that one architecture is always safer than the other. Traditional book-entry systems also involve counterparties, custody arrangements, operational processes, and settlement obligations. The comparison is about which risks each design creates or changes, where those risks sit in the chain, and whether the controls and legal arrangements address them.

Questions to ask before treating a token like a conventional security

  1. What exactly does the token represent? Read the governing terms to determine whether it is the security itself, an interest in securities held by another party, or a separate claim.
  2. Which record establishes ownership? Find out whether the issuer’s books, a custodian’s records, a network ledger, or a combination of them governs recognition of the holder.
  3. Who is the counterparty? For a third-party structure, identify the entity obligated to the token holder and the consequences if that entity or a custodian cannot perform.
  4. Where and under what controls can it trade? Confirm the venue, participant eligibility, applicable rules, and any jurisdiction-specific limits or exemptions.
  5. What completes settlement? Establish what asset moves, how payment is made, whether both legs are linked, and which system and rules establish finality.
  6. What is the effect on funding and netting? Faster settlement may reduce some exposure but require greater liquidity if multilateral netting is constrained.

Together, these checks form a useful sequence. First establish the legal claim and authoritative record; then identify who can trade and under what controls; finally trace both legs of settlement and the funding arrangements. A product description or network explorer may help show how a token moves, but neither substitutes for the governing terms, venue rules, and settlement documentation.

What the comparison means for investors and market participants

Tokenization can change the mechanics and visibility of ownership records and transfers, and may support coordination of securities and cash on a ledger. Whether that makes a transaction simpler or faster in practice depends on the legal structure, the venue, the payment leg, and links to existing systems. It does not automatically produce direct ownership, instant settlement, lower costs, or fewer risks.

For U.S. readers, assess a tokenized security under the same securities-law framework applicable to the security and its trading, while checking any narrowly framed, current relief for its exact conditions. For readers elsewhere, the U.S. SEC statements and exemption do not determine local treatment: the applicable jurisdiction’s securities, custody, and settlement rules govern.

The key comparison is therefore not simply a blockchain versus a database. It is the full arrangement: what legal rights the holder has, which record recognizes those rights, how a trade can be accessed and controlled, how securities and cash move, and whether the settlement design preserves netting or changes funding needs. Those details—not the token label alone—determine what changes for a particular security and its participants.

Frequently Asked Questions

What does atomic settlement mean, and what are its benefits and risks?

Atomic settlement means linked transfers, such as securities and payment, either complete together or do not complete. It can reduce the interval in which one party has delivered without receiving the other leg. It does not ensure that participants have the required assets or funds, nor does it eliminate counterparty, custody, operational, technology, or linked-system failures.

Does a tokenized security give its holder direct ownership of the underlying security?

Not automatically. In an issuer-sponsored structure, a network transfer may update the issuer’s or agent’s master securityholder file. A third-party token may instead represent a claim against an intermediary connected to securities held by that party or a custodian. The rights depend on the instrument, governing terms, and recordkeeping arrangement.

Can tokenization make settlement instant, cheaper, or risk-free?

No such result is guaranteed. A ledger may coordinate transfers, but the security and payment legs must be compatible and connected, and settlement failure remains possible. Faster or atomic settlement can also constrain multilateral netting and increase participants’ cash or capital needs.

What is the U.S. SEC Innovation Exemption for tokenized securities?

As of September 17, 2026, the SEC announced a temporary, conditional exemption covering limited trading of tokenized NMS stock on qualifying permissioned venues. It is not blanket authorization for unrestricted tokenized-stock trading. Its scope depends on the operative order’s conditions, eligible activity, and duration.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Should regulators encourage adoption of atomic settlement?

The research frames this as a question for the Commission, not as evidence for a predetermined policy answer. The relevant trade-off is that linked transfers may reduce some settlement exposure, while faster settlement can limit multilateral netting and raise funding or capital needs. The consequences depend on the market and settlement design.

How is ownership recorded differently in traditional and tokenized securities?

Traditional securities are commonly recorded as electronic book entries through CSDs and intermediaries, with brokers or custodians recording client positions. Tokenized securities may use one or more crypto networks, but the authoritative record can still depend on the issuer, agent, custodian, or legal structure. An on-chain transfer is not necessarily final legal settlement in every arrangement.

The Bottom Line

Tokenization changes a security’s representation and potentially its transfer and recordkeeping rails—not automatically its legal character or holder rights. Before comparing a token with a conventional security, establish what it represents, which record controls, how the venue and settlement process work, and how faster settlement may affect netting and funding. Neither tokenization nor atomic settlement guarantees instant, cheaper, safer, or risk-free transactions.
