States Challenge Corteva Seed Spinoff Over PFAS Liability Concerns

California and a separate coalition of sixteen states and Guam have asked courts to intervene in Corteva’s planned seed-business transfer to Vylor. The allegations and requested relief are not court findings.

Yes. California and a separate coalition of sixteen states and Guam have asked courts to intervene in Corteva’s planned transfer of its seed business to a new company, Vylor. The states argue that moving assets while leaving historical PFAS claims with Corteva could make it harder for claimants to recover. Those are allegations and requests for court action—not findings that the transaction is unlawful or designed to evade liabilities.

What are the states challenging?

The dispute concerns Corteva’s planned separation of its seed business into Vylor and the effect that transfer could have on claimants seeking recovery in PFAS litigation. The states’ concern is that assets could move to the new company while legacy liabilities remain with Corteva, potentially weakening claimants’ ability to collect. Whether that would happen, and whether the transaction is legally improper, remains contested.

California Attorney General Rob Bonta described the transaction as an attempt to avoid accountability and said, “Nobody can hide from the law.” That is an advocacy statement by a state official, not a court’s conclusion.

How do the California and Indiana actions differ?

They are separate proceedings, in different courts and with different procedural forms. California filed a motion in an existing PFAS case; the other coalition filed a new lawsuit.

What the reviewed state announcements establish They do not establish whether the court granted the motion They do not establish whether the court granted the requested relief or issued other orders

California’s announcement says sixteen states and the District of Columbia support its motion. That is a different coalition description from the sixteen states and Guam identified in the Indiana lawsuit; the groups should not be treated as interchangeable.

What has Corteva disclosed about the dispute?

In its Form 10-Q filed July 31, 2026, Corteva reported that fourteen attorneys general had threatened actions to delay or prevent its intended separation unless they received documentation about how assets and potential historical liabilities would be allocated. The filing documents the company’s account of those concerns; it does not decide the states’ claims.

The same filing describes litigation status through June 30, 2026. It says attorneys general in 31 states, the District of Columbia and three U.S. territories had filed natural-resource-damage cases. Some of those cases name Corteva and include fraudulent-conveyance claims. This figure describes the jurisdictions associated with those cases in Corteva’s disclosure; it is not a count of rulings against the company.

How does this relate to earlier DuPont-era litigation?

The current challenges sit within a longer dispute over corporate separations and responsibility for environmental liabilities. In a separate complaint filed May 25, 2023, Rhode Island alleged that earlier transactions—including the Chemours spinoff and Corteva separation—were part of a scheme to hinder creditors. The complaint also includes failure-to-warn and other claims. Those are allegations in a different case, not findings about the current Vylor transfer.

The companies have distinct roles in this history: EIDP is identified by the states as the company historically known as DuPont; Corteva is the company planning the seed-business separation; Vylor is the announced recipient of that business; and Chemours is relevant to the earlier separation allegations.

What remains unresolved?

  • Whether either court has granted the requested asset-preservation or transaction-stopping relief.
  • Whether any court will find that the planned separation impairs creditors’ rights or was intended to evade liabilities.
  • How PFAS-related liabilities would be allocated after any completed transaction.

The California announcement dated October 1, 2026, and the state summaries describing the separate Indiana filing establish what the states alleged and sought, not the outcome of either proceeding. Later court orders, transaction terms or company disclosures could change the status.
