SpaceX’s disclosed lock-up is not a single date when every pre-IPO shareholder can sell. Some shares may become eligible to trade in stages before other holders’ restrictions end, creating potential changes in tradable supply and investor expectations—but an unlock does not mean shares will be sold or predict what the stock will do.

When can covered SpaceX shares become eligible to trade?
For the shorter staged-release track, CII describes the following conditions and milestones. The schedule applies to covered shares, not automatically to every SpaceX shareholder.

These are eligibility caps under the provisions summarized by CII. The table does not establish that the full amount at any milestone was released, or that eligible holders sold shares.

Elon Musk

Select investors, officers, and directors
The offering summary describes staggered releases for a portion of shares held by select investors, officers, and directors beginning after Q4 2026 earnings and continuing through Q2 2027 earnings. CII also says certain other significant shareholders face a 366-day restriction without early releases. These descriptions concern the cited prospectus version; later filings, amendments, or waivers may change the terms.
Directed-share-program shares
CII says shares acquired through the directed share program are not subject to a lock-up restriction in the prospectus it discusses. That is a description of those shares’ stated terms, not a claim about every participant or later changes.

Why an unlock can matter to retail investors
A lock-up release expands the pool of shares permitted to trade under the relevant terms. Investors may account for scheduled releases when forming expectations about supply, and the dates and conditions can become focal points for market attention. But eligibility is not selling: holders can keep their shares, and the schedule alone does not establish either the volume that will reach the market or the direction of the share price. What happened at the first reported release?
The Associated Press reported that more than 900 million shares became newly available at the first reported release. SpaceX shares rose 6.1% that day, closing at $114.92, after falling nearly 14% the previous day. Those are historical observations reported by AP, not evidence that the unlock caused either move or a guide to what a later release will do. Associated Press report

The episode is a useful reminder not to treat an unlock as an automatic price-decline signal. Market prices reflect many factors, and the reported sequence does not isolate the effect of newly eligible shares.
CII’s separate concern about tracing shares
The Council of Institutional Investors raised an investor-protection argument distinct from the question of price pressure. It said early releases could bring unregistered shares into the public float sooner and make it harder to trace a purchaser’s shares to the IPO registration statement for a potential claim under Securities Act Section 11. In the letter, CII signatories wrote: “As long-term investors, we recognize that dynamic, founder-led companies can and do create substantial value, and we do not doubt the company’s ability to attract capital.” The signatories included Glenn Davis, CII deputy director; Jake Barnett, managing director of Sustainable Investment Strategies at Wespath Benefits and Investments; and Dereck E.
