The digital-infrastructure investor is now a controlled SoftBank subsidiary, but SoftBank says it will continue as a separately managed platform led by CEO Marc Ganzi. The deal’s often-cited approximately $4 billion figure is its announced enterprise value; SoftBank’s closing release put the stock acquisition at approximately $3.1 billion.
What happened, and when did the deal close?

Why are the deal figures $4 billion and $3.1 billion?
The figures refer to different transaction measures and should not be treated as interchangeable:
#1 Best Overall
- Save valuable floor space: 6U wall mount server cabinet Dimensions: 13.78" H x21.65" W x17.72" D.Maximum mounting depth is 14.2"
- Keep critical network equipment secure: glass door and side panels are lockable to prevent unauthorized access. Front door can be installed on either side of the front of the cabinet to satisfy your door swing orientation preference
- Easy equipment configuration: Fully adjustable mounting rails and numbered U positions, with square holes for easy equipment mounting with top and bottom punch-out panels for easy cable access
- Durability: Made of high quality cold rolled steel holds up to 110lb (50kg) (Easy Assembly Required)
- PCI & HIPPA and EIA/ECA-310-E compliant
| Figure | What it measures | Source and timing |
|---|---|---|
| Approximately $4.0 billion | Total enterprise value announced for the transaction | DigitalBridge’s December 29, 2025 announcement |
| Approximately $3.1 billion | Amount reported for the acquisition of all outstanding common stock | SoftBank’s September 30, 2026 completion announcement |
| $16.00 per share in cash | Consideration stockholders were to receive at closing | DigitalBridge’s September 22, 2026 approval update |
The enterprise-value figure and the stock-acquisition figure describe different aspects of a transaction; the releases do not present them as competing estimates of the same measure. DigitalBridge said all required regulatory approvals had been received by September 22, and that stockholders would receive $16.00 per share in cash at closing. DigitalBridge’s announcement and approval update provide the company’s deal milestones.
What does “third-party infrastructure arm” mean?
A surfaced Financial Times headline attributes the “third-party infrastructure arm” characterization to Ganzi. The wording suggests a role serving infrastructure needs beyond SoftBank’s own operations, but the available reporting does not establish the phrase’s precise meaning or the arrangements behind it. It is not evidence that DigitalBridge has become an in-house construction operator, nor does it by itself establish how projects will be financed, governed or managed.

When announcing the deal on December 29, 2025, SoftBank said the acquisition would strengthen its ability to build, scale and finance foundational infrastructure for next-generation AI services and applications. That is the company’s stated strategic rationale, not evidence that the acquisition has already produced new infrastructure or financial returns. SoftBank’s original announcement sets out that rationale.
